LEASE AGREEMENT
THE STATE OF TEXAS
COUNTY OF CALHOUN
This lease agreement made and entered into on this 1s` day of November 2017 by and between
Calhoun County, Texas (Lessor) and Albert L. Malaer (Albert Malaer Farms), (Lessee) witnesseth
that lessor and lessee, in consideration of the premises hereinafter set forth, do hereby
contract and agree as follows, towit:
ARTICLE I
Lessor does hereby lease and rent unto lessee, and lessee does hereby lease and rent from
Lessor, for the period of time hereinafter stated and in accordance with the terms and
provision hereinafter contained, the following described land located in Calhoun County, Texas
towit: .
All the tillable land, estimated to contain 60 acres (which will be treated herein as containing 60
acres regardless of whether it contains more or less), which 60 acres of tillable land is all of the
tillable land contained in a certain 83.19 acres (fronting on the Southern Pacific Railroad Right
of Way) of that certain tract or parcel of land containing 174.93 acres (found by resurvey to
contain 175.13 acres) commonly known as the Langon Tract and described in deed from Patsy
L. Johnson to the County of Calhoun, Texas, dated April 15, 1976, recorded in Volume 296, Page
822 of the Deed Records of Calhoun County, Texas, reference to which deed and to the record
thereof is hereby made in aid of the description of said 83.19 acre tract which contains the 60
acres of tillable land covered by this lease, and said tract of 83.19 acres of land is all of said
Langon 175.13 acre tract EXCEPT the East 2400 feet hereof, all as shown on that certain plat
which is marked EXHIBIT "A" and attached hereto and made a part hereof for all purposes.
If at any time within the 3 year lease period, Lessor needs 10 acres or less from the 60 acres of
tillable land covered by this lease, Lessor will give Lessee 180 day's written notice and the rent
will be adjusted accordingly.
It is understood and agreed that there is located on the aforesaid 83.19 acre tract certain
drainage ditches, berm, etc., constituting appurtenances to Lessor's sanitary landfill operation,
which appurtenances are located in a 50 foot wide Buffer Zone along the Southern Pacific
Railroad Right of Way and along the Northerly, Westerly and Southeasterly boundary lines of
said 83.19 acre tract, all as more particularly shown on the attached plat (Exhibit "A"), and that
said 50 foot wide Buffer Zone containing said landfill appurtenances is not included in this
lease, it being the intent hereof to cover by this lease only the 60 acres of tillable land
contained in said 83.19 acre tract; it being provided, however that Lessee may crossover said
Buffer Zone with men and equipment at the established entrance for the purpose of ingress
and egress to and from the 60 acres covered by this lease.
It is also understood and agreed that any buildings which are located on the leased premises do
not belong to Lessee and such buildings are not covered by this lease, and the right is reserved
for the owner of any such dwelling or building to remove the same from the Langon Tract.
ARTICLE II
Said leased premises shall be used by Lessee only for the purpose of growing maize, corn,
cotton, soybeans, rice and wheat thereon, or any one or more of said five crops.
The term of this lease shall commence on November 1, 2017 and shall continue for 3 years, and
shall terminate on October 31, 2020 with the option to renew for additional 3 year terms upon
Commissioners' Court approval.
ARTICLE IV
The rental for said leased premises for said term shall be the sum of Forty Five Dollars and
Seventy Five Cents ($45.75) per acre per year, or an aggregate of Two Thousand Seven Hundred
Forty Five Dollars ($2,745.00) per year, payable as follows: The first year's rental shall be
payable in advance upon the execution and delivery of this lease contract at the time the
identity of the successful bidder is determined; the succeeding year' rental shall be due and
payable on or before the 1'` day of November of each succeeding year until the termination
date of the agreement.
ARTICLE V
Lessor reserves the right to enter upon the leased premises at any time to inspect the same.
ARTICLE VI
Lessee shall not have the right to transfer or assign this lease in whole or in part or to sublease
the leased premises or any part thereof without first obtaining the written consent and
approval of Lessor.
ARTICLE VII
All damage to the leased premises, caused by Lessee or his agents, servants, employees or
guests shall be repaired at the cost and expense of Lessee, except damages caused by normal
wear and tear, storm, accidental fire or inevitable accident.

ARTICLE VIII
In the event Lessee should hold over or be permitted to hold over and occupy the leased
premises after its right to occupy the same hereunder has expired or terminated, same shall
not be a renewal of this lease in any way, but Lessee shall be deemed a tenant wholly at the will
of Lessor.
ARTICLE IX
Lessee, on termination of this lease, or when its right to occupy the leased premises has
terminated under the provisions hereof, shall surrender peaceable possession of the leased
premises to Lessor, and shall deliver such premises to Lessor in as good condition as same were
in at the beginning of the term of this lease, loss by storm, accidental fire, inevitable accident,
and normal wear and tear alone excepted.
When this lease has terminated, or when Lessee's right to use and occupy the lease premises
has terminated under the provision hereof, Lessor, its agents or attorneys, shall have the right,
without notice or demand, to reenter upon said leased premises and remove all persons and
the Lessee's property therefrom without being deemed to be guilty of any manner of trespass
or other tort or violation of law. The provisions of this paragraph are cumulative of, and any
action taken by Lessor pursuant to the provisions hereof shall be without prejudice to, any
remedy or damages provided by law or by this agreement or by equity for Lessee's breach of
any covenant or provision contained in the agreement.
ARTICLE X
If Lessee shall be in default in the payment of any rental due hereunder, or any installment
thereof as and when due, or be in default with respect to any covenant, condition or provision
herein contained, or if Lessee shall abandon or vacate the leased premises, or if Lessee
becomes bankrupt or makes an assignment for the benefit of creditors, or in the event of
appointment of a receiver for Lessee, then, upon the occurrence of any one or more of such
contingencies, Lessor may give to Lessee written notice setting forth the default of Lessee, and
if such default shall not be removed, remedied or corrected within ten (10) days after the filing
of such notice, Lessor may at its option, declare this lease to be cancelled and terminated, and
the right of Lessee to use and occupy the leased premises shall immediately cease and
terminate, and Lessee shall at once deliver peaceable possession of the leased premises to
Lessor. If this lease shall be so terminated, the Lessor, it agents or attorneys, shall have the
right without further notice or demand, to reenter upon said leased premises and remove all
persons and the Lessee's property therefrom without being deemed to be guilty of any manner
of trespass or other tort or violation of law. The provisions of this paragraph are cumulative of,
and any action taken by Lessor pursuant to the provisions hereof shall be without prejudice to,
and remedy or damages provided by law or by this contract or by equity for Lessee's breach of
any covenant or provision contained in this contract.
Failure of Lessor to enforce any one or more of the provisions of this Article X at any time the
right to do so exists shall not constitute a waiver by Lessor of the right to enforce the same at
any future time or times that the right to do so exists.
ARTICLE XI
Any notice herein required to be given may be given in any lawful manner, including, but not
limited to, the depositing of such notice in the United States Mail, postage prepaid, certified
mail with return receipt requested, addressed to the party or parties to whom such notice is to
be given at his, her, their or its last known address; and if such notice is given by mail, as
aforesaid, such notice shall be complete for the purposes hereof when same is so deposited in
the United States Mail in the manner herein set out.
ARTICLE XII
This agreement shall be binding upon and inure to the benefit of the parties hereto, their heirs,
devisees, executors, administrators and assigns, the right of assignment on the part of Lessee,
however, being subject to the provisions of Article VI hereof.
ARTICLE XIII
This lease is made subject to all easement, if any, on, over and under the leased premises.
ARTICLE XIV
This agreement is performable in Calhoun County, Texas.

that we advise you of the following matters relating to our audit.
Our Responsibility in Relation to the Financial Statement Audit
As communicated in our engagement letter dated September 29, 2016, our responsibility, as described by
professional standards, is to plan and perform our audit to form and express an opinion about whether the
financial statements that have been prepared by management with your oversight are presented fairly, in all
material respects, in conformity with accounting principles generally accepted in the United States of
America. Our audit of the financial statements does not relieve you or management of your respective
responsibilities.
Our responsibility, as prescribed by professional standards, is to plan and perform our audit to obtain
reasonable, rather than absolute, assurance about whether the financial statements are free of material
misstatement. An audit of financial statements includes consideration of internal control over financial
reporting as a basis for designing audit procedures that are appropriate in the circumstances, but not for the
purpose of expressing an opinion on the effectiveness of the entity's internal control over financial reporting.
Accordingly, as part of our audit, we considered the internal control of Calhoun County solely for the
purpose of determining our audit procedures and not to provide any assurance concerning such internal

Qualitative Aspects of the County's Significant Accounting Practices
Significant Accounting Policies
Management has the responsibility to select and use appropriate accounting policies. A summary of the
significant accounting policies adopted by Calhoun County is included in Note A to the financial
statements. There has been no initial selection of accounting policies and no changes in significant
accounting policies or their application during 2016 with the exception of the following:
No matters have come to our attention that would require us, under professional standards, to inform you
about (1) the methods used to account for significant unusual transactions and (2) the effect of significant
accounting policies in controversial or emerging areas for which there is a lack of authoritative guidance
or consensus, with the following exception:
Significant Accounting Estimates
Accounting estimates are an integral part of the financial statements prepared by management and are
based on management's current judgments. Those judgments are normally based on knowledge and
experience about past and current events and assumptions about future events. Certain accounting
estimates are particularly sensitive because of their significance to the financial statements and because of
the possibility that future events affecting them may differ markedly from management's current
judgments.
The most sensitive accounting estimates affecting the financial statements are:
• Useful lives and depreciation calculations on capital assets
• Allowance for uncollectible receivables for
- Fines Receivables
- Property taxes
- EMS Receivables
- Patient Charges Receivable
- Nursing Home Resident Charges Receivable
• Net pension liability assumptions for mortality rates and investment returns
Management's estimate of useful lives of capital assets is based on industry standards and engineering
estimates. Allowance for uncollectible receivables is based on past history with the different types of
receivables. The assumptions utilized in the calculation for the net pension liability are based on actuarial
guidance and are provided by Texas County and District Retirement System and are not subject to County
management determination.
We evaluated the key factors and assumptions used to develop the estimates and determined that they are
reasonable in relation to the basic financial statements taken as a whole and in relation to the applicable
opinion units.
Financial Statement Disclosures
Certain financial statement disclosures involve significant judgment and are particularly sensitive because
of their significance to financial statement users. For the year ended December 31, 2016, the most
sensitive disclosures relate to GASB 68 and the net pension liability (see Note J).
Significant Difficulties Encountered during the Audit
We encountered no difficulties in dealing with management relating to the performance of the audit.
Uncorrected and Corrected Misstatements
For purposes of this communication, professional standards require us to accumulate all known and likely
misstatements identified during the audit, other than those that are trivial, and communicate them to the
appropriate level of management. Further, professional standards require us to also communicate the
effect of uncorrected misstatements related to prior periods on the relevant classes of transactions,
account balances or disclosures and the financial statements as a whole and each applicable opinion unit.
Management has determined that the effects of the following misstatements in the current or prior periods
are immaterial, both individually and in the aggregate, to the financial statements taken as a whole and
each applicable opinion unit: Understatement of net EMS receivables on the government -wide statements
of $46,291; understatement of benefits payable on the governmental statements of $47,693; overstatement
of long-term debt and deferred tax collections on the government -wide statements of $45,443 and
$55,766, respectively.
In addition, professional standards require us to communicate to you all material, corrected misstatements
that were brought to the attention of management as a result of our audit procedures. None of the
misstatements identified by us as a result of our audit procedures and corrected by management were
material, either individually or in the aggregate, to the financial statements taken as a whole or applicable
opinion units.
Disagreements with Management
For purposes of this letter, professional standards define a disagreement with management as a matter,
whether or not resolved to our satisfaction, concerning a financial accounting, reporting, or auditing
matter, which could be significant to the Calhoun County's financial statements or the auditor's report.
No such disagreements arose during the course of the audit.
Representations Requested from Management
We have requested certain written representations from management, which are included in a separate
letter dated June 30, 2017.
Management's Consultations with Other Accountants
In some cases, management may decide to consult with other accountants about auditing and accounting
matters. Management informed us that, and to our knowledge, there were no consultations with other
accountants regarding auditing and accounting matters.
Public Funds Investment Act
As a part of our audit, we review the County's compliance with the Public Funds Investment Act. Our
procedures determined that the County is in compliance, in all material respects, with the provisions of
the Act.
Other Significant Findings or Issues
In the normal course of our professional association with the Calhoun County, we generally discuss a
variety of matters, including the application of accounting principles and auditing standards, operating
and regulatory conditions affecting the entity, and operational plans and strategies that may affect the
risks of material misstatement. None of the matters discussed resulted in a condition to our retention as
the Calhoun County's auditors.
During audit procedures, we became aware of other opportunities for improvement with the following
suggestions:
Census Data
The County's internal control policy on GASB Statement No. 68 currently does not address the review of
the employee census data recorded in the TCDRS pension records. Thus the County has not
independently reviewed the information.
GASB Statement No. 68 requires the County include in the current internal control policy to determine
that the employee's census information populated by TCDRS into the retirement system has been
recorded properly to ensure the pension liability estimate is accurate. The County should develop a
policy and review the employee's census data.
Control over Court S sy tem
The County and District Courts are not reviewing jail credits and other adjustments within Edoc.
Management is in the process of changing software from Edoc to Odyssey which will allow clerks to
track individuals that are malting any changes to the accounting system. Management should also
consider printing an end of month report of all credits and adjustments and verifying that proper
approvals are being given.
Control over Ticket S sy ten:
The 7P clerks can delete, credit, or adjust a balance of an individual's ticket in tracking system without
being detected. Management should consider implementing an approval or review process for making
adjustments to tickets.
Accounting System Access
All employees in the Treasurer and Auditor's office have unrestricted access to the County's accounting
system. The clerks can adjust pay rates, payroll, and vendor information. The risk of misstatement is
mitigated through interdepartmental review and monitoring. However, management should restrict access
within the accounting system to the clerk's respective responsibilities.
Other Information in Documents Containing Audited Financial Statements
Pursuant to professional standards, our responsibility as auditors for other information in documents
containing Calhoun County's audited financial statements does not extend beyond the financial
information identified in the audit report, and we are not required to perform any procedures to
corroborate such other information. However, in accordance with such standards, we have read the
information and considering whether such information, or the manner of its presentation, was materially
inconsistent with its presentation in the financial statements.
Our responsibility also includes communicating to you any information which we believe is a material
misstatement of fact. Nothing came to our attention that caused us to believe that such information, or its
manner of presentation, is materially inconsistent with the information, or manner of its presentation,
appearing in the financial statements.
Management is aware that we did not audit the financial statements of Memorial Medical Center, which
represent 100% of the assets, net position and revenues of the discretely presented component unit,
Memorial Medical Center as of December 31, 2016.
This report is intended solely for the information and use of the Audit Committee, County Council, and
management of Calhoun County and is not intended to be and should not be used by anyone other than

This Interlocal Cooperation Agreement is made and entered into by and between the
Calhoun County Independent School District (hereinafter "SCHOOL'), a political
subdivision of the State of Texas, acting by and through its duly elected School Board and its
acting superintendent, and Calhoun County, and all of its associated entities (hereinafter
"COUNTY"), a political subdivision of the State of Texas, acting by and through its duly
elected County Judge and Commissioners.
WITNESSETH:
In consideration of the mutual covenants and agreements set forth in this Contract, and
other good and valuable consideration stated herein below, SCHOOL and COUNTY hereby
mutually agree as follows:
ARTICLE I.
PURPOSE
It is the purpose of this agreement is facilitate and provide for STANDBY
AMBULANCE SERVICE at the local football games in Port Lavaca, Texas.
Specifically, the COUNTY is hereby contracting and agreeing with the SCHOOL to
provide the labor, fuel and equipment necessary for the Calhoun County Emergency Medical
Service to provide ambulance service at local football games. Pursuant to Section 791.001,
the work is to be performed at property owned by the SCHOOL. The SCHOOL agrees to

provide access to the stadium for the EMS and their personal and ambulance that can be
quickly accessed and egressed for any emergency. EMS and the COUNTY reserved the
right to respond to another emergency in the County should they have too depending on the
nature of the emergency call and the number of ambulances that are on duty or actively
engaged in a call. The County will provide the ambulance, personnel and all appropriate
equipment to property man and staff an emergency response ambulance according to proper
standards and custom in the industry. The SCHOOL will pay the COUNTY the sum of
$40.00 per hour for each paramedic or driver that is staffing the ambulance at the football
game. The COUNTY will submit a bill the SCHOOL at the end of each month for these
hours worked.
ARTICLE II.
AUTHORITY
This Contract is entered into by the parties hereto pursuant to the Texas Interlocal
Cooperation Act, Section 791.002 of the Texas Government Code. The authority for the
legislation as set out in said Interlocal Cooperation Act.
This Contract shall be governed by and subject to the laws of the State of Texas and,
specifically, any of the terms and conditions of this Contract are subject to and shall be
construed in accordance with the construction ofthe Texas Interlocal Cooperation Act recited
hereinabove.
ARTICLE III.
TERMS
The term of this Contract shall commence on the date of execution hereof and shall

continue until it is terminated by the SCHOOL and the COUNTY.
ARTICLE IV.
SEVERABILITY
If any provision of the Contract is held invalid, such invalidity shall not affect other
provisions or applications of the Contract which can be given effect without the invalid
provision or application, and to the end of the provisions of this Contract are declared to be
severable.
ARTICLE V.
MISCELLANEOUS PROVISIONS
This Contract constitutes the entire agreement between COUNTY and SCHOOL and
supersedes any prior understandings or written or oral agreements between the parties
respecting the subject matter of this Contract.
No amendment, modifications, or alteration of the terms of this Contract shall be
binding unless it is in writing, dated subsequent to the date of this Contract, and duly
executed by the parties to this Contract.
If, as a result of a breach of this Contract by either party, the other party employs an
attorney or attorneys to enforce his rights under this Contract, then the defaulting party agrees
to pay the other parties' reasonable attorney's fees and costs incurred to enforce this
Contract.
This Contract shall be binding upon and insure to the benefits of the parties hereto,
their respective heirs, executors, administrators, legal representatives, successors and assigns.

It is time to begin the nomination process for the Board of Directors of the Calhoun County
Appraisal District for the next two year term. The term begins January 1, 2018 and ends
December 31, 2019. I have included with this letter a calendar of events for the deadlines for
action on the part of each governing body, the calculation indicating the number of votes to
which each taxing unit is entitled, a nomination form and sample nomination resolution that you
may use.
Please do not vote for any candidate at this time. The first action required is to nominate
candidates. A copy of the written resolution must be submitted for the nomination and actual
vote when taken. You may nominate as many as you wish, but there are only five (5) directors
on the board. Current board members are Bill Swope, Bill Bauer, Jr., Commissioner Vern Lyssy,
Kevin Hill and Jessie Rodriguez. Nominations must be submitted to the appraisal district
before October 15, 2017.

CALENDAR OF EVENTS
FOR THE ELECTION OF THE CALHOUN COUNTY APPRAISAL DISTRICT BOARD OF
DIRECTORS (2018-2019 TERM):
Before October 1, 2017. Chief Appraiser will calculate and deliver to each taxing unit entitled to vote the
number of votes to which each unit is entitled. The number of votes for each taxing unit entitled to vote is
determined by the ratio of the individual taxing unit levy to the aggregate total levy of all taxing units
entitled to vote.
Before October 15, 2017: As a taxing unit that is entitled to vote in the election, the governing body may
nominate candidates by resolution, but must send the results to lite appraisal district office before
October 15, 2017. Taxing units may nominate as many candidates as they prefer, but there are only 5
directors on the appraisal district board.
Before October 30, 2017: After receiving all timely submitted nominations the chief appraiser will
prepare the ballot by listing the names of each candidate in alpha order and distribute the ballot to each
taxing unit entitled to vote.
Before December 15, 2017: The governing body shall determine its vote by resolution and submit it to
the chief appraiser. Each taxing unit may cast all votes for one or distribute them to as many candidates
as preferred. It takes 834 votes to assure election to the board of directors.
Before December 31, 2017. The chief appraiser will count the votes, declare the 5 candidates receiving
the largest cumulative vote totals elected and submit the results to the governing body of each taxing unit
in the District and to the candidates.

Selected maior activities since last renort
July 7: I traveled to the Longbranch Ranch outside of Fredericksburg, Texas to interview Dr. Wallace
Klussman, Professor Emeritus Texas A&M University. This was one of many interviews to be conducted
in preparation for the 501 anniversary of Texas Sea Grant as we try to create a library of oral histories.
Klussman served as the first Sea Grant Program Leader in 1968 until 1982 when he was promoted to the
Department Head of the Wildlife & Fisheries Sciences Department.
July 11: Kayaking with OLG church youth group was conducted in Point Comfort for 20 youth and 8 chaperones.
Basic kayaking instructions and safety briefing were given prior to launching boats. Each participant wore a
correctly sized life jacket and each vessel had a noise making device onboard per the Texas Water Safety Rules. All
seemed to enjoy getting out on the water.
July 12-13: I conducted another round of economic impact studies at the Poco Bueno Fishing tournament. This is
part of an ongoing effort with the Ag Economic Department to quantify the monies spent in Calhoun County during
such tournaments. I also visited shrimp boats and passed out angle meters for TED'S to captains in preparation for
the opening of shrimp season on July 15.
July 18-19: Surveys were also gathered at Lonestar Shootout for the same economic impact study. While in town, I
collected used fishing line from several boats and other collection points around town.
July 25: I attended the Texas Extension Specialist Association's annual award
banquet to accept their award for Distinguished Program Achievement -
Community and Resource Development. They recognized me for my "passion and
support through social, environmental and economic work with Texas A&M
AgriLife Extension Service clients." It was an unexpected honor to be nominated
by Dr. Rebekka Dudensing from the Ag Economics Department.
July 27: Continuing work on the Texas Sea Grant Oral History project took me to League City to visit with retired
Galveston County Marine Agent Mel Russel. I carpooled with retired Education Specialist Willie Younger of Bay
City.

July 3: Tina meet with the Texas Extension Educators Association where they discussed about the state
meeting in September. There next meeting will be on August 28.
July5:Tina had her Pool Walk and Talk Summer program at the YMCA pool. They had 15 in attendance and
she gave a presentation on flavoring water during the summer.
July 6: Tina attended the District 11 Record book Judging event that was held in Victoria, TX
July12: Tina had her Pool Walk and Talk Summer program at the YMCA pool. They had 17 in attendance
and she gave a presentation about healthy snacks while traveling.
July 13 & 14: Tina traveled to Rockport to help Aransas county with there kids in the kitchen even
July 18 & 19: Tina held a kids in the kitchen camp where they had 5 attend. The kids learned how to make
butter, pasta and strawberry Kiwi Jam.
July 19:Tina had her Pool Walk and Talk Summer program at the YMCA pool. They had 16 in attendance
and she gave a presentation.
July 20 & 21: Tina and two youth health ambassadors attended the Healthy South Texas Summit. Where the
kids learned how to present food demos, learned about Asthma, and Diabetes.
July 26: Tina had her Pool Walk and Talk Summer program at the YMCA pool. They had 16 in attendance
and she gave a presentation.
July31: Tina along with her colleagues meets with Donnie Montemayor to discuss the upcoming Healthy
South Texas initiative and goals for Calhoun county.
