A Motion was made by Commissioner Balajka and seconded by Commissioner Galvan that the minutes
of September 11 and 28, 2003 and October 13, 20 and 23, 2003 meetings be approved as presented. a

PRESENT KOREAN WAR MEDALS TO ERNEst D. lONES
Judge pfeifer read a proclamation to Ernest D. Jones who was inducted into the Uni~ States.AnnY in
July 1952 at the age of 25 years old. Ernest D. Jones served during the Korean conflict suffenng fronl
severe frostbite and separated from the anny in April 1954 with the rank of corporal. Judge Pfeifer
proclaimed that November 13 2003 be Ernest D. Jones Day In Calhoun County, Texas. Mr. John oegg,
Calhoun County Veterans Atfuirs Officer presented a Korean Service Medal with two bronze service
stalS, a United Nations Service Medal, a National Defense Servl~ Medal and a Combat Infantry Badge.
Mr. Jones daughter Carla pinned the medals on her father while Mrs. Jones looked on.

HEAR REPORT FROM MEMORIAL MEDICAL CENTER
Saad Makhail presented the Memorial Medical Center monthly financial report.
Buzz Currier, Hospitai Administrator stated that there are two new physicians Dr. Niratsuwan a family
practitioner with the Port Lavaca Oinic and Dr. 01en, Internal Medidne with Dr. Apostol's Oinic.
A community needs assessment of the county has just been completed and the results of this
assessment will be brought to a critique planning retreat scheduled for December 5, 2003.

INTERGOVERNMENTAL AGREEMENT BElWEEN FRIO COUNlY AND CALHOUN COUNTY
REGARDING HOUSING OF INMATES
A Motion was made by Commissioner Galvan and seconded by Commissioner Floyd to authorize Judge
pfeifer to sign an inlergovemmental agreement between Frio County and Calhoun County regarding
housing of inmates as a backup fadlity. Commissioners' Galvan, Balajka, Floyd, Rnsler and Judge
pfeifer all voted in favor.
Due to an error, the Commissioners' Court and the County Judge received two different contracls to
review for consideration and approval. It could not be detennined whlch contract was passed and voted
on as different figures were on each contract. It was detennined after Court that the item would be
placed on the next agenda with the correct contract disllibuted to the Commissioners for review,

FIXED BASE OPERATION LEASE AGREEMENT
THE STATE OF TEXAS
COUNTY OF CALHOUN
THIS LEASE AGREEMENT made and entered into on this 13th day of November,
2003, by and between CALHOUN COUNTY, TEXAS. a body politic, hereinafter
referred to as LESSOR, and Charlene Rawlings of Port Lavacli, Calhoun County, Texas,
hereinafter referred to as LESSEE.

WITNESSETII:
ARTICLE I
Lessor does hereby lease and rent unto Lessee, and Lessee does hereby lease and rent
from Lessor, for the period of time hereinafter stated and ill accordance with the terms,
covenants, conditions and provisions hereinafter contained, the following described
property located illCalhoun County, Texas, towit:
(I) The following described real property:
Tract I: All that certain tract or parcel ofland containing 1.917 acres out of Lot
30 of the Phillips Investment Company Subdivision of the Valentine Garcia
Survey, A-17, Calhoun County, Texas, and being shown on the plat marked
Exhibit "A" attached hereto, together with the following improvements located
thereon:
(a) Two (2) tanks and (2) pumps for regular aviation gasoline together with the
fuel pits and hoses and any other equipment incidenW thereto. .
(b) The aiIport Hanger

Tract 2: All that certain tract or parcel ofland containing 0.588 of an acre out of
Lot 30 llfthe Phillips Investment Company Subdivision of the Valentine Garcia
Survey, A-17, Calhoun County, Texas, and being shown on the plat marked
Exhibit "B" attached hereto. (Said exhibits "N' and "B" are made a part hereof
for all purposes.)
(2) . One A-frame hoist
(3) One air compressor
SUBJECT, HOWEVER, TO THE FOLLOWING:
1. Regarding the automobile parking area on the above described Tract I,
Lessee and Lessee's employees, agents, and customers shall have the full right to

use said parking area in common with others, it being understood that Lessor
reserves the right for its officers, agents and employees and the general public to
also park automobiles on said parking area.
2. Regarding the waiting room and restroom facilities in the aforesaid airport
hanger, Lessee and Lessee's employees, agents and customers shall have the full
right to use said waiting room and restrooms in common with others, it being
understood that Lessor reserves the right for its officers, agents and employees
and the general public to also have the use of said waiting room and restrooms.
3, Lessor reserves the right to inspect the leased premises and property at any
time.
ARTICLE II
The term of this lease shall be for a period of 90 days, commencing on the first day of
January, 2004, and continuing through the 31 st day of March, 2004.

ARTICLE III
The rental for said leased property shall be the sum of$300.00, which sum shall be due
and payable in 3 payments, the first payment of which shall be due and payable on or
before the first day of January, 2004 and a like payment due the first day of each month
thereafter until paid in full.
ARTICLE N
Lessee shall use the leased property for the purposes hereinafter set out, towit:
1. Lessee obligates himself to furnish at the leased premises the following
services, towit
a. Flight instruction program available by appointment sufficient for
obtaining private pilot license.
b. Aircraft mechanic available by appointment, capable of performing
FAA approved inspections and overhauls on airplanes and helicopters.
c. The Lessee shaH compile a list of airplane rental services in the
area and post same in the airport waiting room. In the event there are
rental planes at the airport, all rentals shaH be limited to those individuals
who, in the sole judgment of Lessee, are responsible and/or qualified to
operate said aircraft.

d. Air taxi service available by appointment.
e. Sale of regular and jet aviation fuel.

f. Sale of aviation oil and lubricants.
g. Storage of airplanes in said hanger and/or the rental of space
therein to others for the storage of airplanes.
2.
Lessee may, at his option, also furnish at the leased premises the following
services, towit:
_
a Sale of Jet Aviation Fuel. In order to do this, Lessee shall, at his
own expense, install the necessary tanks, pumps and related equipment on
Tract 3 of the above described land. In the installation of said equipment,
Lessee shall be governed by any and all applicable gove=ental
regulations. Also, Lessee shall remove said tanks, pumps and related
equipment from the leased premises within ninety (90) days from the
expiration or termination of this lease or any extension hereof, and failure
to do so shall cause said tanks, pumps and related equipment to ipso facto
become the property of Lessor. Further, upon the removal of said tanks,
pumps, and related equipment within said 90 day period, Lessee shall
restore the grounds to the same condition they were in before such tanks,
pumps and related equipment were installed.
b. The management of any haycutting on the premises, with all
revenues from said operation to be retained by the Lessee. Should the
Lessee not exercise this option, the owner shall be responsible for all
mowing.
c. Sale of aircraft and accessories or supplies
d. Painting and maintenance of aircraft.
e. Aerial photography, survey and pipeline patrol

g. Any other service normally associated with aircraft operations
ARTICLE V
For all services, Lessee's operation shall be open and services available seven (7) days a
week for at least nine (9) hours per day (8:00 o'clock A.M. to 5:00 o'clock P.M.) To
facilitate making this possible, Lessee shall be permitted to place two (2) trailer houses
on the above described Tract No. I at a location South of the airport hanger, and Lessee
shall, at his expense, obtain the necessary building permits and septic tank permits from
the Calhoun County Building Inspector, and shall become the property of Lessor upon
termination of this lease or any extension hereon,

ARTICLE VI
Regarding the furnishing of the services enumerated in Article IV above; it is agreed and
understood as follows:
I. Lessee shall furnish good, prompt and efficient service to the public.
2. Lessee shall furnish said services on a fair, equal and not unjustly
discriminatory basis to all users thereof, and
3. Lessee shall charge fair, reasonable and not unjustly discriminatory prices
for each unit or service; provided, that Lessee may make reasonable and
nondiscriminatory discounts, rebates, or other similar types of price reductions to
volume purchasers.
ARTICLE VII
Lessee, in carrying out the terms of this agreement and in exercising any of the rights or
privileges herein granted to him, shall not on the grounds of race, color, or national origin
discriminate or p=it discrimination against any person or group of persons I any
manner prohibited by Part 21 of the Regulations of the Secretary of Transportation,
Lessor is hereby granted the right to take any such action, anything to the contrary herein
notwithstanding, as the United States may direct to enforce this nondiscrimination
covenant.
ARTICLE VIII
It is understood and agreed by Lessee that no right or privilege has been granted which
would operate to prevent any person, firm or corporation operating aircraft on said airport
from performing any services on his, her or its own aircraft with his, her or its own
regular employees (including, but not limited to maintenance and repair) that they or it
may choose to perform.
ARTICLE IX
Notwithstanding anything herein contained that may be or appear to the contrary, it is
expressly understood and agreed that the rights granted under this agreement are non-
exclusive and Lessor herein reserves the right to grant similar privileges to another
operator or other operators on other parts of the airport.
ARTICLE X
Lessee hereby agrees to protect, indemnify and hold Lessor harmless from and against
any and all claims, demands and causes of action of every kind and character (including

the amounts of judgments, penalties, interest, court costs and legal fees incurred by
Lessee in defense of same) arising in favor of governmental agencies or third parties
(including, but not limited to, employees of Lessee) on account of permits, claims, debts,
personal injuries, deaths or damages to property, and without limitation by enumeration,
any and all other claims or demands of every character occurring or in anywise incident
to or in connection with or arising out of the covenants performed (or to be Performed)
by Lessee under and pursuant to the terms of this agreement, or arising out of any other
conduct of Lessee at said airport.
ARTICLE XI
Lessee shall at all times carry insurance coverage as follows:
e
1. Airport Liability of at least $250,000.00 each person and $500,000.00
each occurrence for bodily injury or death and $100,000.00 each occurrence for
injury to or destruction of property, which coverage shall include insurance
coverage for the flight instruction program, the rental of aircraft, services or
aircraft mechanics and inspectors, air taxi service, sale of fuel, oil and lubricants
and any and all other services and/or products that Lessee offers to the public.
2. Also Completed Operations and Products Liability in the amount of at
least $100,000.00 covering aircraft repairs and services.
3. Also Hangerkeeper's Liability in the amount ofat least $100,000.00 with
respect to loss of or damage to anyone aircraft.
4. An additional Insured Endorsement must be included extending all
insurance coverage to Calhoun County, as owner of the airport, and each County
Commissioner and the County Judge individually.
5. In the event the Texas Tort Claims Act (Article 6252.19, Vernon's Texas
Civil Statutes) should ever be amended so as to increase the limits or scope of
liability of a unit of government, then the foregoing insurance coverage shall be
increased to at least equal the limits and cover the scope of Lessor's liability
under such act.

All of such insurance must meet with Lessor's approval, and prior to taking possession of
the leased property, Lessee shall furnish Lessor with a Certificate of Insurance (with 10
day notice Clause) showing he has such insurance; and if requested by Lessor, Lessee
shall submit his insurance policies to Lessor for inspection.
ARTICLE XII
In the event of breach by Lessee of one or more of the terms, covenants and/or conditions
to be performed hereunder, Lessor shall notify Lessee of such matters causing such

breach, whereupon Lessee shall have ten (10) days from the receipt of notice to remedy
such breach, except for such things as Lessee should do, or discontinue doing, or correct,
which create a danger or are derogatory to aviation activities, in whieh event the breach
shall be cured by Lessee immediately. In the event Lessee fails to remedy any such
breach within the specified time, then Lessor may, at its option, terminate this Lease
Agreement in its entirety. Failure of Lessor to so terminate this Lease Agreement in any
one instance of breach shall not constitute a waiver of Lessor's right to so terminate this
Lease Agreement in any subsequent instance of breach.
The term derogatory, as herein used, shall mean those things which hinder or render
aviation activities inconvenient.
ARTICLE xm
Lessee shall not assign this lease not sublet the leased property without the written
consent of Lessor.
ARTICLE XIV
Lessor shall during the term of this lease pay the electric bills for the runway and beacon
lights and existing hanger facility, Lessor shall also furnish Lessee with garbage pickup
service at the airport at least once a week for municipal solid waste.
ARTICLE XV
Lessor shall during the term of this lease maintain the hanger facility. As to all other
publicly owned facilities at the airport, including but not limited to the runways, taxi
ways and aprons, Lessor reserves the right, but shall not be obligated to Lessee, to
maintain, repair, or rebuild the same, together with the right to control all activities of
Lessee in this regard.
ARTICLE XVI
Lessee represents that he has inspected all of the airport premises and improvements,
including the property herein leased, and that he accepts the condition of same as is and
fully assumes all risks incident to the use thereof. Lessor shall not be liable to Lessee for
any damages or injuries to the property or person of Lessee which may result from
hidden, latent, or other dangerous conditions on or at said airport.
ARTICLE XVII
Lessor reserves the right to further develop or improve any area of the airport as it sees
fit, regardless of the desires or view of the Lessee, and with no interference or hindrance
by Lessee.

Lessor reserves the right to take any action it considers necessary to protect the aerial
approaches of said aiIport against obstruction.
ARTICLE XIX
Lessee shall take good care of the demised premises and property, and at the termination
of this lease shall deliver the same to Lessor in as good condition as same were in at the
beginning of the term of this lease, or as same were in after any subsequent repairs or
maintenance, loss by storm, accidental fire, inevitable accident, and normal wear and tear
alone excepted. Lessee shall also keep the leased premises neat and clean at all times.
ARTICLE XX

If said leased aiIport hanger should be destroyed, or damaged to such an extend as to
make same untenentable, by fIre, act of God, accident or other casualty, Lessor may, at its
option, either repair or rebuild the same or terminate the lease, If Lessor shall elect to
rebuild or repair said hanger, the rental shall be abated from the date of such damage or
destruction to the date when said hanger has been rebuilt or repaired so as to make the
same suitable for use and occupancy by Lessee for the purposes contemplated by this
lease. If said hanger shall be damaged but shall remain tenantable and suitable for use by
Lessee, then this lease shall continue in full force and effect and Lessor shall promptly
repair said hanger, provided that from the date of such damage and until said hanger has
been repaired by Lessor, the rental shall be abated in proportion to the amount of floor
space which is rendered unusable to Lessee.
ARTICLE XXI
It is understood and agreed by the parties hereto that the Calhoun County Airport,
together with all of its improvements, constitutes a public aiIport that has been built for
the purpose of serving the public, and Lessee shall conduct his fixed base operation on
this premise.
ARTICLE XXII

It is understood and agreed that this Lease Agreement is subject to and subordinate to and
controlled by the provisions, stipulations, covenants, and agreements contained in those
certain contracts, agreements, resolutions and actions of the Commissioners' Court of
Calhoun County, Texas, and the United States of America and/or the State of Texas, and
their agents, including, but not limited to, the Federal Aviation Administration and the
Texas Aeronautics Commission, and all regulations now or hereafter imposed on
Calhoun County, Texas, the Lessor herein; and that this Lease Agreement and all of
Lessee's operations hereunder shall be subject to and in accordance with all applicable
laws, rules, regulations, orders and/or requirements of the Federal Government, the State
of Texas, the Commissioners' Court of Calhoun County, Texas, and any duly authorized

governmental agency, including, but not limited to, the Federal Aviation Administration
and the Texas Aeronautics Commission, as such laws, rules, regulations, orders andlor

andlor requirements, as the same now or hereafter exist, and all of the aforesaid contracts,
agreements, resolutions and actions of said Commissioners' Court are incorporated
herein by reference,
ARTICLE xxrn
Notwithstanding anything contained in this Lease Agreement which might be construed
to the contrary, it is controllingly provided and understood and agreed by and between
the parties hereto that this agreement is a lease in the strict legal interpretation, and that
Lessee, while performing the services contemplated under this Lease Agreement, shall
not be deemed or considered a servant, agent or employee of Lessor,
It is further expressly provided that either party may terminate this contract without cause
by giving 30 days written notice to the other party.

HEAR REPORT FROM MUSEUM COMMIlTEE
Jan Reagan Chairman of M.useum Committee presented to the court a progress report on the Museum.
At the beginning of this year the Oty of Port Lavaca at the request of the Museum Committee agreed to
lease to the Museum 10,000 square feet of land adjacent to the Bauer Community Cenler. The lease
would be for 99 years at a $1.00 per year. The Committee has also applied for a $5,000.00 grant to be
used to bring a qualified architect to look at the site.
HEAR REPORT FROM TESTENGEER. INC. ON MATAGORDA UGHTHOUSE
Byron Cumberland with Testengeer, Inc. gave an updale on the Matagorda Ughthouse project he
stated that they are still within the budget. Mr. George Fred Rhodes has the historical marker at this
time and will soon be installed on the island in a secured position before the dedication. There will be a
ribbon cutting ceremony early next year to rededicale the Ughthouse and open it up to public visitation.

The LIbrary Board shall encourage the development of the Calhoun County LIlmuy
and its branches. It shall recommend programs for the advancement of the h"brary. It
shall review the annual budget for the hbrary prior to submission of the budget to the
Commissioners Court.
It shall cooperate with all other public and private groups in advancing the best
interest of the Public Library.
It shall render to the Commissioners Court all recommendations it considers advisable
regarding the Library. It shall recommend to the Commissioners Court a qualified and
competent LI"brarian. It shall establish and support policies governing the Library
program, following as closely as pOSSl"ble recommendations and guidance of the
LI"brarian.

Section L Membership
The Calhoun County LI"brary Board shall limit its membership to twelve (12).
Members shall be residents of Calhoun County.
Members shall be required to attend all meetings of the Board, be aware of the
program needs of their own LIbrary and ofLIlJrary trends in their vicinity and elseWhere,
and become familiar with State and Local Library Laws.
The LI"brary Board shall annually appoint two (2) of its members for a six (6) year

Officers of the Board shall be duly elected from the membership of the Calhoun
County Lt"brary Board annually, and shall consist of the following: Chairman; Vice-
Chairman; and Secretary.
The Chairman shall preside at all meetings; appoint special committees as needed;
authorize calls for any special meeting; and be responsible for the functioning of the
Lt"brary Board and its committees.
The Vice-Chairman shall assume the duties of the Chairman in his absence.

The Secretary shall keep a true and accurate typed account of all Board meeting
proceedings; shall have custody of the minutes of the Board; and shall perform such
secretarial duties as required.
Section IlL Meetings
Meetings of the Calhoun County Library Board shall be held on the first Thursday of
January, March, May, July, September, and November.

Special meetings may be called by the Chairman of the Library Board or upon the
request of three members thereof; for the transaction of business stated in the call for the
mooting.
Notice shall be sent to the membership of the Library Board at least (3) days before
the meeting.
Any member of the Library Board who misses two consecutive meetings shall be
notified by the Chairman that they have been dropped from the Board The only excuses
that will be accepted are that the member in question was out of town or was ill.
Members must noillY the Chairman or the Secretary before any scheduled meeting if they
wish to be excused.
Section N. Committees

Appointed committees shall serve until the completion of the project or assignment for
which they were appointed and shall make a progress report to the Library Board at each
meeting.
Section V. Quorum
A quorum for the transaction of business shall consist of a majority of the members of
the Lt"brary Board (7).

Section VL Librarian
The Librarian shall be an ex-office member of the Library Board and shall have
charge of the administration of the Calhoun County Library System under the direction
and review of the Library Board. The L'brarian shall be held respollSlole for the care of

efficiency of the Library's service to the public, and for the operation of the L'brary
under the financial conditions set forth in the annual budget. The Lbrarian shall attend
all regular Lbrary Board Meetings.

I. All Calhoun County residents are entitled to a free h'brary card. All residents of
the State ofT exas with valid T exShare cards are also entitled to use all h'brary
services. T exShare patronS must have a current library card at their home library
and must be in good standing.
2. Correct verification is proof of residence by having identification showing current
residence address and telephone number of the applicant. It can be a driver's
license or photo identification card. A bill receipt, telephone listing, a postmarked
piece of mail showing the current address, a tax bill receipt showing that the
applicant o\Ws property in ClIlhoun County or elsewhere in Texas, or any other
current piece of address identification needs to be accompanied by a photo ID of
some sort, unless the applicant is known to a member of the Library staff The
Lt'brary personnel will initial the application to show that the ID was satisfactory.
3. A man or woman may receive a library card without proof of residence, if the
spouse has a card in good standing and the spouse's application has correct
verification.

is verification of the reference by the Library. If instant verification is made, the
new applicant is considered a patron in good standing and is allowed to check out
up to the allowed limit of materials.

8. Materials checked out on a lost card are the responsibility of the owner of the
card, until the library is notified of the card's loss and this notification is duly

the discretion of the librarian. Restitution of a library card is at the discretion of

INTERLOCAL COOPERATION CONTRACT
.
This Inter]ocal Cooperation Contract (Contract) is entered into by and between the General Land
Office (GLO) and Calhoun County, Texas (County), pursuant to the authority granted by and in
compliance with the provisions of the Interlocal Cooperation Act, Sec. 791.001, et seq., Tex. Gov't
Code Ann. (Vernon ]994 & Supp. 2004). Collectively, the GLO and the County will be referred to
as "the Parties" in this Contract,
RECITALS
WHEREAS, the GLO has been designated the lead State agency for response to oil spills in coastal
waters and the County is the operator of a mobile bilge water pwnpout unit (Mobile Unit) and two
polyethylene storage tanks at Navigation Harbor, Seadrift, Texas; and
WHEREAS, the GLO and the County are mutually committed to minimizing the threat to coastal
waters from the unauthorized diseharge of oil and oily bilge wastewater from vessels; and
WHEREAS, in furtherance of the goal of keeping Texas coastal waters, estuaries, marshes, tidal
fiats, beaches, and public lands as pristine as possible, the GLO desires to prevent unauthorized
discharges of oil. by providing assistance to the County in connection with the placement and
maintenance of the Mobile Unit and two polyethylene storage tanks for receipt of oily bilge
wastewater discharges from vessels operating in Texas coastal waters and the Gulf of Mexico; and
WHEREAS, the GLOwill provide the Mobile Unit to the County and will assist the County in
maintaining the Mobile Unit; and .
WHEREAS, the County has agreed to operate and maintain the Mobile Unit;
NOW, THEREFORE for, and in consideration of, the mutual covenants herein contained, the GLO
and the County agree as follows:

ARTICLE I. PURPOSE
1.01 PROJECT. In strict conformance with the terms and conditions of this Contract, the
County will operate and maintain the Mobile Unit and two polyethylene storage tanks (the
"Project").
1.02 PROJECT MANAGERS. The GLO and the County shall each designate a single point of
contact as its liaison for resolution of issues relative to the operation and maintenance of the Mobile
Unit. Subject to change with notice to the other party, the GLO designates Mr. Dale Smith, Oil
Spill Prevention and Response Division, as its Project Manager and the County designates The
Honorable Kenneth W. Finster, Commissioner of Precinct No.4, as its Project Manager.

ARTICLE II. GENERAL PROVISIONS
e
2_01. RESTRICTED USE. The Mobile Unit and polyethylene storage tanks shall be used only
for the disposal of used oil and oily bilge wastewater from commercial fishing and recreational
vessels, and will not be used for disposal of any other type of material or waste from a vessel or
from any other facility. Any other use of the Mobile Unit and polyethylene storage tanks must be
authorized in advance, in writing, by the GLO.
2.02. COMPLIANCE WITH LAWS. The County agrees to comply with all applicable State
and federal regulations, pennit conditions, contingency plans, and other laws, regulations. and
requirements imposed by law including, but not limited to, regulations governing the disposal or
recycling of used oil or oily waste. The GLO agrees to waive any fee that might be required of the
County for obtaining a discharge prevention and response certificate for the Mobile Unit pursuant to
the Oil Spill Prevention and Response Act. and to assist the County in planning for and responding
to unauthorized discharges of oil from the Mobile Unit.
2.03. LIMITED ACCESS. The County will make the Mobile Unit available for use by the
public. When it is not being used, the Mobile Unit will be stored in a secure location on County
property.

2.04. USE BY THE GLO AND USCG. The County agrees that the Mobile Unit will be made
available for disposal of oily water generated by the GLO or the United States Coast Guard (USCG)
during an oil spill response if the quantity and quality of the oily water does not exceed the capacity
of the Mobile Unit. Both the GLO's Project Manager and the County's Project Manager must agree
to allow the disposal of oily water at the Mobile Unit by either the GLO or the USCG. No disposal
of extremely heavy oil, weathered oil, sludge, tar, asphalt, or oil with dangerously high
concentrations of aromatic hydrocarbons, such as benzene or toluene, will be allowed,

ARTICLE m. OPERATION OF THE MOBILE UNIT AND
STORAGE TANKS
3.01. COUNTY OBLIGATIONS. The County will provide the following services:
(a) Operating and Maintaining the Mobile Unit. The County will provide services for the
operation and maintenance of the Mobile Unit including, but not limited to, the following:
.
(i) operating, cleaning, and maintaining the Mobile Unit in good working condition:
monitoring its daily operation; and collecting data on its use;
@ notifying the OLO Project Manager regarding any necessary repairs to the Mobile
Unit or polyethylene storage tanks;
(ui) ensuring compliance with all applicable regulations, pennit conditions, contingency
plans, and waste disposal and other applicable laws and regulations for operating the
Mobile Unit;
.(iv) operating the Mobile Unit during nonnal business hours and assuring that it will be
available and easily accessible to the public for the discharge of used oil and oily
bilge wastewater;
(v) notifying the OLO, as soon as possible, when the Mobile Unit cannot be used for
disposal of used oil and oily bilge wastewater due to needed repairs, maintenance, or
for any other reason; and
(vi) assisting in the discharge of oily bilge wastewater from vessels into the Mobile Unit.

(b) Preparing and Submitting Quarterly Reports to the GLO. Upon request, the County shall
report to the OLO the quantity of oil and water that has been collected by the Mobile Unit. The
County shall also provide, upon request, copies of any manifests that it received'during the quarter
as a result of the transportation of oil to an oil recycler or disposal facility and copies of the
. declarations of inspection generated during the quarter.
(c) Assisting vessels discharging waste oil to the Mobile Unit. When a vessel has requested
pennission to discharge into the Mobile Unit, a trained employee of the County will:
(i) complete a declaration of inspection form (provided by the OLO) every time any
vessel discharges oily bilge wastewater into the Mobile Unit;
(u) monitor the operation of the vessel discharging oily bilge wastewater into the
Mobile Unit;
(iii) monitor the Mobile Unit's components to ensure there are no accidental
overflows;
(iv) after the vessel has completed the discharge of oily bilge wastewater into the
Mobile Unit, ensure that the oily bilge wastewater is pumped from the Mobile
Unit into a polyethylene storage tank;
(v) after transfening the oily bilge wastewater into the polyethylene tank, ensure that
all valves are closed and secured, both on the Mobile Unit and the polyethylene
tank; and .

(vi) after transferring the oily bilge wastewater into the polyethylene tank, ensure that
the Mobile Unit is stored in a secure location on county-owned property.
(d) Maintaining Project Records. The County shall keep the declarations of inspection for
vessels that discharge oily bilge wastewater into the Mobile Unit for at least two (2) years. The
County shall also require, file, and maintain copies of receipts or manifests from any waste oil
recycling or disposal company that removes waste oil from the Mobile Unit or the two polyethylene
storage tanks. In addition, the County shall maintain records of. the quantity of oil and water
collected by the Mobile Unit. .
3.02. GLO OBLIGATIONS, The OLO will provide the following services to assist in the
operation of the Mobile Unit:

(a) The OLO will make necessary repairs to the Mobile Unit and polyethylene storage tanks to
ensure the equipment is capable of being used by the County to eollect oily bilge wastewater from
vessels; and
(b) The OLO will arrange and pay for the pick-up and transport of the oily wastewater collected
from vessels using the Mobile Unit and stored in the polyethylene storage tanks.
(c) The OLO will regularly visit and monitor the Mobile Unit to determine whether it is being
operated in accordance with the terms of this Contract.
3.03. RESPONSlliILITY FOR CLEAN-UP COSTS FOR UNAUTHORIZED
DISCHARGES OF OIL THAT ENTER TEXAS COASTAL WATERS. In the event of an
unauthorized discharge of oil from the Mobile Unit into Texas coastal waters that is not caused by
an act or omission of a third party, the OLO will be solely responsible for all clean-up and disposal
costs associated with the spill. In the event of an unauthorized discharge of oil from the Mobile
Unit caused by an act or omission of a third party, the OLO may designate the third party as the
responsible party for the discharge. The OLO reserves the right to designate the County as the
responsible party for an unauthorized discharge of oil into Texas coastal waters caused by the gross
negligence of a County employee or Contractor.
ARTICLE IV. MONETARY COMPENSATION
4.01. CONSIDERATION, The Parties agree that no exchange of funds shall occur between the
parties under this Contract.

4.02. EXPENDITURES. The County shall keep accurate records of all labor, equipment, and
material expenses incurred in the maintenance and operation of the Mobile Unit. The records
will be subject to review and audit by the OLO or its duly authorized agent upon written request
to the County.

V. PROJECT AUDIT
5.01. BOOKS AND RECORDS. Contracts, subcontracts, invoices, and other required
documentation to evidence and properly support the actual Project costs shall be maintained by the
County for a period of four (4) years and delivered to the OLO on request. The OLO reserves the
right to audit any County account related to the expenditures for the operation and maintenance of
the Mobile Unit and any records required to be retained by the County.
VI. TERM OF CONTRACT
.
6.01. DURATION. This Contract shall be effective as of September 1, 2003, and shall terminate
upon completion of the Project or on August 31, 2004, unless extended or renewed by the Parties, or
terminated earlier as provided below.
6.02. EARLY TERMINATION. If an issue arises that cannot be resolved to the satisfaction of
the Parties, either party may notify the other party in writing of the unresolved issue. If the issue has
not been satisfactorily resolved within fourteen (14) days of the written notification, either party
may terminate this Contract with seven (7) days' written notice. Early termination will be subject to
an equitable settlement of the respective interests of the Parties accrued up to the date of
termination.

6.03. DISPUTE RESOLUTION. If a contract dispute arises that cannot be resolved to the
satisfaction of the Parties, either party may notify the other party in writing of the dispute. If the
parties are unable to satisfactorily resolve the dispute within fourteen (14) days of the written
notification. the OLO may require the issuers) to be mediated. In such event, the OLO shall so
notify the County and furnish the County with the names of three (3) mediators acceptable to the
OLO. Within ten (10) days of such notice, the County shall select a mediator from the list provided
by OLO and notify the OLO. The mediation shall occur within thirty (30) days of such notification.
Prior to the mediation, each party will provide the mediator with a statement of issues to be
mediated, along with any other information or documents required by the mediator. Cost of the
mediator shall be borne equally by the Parties. Any dispute resolution shall be conducted in
accordance with TEx. OOV'TCODEANN. ch. 2260 (Vernon 2000 & Supp. 2004).
ARTICLE VII. EVENTS OF DEFAULT
7.01. EVENTS. Each instance of the County's or the OLO's failure to comply with any material
term, covenant or provision contained in this Contract shall constitute an event of default (Event of
Default) under this Contract.

7.02. REMEDIES. Upon the occurrence of any such Event of Default, both the County and the
OLO shall be entitled to avail themselves of any equitable or legal remedy.

7.03. NO WAIVER. No waiver of any Event of Default shall be considered a waiver of any
other or subsequent Event of Default, and no delay or omission in the exercise or enforcement of the
rights and powers of the GLO or the County shall be construed as a waiver of any such rights or
powers.
ARTICLE VIll. MISCELLANEOUS
e
8.01. SUBCONTRACTS. It is mutually understood and agreed that the County may subcontract
with others for some or all of the services to be performed hereunder. The County shall legally bind
any such subcontractors to perform and make such subcontractors subject to all the duties,
requirements, and obligations of the County specified herein. Nothing herein shall be construed to
relieve the County of the responsibility for ensuring that the services rendered comply with all the
tenus and provisions of this Contract. The County will provide the GLO with copies of all
subcontracts and all amendments, cancellations, or terminations of such subcontracts upon request.
8.02. INDEPENDENT CONTRACTOR. It is further mutually understood and agreed that the
County is contracting with the GLO as an independent contractor and AGREES TO HOLD THE
GLO HARMLESS TO THE FULL EXTENT PERMITTED UNDER THE
CONSTITUTION AND LAWS OF THE STATE OF TEXAS FROM AND AGAINST ANY
AND ALL CLAIMS, DEMANDS, AND CAUSES OF ACTION ARISING FROM THE
NEGLIGENT ACTS OR OMISSIONS OF THE COUNTY, ITS EMPLOYEES OR
AGENTS IN CONNECTION WITH THE PERFORMANCE OF SERVICES BY THE
COUNTY OR ITS SUBCONTRACTORS UNDER TIllS CONTRACT.
8.03. IllSTORICALL Y UNDERUTILlZED BUSINESSES (HUBs). In accordance with state
law, it is the policy of the GLO to make good faith effort to assist HUBs, whether minority or
women-owned, to participate whenever possible in providing goods and services_ The GLO
encourages those parties with whom it contracts for the provision of goods and services to adhere to
this same philosophy in selecting subcontractors to assist in fulfilling the obligations of this
Contract. The County will provide the Purchasing Department of the GLO with pertinent details of
any participation by a HUB in fulf1lling the duties and obligations ilrising hereunder.
8.04. NON-DISCRIMINATION. The County assures and shall obtain assurances from all its
subcontractors that no person shall, on grounds of race, creed, color, handicap, national origin, or
sex, be excluded from, denied the benefit of, or be subjected to discrimination under any program or
activity funded in whole or part under this Contract.

8.05. NO DEBT. This Contract shall not be construed as creating any debt on behalf of the State
of Texas and/or the GLO in violation of Sec. 49, Art, ill of the State Constitution. In compliance
with Sec. 6, Art. VIII of the Constitution, it is understood that all obligations of the GLO are subject
to the availability of funds. If such funds are not appropriated or become unavailable, this Contract
may be terminated. In that event, the Parties shall be discharged from further obligations, subject to
the equitable settlement of their respective interests accrued up to the date of termination. .

8.06. GOVERNING LAW AND VENUE. This Contract shall be governed and construed in
accordance with the laws of Texas. Venue of any suit brought for breach of this contract shall be
fixed in any court of competent jurisdiction in Austin, Travis County, Texas; provided, however,
the foregoing shall not be construed as a waiver of sovereign immunity by either party.
8.07. SEVERANCE. Should anyone or more provisions of this Contract be held to be void,
voidable, or for any reason whatsoever of no force and effect, such provision(s) shall be construed
as severable from the remainder of this Contract and shall not affect the validity of all other
provisions of this Contract,which shall remain in full force and effect.
8.08. HEADINGS. The headings contained in this Contract are for reference purposes only
and shall not in any way affect the meaning or interpretation of this Contract.

8.09. INCORPORATION BY REFERENCE. Incorporated by reference the same as if
specifically written herein are the rules, regulations, and all other requirements imposed by law,
including but not limited to compliance with those pertinent rules and regulations of the State of
Texas and those of federal agencies providing funds to the State of Texas, all of which shall
apply to the performance of the Services under this Contract.

8.10. ENTIRE AGREEMENT. This Contract constitutes the entire agreement of the
Parties. No other agreement, statement, or promise that is not contained in this Contract shall be
binding except a subsequent written modification signed by both Parties.
The GLO certifies that it has the authority to enter into this Contract by virtue of the authority
granted in the Oil Spill Prevention and Response Act, Texas Natural Resources Code, Section
40.007,
The County certifies that it has the authority to enter into this Contract by virtue of the Interlocal
Cooperation Act, Gov't Code 791.001, et seq.

BIDS AND PROPOSALS.;.. FUEL BIDS
The County Auditor read the following fuel bids, which were opened November 6, 2003 by Ben
Comiskey and Susan Riley, for the period beginning .November 16, 2003 and ending December 15,
2003. After reviewing said bids, a Motion was made by Commissioner Bafajka and seconded by
Commissioner Aoyd to accept the bid of Mauritz.& Couey for the automated card system fuel and
Diebel 011 Company for fuel to be delivered as the low bidders. Commissioners' Galvan, Balajka, Floyd,
Rnster and Judge Pfeifer all voted In favor. .

ACCOUNTS ALLOWED - COUNTY
Cairns totaling $2,483,409.88 were presented by the County Treasurer and after reading and verifying
same, a Motion was made Commissioner Rnster and seconded by Commissioner Galvan that said cialrns
be approved for payment. Commissioners' Galvan, Balajka, Floyd, Flnster and Judge Pfeifer all voted In

GENERAL DISCU~ON - CATHOUC CHURCH PLAYGROUND PROPERTY

Commissioner Floyd spoke to the court regarding Our Lady of the Gulf Catholic Church playground
property, The appraisal of the property has been started to derennine the value of the schools
playground and should be completed by the end of the month. Ms. Lockhart has talked with Father
Dan and is going to talk with the Bishop and will get a letter that allows us to access the property for
COnstruction prior to finalizlng the deal on the value. It looks like the property for the new jail is moving
along good and will come out okay.

DRUGS. INSECTICIDES. ROAD MATERIALS AND PIPES DITOR
TO ADVERTISE FOR BIDS
A Motion was made by Commissioner Balajka and seconded by Commissioner Royd to approve
specifications forbids for asphalt, olis and emulsions, Indigent drugs, Insectiddes, road materiais and
pipes and authorize the County Auditor to advertise for bids. The bids need to be received by
December 4, 2003 and will be awarded on December 11, 2003. Commissioners' Galvan, Balajka, Floyd,
Rnster and Judge pfeifer all voted In favor.
Court adjourned at approximately 2:00 pm.
