MEMORIAL MEDICAL CENTER - MONTHLY FINANCIAL REPORT
Saad Mikhail gave the Memorial Medical Center monthly financial report for the period
ending March 31, 2002.
Mr. Buzz Currier, Hospital Administrator, recapped the report, stating they are staying
within their budget and expenses are within reason. A complete assessment is needed
and reports will be presented to the Hospital Board next week They continue to follow
their course of action. The number of beds will be reduced to 49 as the government will
give reimbursements for hospitals under 50 beds.

They have given recommendations for the Memorial Medical Plaza and are awaiting a
decision. He mentioned that contracts for ER continue to increase. Insurance policies
have risen 40%. The biggest challenge is keeping the right mix of employees The
Health Fair at the hospital had record attendance from the community. The strategic
planning session was held. Results will be sent to the Court after Board approval. Mr.
Currier said he will deliver copies of reports to the court at the County Auditor's Office
after the reports have been approved by the Board.

AMENDMENT REGARDING CRIME
Commissi~ne~ Finster asked anyone to identify themselves who is associated with this
matter. Dlstnct Attorney Dan Heard said at the last session he was asked to meet with
the Harbor and he did. He said Harbor Director Tammy Hernandez advised the Board
approved the Resolution which would resolve the issue.

Judge Marshall stated no action was taken. Mr. Heard said he would be available
concerning this issue.

ADOPT TELECOMMUNICATION INFRASTRUCTION FUND GRANT
Larry Nichols, Calhoun County Independent School district Superintendent, addressed
the Court regarding the $250,000 non-competitive grant to assist in education of adults in
Calhoun County. The School will bear the brunt of the load, will provide buildings,
teachers and coordinator. He asked that each entity commit to $3,000 matching funds a
year for three years. The grant required that we have three years sustainability. He is
looking to bring technological education to the community at a low cost It will also be
available to county employees to do training at county offices.
A Motion was made by Commissioner Finster and seconded by Commissioner Balajka to
adopt the TIF Grant Resolution adding comments regarding the $3,000 expenditure for
three years.
Commissioner Floyd said the $25,000 grant is a one-year grant Does that cover the
initial cost? What is the on-going cost after that? Mr Nichols said the grant required that
we have a three-year sustainability and we propose the first year to offer low cost classes
and we don't expect this to pay for itself The second and third year is the sustainability
clause - no money. For this clause, we ask the $3,000 from the entities and we bear the
school program and ask more for the classes; this should pay for itself This is a 10%
match, $25,000 split between the entities (6 entities = $18,000; the school district pays
the balance).
Commissioners Balajka, Floyd, Finster and Judge Marshall all voted in favor
Commissioner Floyd asked to be notified if the other entities adopt the Resolution. Linda
Davenport, with the school district, said they would be notified in July if the application
is approved. The money must be spent immediately (within 30 days). The County may
have one member on the board.
RESOLUTION
WHEREAS, the TIF Board is requesting proposals to assist communities in the
planning, development and implemcm;J.tion of local community networks through a
maximum award of $250,000 in seed money and a 10% cash match, Business,- CCISD and
the community entities will collaborate to produce this local community network that will
serve and grow with the community; and
WHEREAS, this grant will benefit under.served populations of our community
including Pan O'Connor, Seadrift, Point Comfort and Pan Lavaca and all of Calhoun
County by providing training in computer literacy skills, access to community technology
jabs, access to the brewer and access to distance learning via videoconfcrencing; and
THEREFORE, BE IT RESOLVED, that Calhoun County Commissioners' Court
suppons the community networking grant which will provide the technology tools and
training needed for the 21" century; and
FUR"fHER, Calhoun County shall contribute to the 10% cash match not to exceed
$9,000.00 in a three year period; and
FURD-IER. Calhoun County shall appoint a member of Commissioners' Coun as

CODE ENFORCEMENT OFFICER - POSITION VACANCY

Present at Court for this matter were Amy Connors of Port Lavaca Sharon Barfield of
Houston, Linda Earnest of Port Lavaca and Ken Morris of Port Alto. '
Mrs. Barfield stated there is a great need for a code enforcement officer at Magnolia
Beach. Some people there totally disregard the code and court orders' she submitted a
le~er re~arding same. Judge Marshall said the Court has not conside;ed discontinuing
thIS posll1on. Ms. Connors said she lives on Magnolia Beach where some deadbeat
landowners do not attend to their properties - it is a hazard. She has to take care of other
people's property. She has to take care of other people's property. She has been afraid
of snakes, insects, bees, etc. due to the condition of these places. Mrs. Barfield said she
had called the health department years ago and they did nothing. She mentioned one
place at Alamo Beach in terrible condition
Commissioner Balajka stated a code enforcement officer should deal with all violations
and violators. The code sets the guidelines and procedures and should be followed
through with court action, etc.
Judge Marshall explained the procedure. She said follow-up has not been done on
previous complaints. Commissioner Floyd said if people do not respond to the Code
Officer, it is reported to the District Attorney for prosecution. Judge Marshall said after it
goes to the DA the Code Enforcement Officer is out of the process. Commissioner
Finster stated there are t-wo different courts. The procedure adopted by the
Commissioners court sets the rules. Commissioners' Court can't overrule the District
Attorney. Commissioner Floyd said we have a responsibility to provide a Code
Enforcement Officer. He said since we are under contract with Victoria City-County
Health Department, they should follow up on some of these complaints. We cannot help
with people who will not take care of their property. Possibly, a lawsuit could be filed.
Commissioner Balajka suggested the District Attorney order the County to clean up and
then the District Attorney will file a lien on the property.

Judge Marshall asked for the address of the house with the bees and was told it is on
Turpen Street. The fire department cannot enter private property; and an exterminator
should be called. She will follow up on the bees and see if there is record of a previous
complaint
Commissioner Floyd said the Court should (I) determine if this is a full or part-time
position (2) advertise to fill a full time position and (3) determIne how to handle a part-
time position.
Judge Marshall will send a copy of the Ordinance to Ms. Connor and ten copies to each
of the precincts for distribution.

BIDS AND PROPOSALS - BILLING SERVICE FOR EMERGENCY
MEDICAL. SERVICES AND NEGOTIATE CONTRACT
Commissioner Floyd read the proposals received for Emergency Medical Services billing
services which were reviewed and evaluated by Commissioners Floyd and Finster and
Henry Barber. Copies had been sent to the Court. They selected Alexander Billing and
Consulting, Inc.
A Motion was made by Commissioner Floyd and seconded by Commissioner Finster that
the Court select Alexander Billing and Consulting, Inc. as the most qualified proposal for
EMS billing service and authorize contract negotiations with that firm for EMS billing
services. Commissioners Balajka, Floyd, Finster and Judge Marshall all voted in favor.

INDIANOLA BEACH SHORELINE PROTECTION PROJECT GRANT -
ENGINEERING SERVICES

Commissioner Balajka said estimates received for repairs for the Fairgrounds Pavilion

Tills agenda item was passed.
DEPARTMENT HEAD SUPERVISION POLICY AND PROCEDURES
Commissioner Floyd stated his concern regarding the Department Head Supervision
Policy that limits department heads to all the Court members and limits himself in regard
to being able to consult with department heads without going through their supervisor.
A Motion was made by Commissioner Floyd and seconded by Commissioner Balajka to
rescind the Motion of November 12, 1999 regarding departmcnt head supervision policy
reporting procedures and revert back to procedures used before that time.
In discussion, Commissioner Finster asked if a person feels there is a problem in any
department and brings it to the Court for discussion, does that fall under a "closed
meeting"? Commissioner Floyd said if it is a performance problem it would probably
come under a "closed meeting". If its just routine business, probably not.
Commissioner Floyd, Finster and Balajka voted for the Motion. Judge Marshall opposed.
GRANT APPLICATION PROCEDURE

Commissioner Floyd was concerned that the Court gets put in a position for approving a
grant after it has been applied for He would like for any grant applications to be
approved by the Court before they apply and receive the grants. Judge Marshall
commented time is sometimes a factor in regard to grants. Commissioner Balajka
suggested holding a special scssion for such circumstances.
A Motion was made by Commissioner Floyd and seconded by Commissioner Balajka
that all grants applied for come before the Court for approval prior to applying for any
grant All departments must come to the Court for approval. Commissioners Balajka,
Floyd, Finster and Judge Marshall all voted in favor

POLICY AND PROCEDURE MANUAL FOR COUNTY EMPLOYEES
Commissioner Finster stated he has revised a Policy and Procedure Manual for County
Employees draft for the Court's review. He will discuss it with the attorney and bring
revised policy to the court. The deadline is the end of June.
No action was taken.
CALHOUN COUNTY MUSEUM ASSETS
County Auditor Ben Comiskey discussed the artifacts at the Calhoun County Museum,
insurance and the actual owner of same.
A Motion was made by Judge Marshall and seconded by Commissioner Floyd to adopt
the policy regarding Calhoun County Museum assets. Commissioners Balajka, Floyd,
Finster and Judge Marshall all voted in favor.

into a Mutual Aid Agreement with Jackson County regarding emergency or disaster from

MUTUAL AID AGREEMENT
The contracting cities and counties solemnly agree:
SECTION 1. PURPOSE
The purpose of this agreement is to provide mutual aid between counties in meeting
emergency or disaster from enemy attack or other cause, natural or otherwise. This agreement is
made pursuant to the Texas Codes and Constitution See. 791.027 Emergency Assistance, the
Interlocal Cooperation Act, Vernon's Texas Civil Statutes, Article 4413 (32c), and Vernon's Texas
Codes AnnrJuted" Government Code Chapter 418, eommon!y referrerl ~o as the Te:IaS Disll!'ter Act of
1975. This agreement recognizes that the prompt, full and effective utilization oftbe resources of
the respective counties is essential to tbe safety, care and welfare of the people thereof in the event
of a major emergency or disaster. The Directors or Coordinators of Emergency Management of all
party counties shall constitute a committee to formulate plans and take all necessary steps for the
implementation of this agreement. Such planning shall incorporate the use of resources, including
personnel, equipment, and supplies necessary to provide mutual aid.

SECTION 2. RESPONSmILITIES
It shall be the duty of each party county to formulate emergency management plans and
programs for application within their own county. Tbere sball be frequent consultation between
the representatives of the counties with the State of Texas and the free exchange of information and
serrices. In carrying out such emergency management plans and programs, the party counties
shall, so far as possible, provide and follow uniform standards, practices and rules and regulations
including:
(a) Warnings and signals for exercises or disasters and the mechanical
devices to be used in connection therewith;
(b)
Shutting 01T water mains, gas mains, electric power connections and
the suspension of all other utility services;
Selection of all materials or equipment used or to be used for

emergency management purposes to assure that such materials and
equipment will be easily and freely interchangeable when used in or by
any other party county;
e
(d)
The conduct of civilians and the movement and cessation of
movement of pedestrians and vehicular traffic, prior, during and
subsequent to exercises or disasters.
(e) The safety of public meeting or gatherings.
Any par;y county requestec.: to render mutual aid shall takto such action as is necessary to
provide and make available the resources covered by this agreement in accordance with the terms
hereof; provided that it is understood that the county rendering aid may withhold resources to
the extent necessary to provide reasonable protection for their own county. Each party county
while operating within the county limits of the aided county under the terms and conditions of this
agreement, has the same powers (except that of arrest uuless specifically authorized by the receiving
county), duties, rights, privileges and immunities as if they were performing their duties in which
normally employed or rendering services. Emergency management forces will continue under the
command and control of their regular leaders, but the organizational units will come under the
ePer3tional control of the emergency management authorities of the county receiving assistance.
Requests for mutual aid under this agreement may be made through the State Disaster
District organization, the county emergency management organization, or directly by the
incident commander.
SECTION 3. LL4.BlLTIY
No party county or its officers or employees rendering aid in another county pursuant to
this agreement shall be liable on account of any act or omission in good faith on the part of
such forces while so engaged, or on account of the maintenance or use of any equipment or
supplies in connection therewith.

SECTION 4. SUPPLEMENTARY AGREEMENTS
Inasmuch as it is pro~ahle that the pattern and detail of the arrangements for mutual aid
among two (2) or more counties may differ from that appropriate among other counties party
hereto, this instrument contains elements of a broad base common to all counties, and nothing herein
contained shall preclude any county from entering into supplementary agreements with another
county or counties. Such supplementary agreements may comprehend, but shall not be limited to,
provisions for evacuation and reception ofinjured and other persons, and the exchange of medical
care, fire, police, public utility, reconnaissance, welfare, transportation and communications
personnel, equipment and supplies.
SECTION 5. COMPENSATION
Each party county shall provide for the payment of compensation and death benefits to
injured members of the emergency management forces of that county and the representatives of
deceased members of such forces in case such members sustain injuries or are killed while
rendering aid pursuant to this agreement, in the same manner and on the same terms as if the injury
or death were sustained within their own county.
SECTION 6. FINANCE
Any party county rendering aid in another county pursuant to this agreement shall not seek
reimbursement from the party county receiving such aid for any loss or damage to, or expense
incurred in the operation of any equipment answering a request for aid, and for the cost ineurred
in connection with such requests; provided, that any aiding party county will assume in whole or
in part such loss damage expense, or other cost, and provided further that any two (2) Of m!!f!! party
counties may enter into supplementary agreements establishing a different allocation of costs as
among those counties.
SECTION 7. SEVERABILITY
This agreement shall continue in force and remain binding on each party county until the
Commissioners' Court of such party county takes action to withdraw therefrom. Such action shall

not be effective until 90 days after notice thereof has been sent by the Emergency
Management Director of the party county desiring to withdraw to the Emergency Management
Director of all other party cou~ties.
This agreement shall be construed to effectuate the purpose stated in Section I, hereof. If
any provision of this agreement is declared unconstitutional, or the applicability thereof to any
a persons or circumstances is held invalid, the constitutionality of the remainder ofthe agreement
. and the applicability thereof to other persons and circumstances shall not be affected thereby.
SECTION 8. APPLICABILITY
This agreement shall became operative immediately upon its approval by any county as
between it and any other county or counties so ratifying. Duly authenticated copies of this
agreement and of such supplementary agreements as may be entered into shall, at the time of
their approval, be deposited with each of the party cities and counties and with the Division of
Emergency Management and other appropriate agencies of the State of Texas.
This agreement shall become binding and obligatory when it shall have been signed by the
County Judge of the respective counties enumerated in this agreement; when it shall have been
approved by the Commissioners' Court of eacb county.

INDIGENT DEFENSE GRANT
A Motion was made by Commissioner Finster and seconded by Commissioner Balajka to
proceed with the Resolution regarding the indigent defense grant program in the amount
of $10,964 as a means of reimbursement. Commissioners Balajka, Finster, Floyd and
Judge Marshall all voted in favor.
RESOLUTION
WHEREAS, under the provisions of the Fair Defense Act, 77'" Regular
Session, counties are eligible to receive financial assistance from the Task Force on
Indigent Defense to provide indigent defense services in the county; and
WHEREAS, this grant program will assist the county in the implementation
of the provisions of the Fair Defense Act and the improvement of the indigent
criminal defense services in this county: and
WHEREAS, Calhoun County Commissioners' Coun has agreed that in the
event of loss or misuse of the funds, Calhoun County Commissioners' Coun assures
that the funds will be returned in full to the Task Force on Indigent Defense.
NOW, THEREFORE, BE IT RESOLVED that the County Judge of this
County is designated as the Authorized Official to execute the grant application for the
Indigent Defense Expense Program and all other necessary documents to accept said
grant; and
BE IT FURTHER RESOLVED that the County Judge is designated as the
Program Director and Contact Person for this grant and the Count Auditor is
designated as the Financial Officer for this grant.

GENERAL DISCUSSION - INVOICES REGARDING GRANTS
Commissioner Finster asked where information regarding payment of bills concerning
grants could be found in the Court Records. Leroy Belk thought the bills would be given
to whoever is in charge of the grant. Commissioner Finster would like for it to be put in
the records as to where bills are submitted. This will be put on a later agenda.
ACCOUNTS ALLOWED-COUNTY

Claims totaling $775,370.84 were presented by the County Treasurer and after reading
and verifying same, a Motion was made by Commissioner Finster and seconded by
Commissioner Balajka that said claims be approved for payment. Commissioners
Balajka, Floyd, Finster and Judge Marshall all voted in favor.
ACCOUNTS ALLOWED - HOSPITAL INDIGENT HEALTHCARE
Claims totaling $130,575.07 for Hospital Indigent Healthcare were presented by the
County Treasurer and after reading and verifying same, a Motion was made by
Commissioner Floyd and seconded by Commissioner Finster that said claims be
approved for payment. Commissioners Balajka, Floyd, Finster and Judge Marshall all
voted in favor.
COUNTY TREASURER'S OUARTERLY REPORT AND INVESTMENT
REPORT
The County Treasurer presented her Quarterly Report for the period January I, 2002
through March 31, 2002 and her Investment Report for the Quarter ending March 31,
2002 and after reading and verifying same, a Motion was made by commissioner Floyd
and seconded by Commissioner Finster that said reports be accepted as presented.
Commissioners Balajka, Floyd, Finster and Judge Marshall all voted in favor.

WORKSHOP - COUNTY'S PROPERTY, GENERAL LIABILITY AND FLEET
INSURANCE COVERAGES

Present at the meeting were John Debler and Pam Petrie with GSM Insurors and Craig
Lindsey with Trident Insurance Company. Trident Insurance Co. will propose to replace
the Zurich Polices, which will not be renewed.
Pam stated the majority of the problem is the mold and the County has received a
$150,000 partial payment on the courthouse mold. Craig's company has the ability to
exclude mold which would not penalize you for the previous mold claims which leaves
the County a better light regarding mold.
Regarding automobiles, for five years your automobile loss ratio has been 49%, which is
not very bad for five years. The county has had physical damage on every vehicle. He
suggested not carrying this on older vehicles as one option to lower premiums.
Commissioner Finster stated the majority of the Sheriff's vehicles are not very old. Pam
suggested not carrying physical coverage on any vehicles older than 1993. Calhoun
County has a 473% loss ratio for five years for your package because of mold. Zurich
cannot exclude mold at this time; also, they said the mold claims were reported late.
Craig discussed self-insured retention. Trident are administrators for city and county
governments. It was formed by the Texas Association of Political Subdivisions, which
includes Victoria and Wharton counties. It is a group-purchasing company so they are
able to do things which Zurich cannot because they don't have to follow the rules of the
State Board of Insurance. They can tailor make a policy for you if feasible for the
program. Law enforcement and public offICials' liability policies can be included in the
package policy.

Craig stated Trident can give a quotation through the TAPs Program which would not
allow us to do a SIR on that type of program but to have the ability to approach other
markets - if the County wants to retain $50,000 worth of what their loss is and does not
want to purchase insurance over that, we can do that but a lot of paperwork is involved
for you and you are using that $50,000 but the reinsurer of that will want to write the
check and you reimburse them because they don~t want that $50,000 turning into
$500,000 by not being handled by a claims adjuster.
Commissioner Floyd asked if TAPS, not being covered by their Insurance Board, if we
want an SI~ would the reinsurer cover this. Craig answered that it depends on if the
reinsurer is admitted in the State~ if yes, it would be covered.

Regarding premiums, Craig will figure policies without mold coverage and will work
with deductibles. Have wind and hail under another policy and a $2,500 across the board
deductible.

He said a self-insured retention will be more costly in the long run and involves a lot of
paperwork It requires you to have a certain amount of money in the bank that
administrators can draw off of In large cities, were no one will sell insurance to them
because of their size, they have a huge staff to handle paperwork, etc. in the self-
retention.
County Auditor Ben Comiskey stated the specifications have already been sent out.
Perhaps Craig can put some options in that (1) leave out vehicles for physical coverage
over 5 years old (without fire trucks), (2) have $2,500 across the board deductible on all
vehicles, and (3) include elected officials liability insurance.
Pam stated the auto coverage is a fleet policy and you don't have to report every new
vehicle, it is automatically covered. It is added on at the time of renewal; you don't have
additional premium but also don't have return premium if you get rid of it. It evens itself
out. The larger the deductible, the less the premium.
Cindy Mueller, with the Auditors Office asked if there could be a larger deductible on
buildings; it is $1,000 now. Craig answered yes and there is a discount, though not very
large.
Commissioner Floyd asked how we would know if we are getting the best price if this is
not bid. Craig said he could set it up 90 days ahead of time and give a renewal figure for
you. He did say a 15 to 20 per cent increase in general liability could be expected the
way things are today.

Commissioner Floyd asked Craig to look at the county's coverage and make
recommendations and evaluations to reduce the costs. Craig said to consider where you
want your maximum to be.
Comiskey asked him to determine our best option and put this in his bid. It is too late to
change our specification. Our policy expiration is so near that there is not much time to
review it; may have to make a decision the same day the bids are opened.
Craig said the best thing is to prevent accidents. He will need information to quote public
officials liability and also information on instances of hiring, firing or lawsuits.
RESOLUTION OF SUPPORT FOR COMMERCIAL SHRlMPlNG
A Motion was made by Commissioner Finster and seconded by Commissioner Floyd to
adopt the Resolution in Support of Commercial Fisherman and Fair Representation to
Preserve one of the Calhoun County's Major Industries.
In discussion, Commissioner Finster stated there will be more communication between
Texas Parks and Wildlife Department and the shrimpers.

Judge Marshall said the Resolution wil1 be sent to Texas Parks and Wildlife Department
and our legislators.
Commissioners Balajka, Floyd, Finster, and Judge Marshall all voted in favor.

RESOLUTION
WHEREAS, Calhoun County commercial fisheries export some of the finest
seafood available with the profit sustaining multiple businesses located within the
County and providing a good income source for many of OUf county's familiesi and
WHEREAS, it is necessary for our commercial fishermen to receive support and
representation from our legislative representatives, only possible through better and
more timely communications between bur representatives and Texas Parks and Wildlife
representatives; and
WHEREAS, preservation of our protected estuaries is necessary for the re-
population of shrimp and fish in our bays and is therefore vital to the livelihood of our
commercial fishermen. Better notification of meeting and careful scrutinizing discharge
permit applications, and support from our legislative representatives, will serve to
protect our imponant resources. Funher, protection of the essential freshwater source
from the Guadalupe River is important to avoid irrevocable damage to our delicate
ecosystem; and
WHEREAS, proper labels, including country of origin, and regular testing of
imported seafood intended for public consumption will protect the health of our
consumers and the maintain public's confidence in our products resulting in a stronger
market for our products; and
WHEREAS, necessary expenses involved in fishing industry can be cost
prohibitive. Commercial Industries license fees have increased for two consecutive
years. Times are economically trying for everyone including commercial fishermen.
Fewer and smaller incremental increases in fees can alleviate some of the hardships
imposed on the industry.
THEREFORE, BE IT RESOLVED, that Calhoun County Commissioners'
Court encourages support of our commercial fishermen and fair representation to
preserve one of Calhoun County's major industries.

Commissioner Floyd said he proposed to work out a contract with Ray Associates, Inc
for classification and compensation study for a\1 fu\1-time county employee positions at a
cost of $49,480 with expenses not to exceed $4,948. Ray Associates offered options
regarding performance evaluation and training, which I suggested we not go into at this
time and go into the positions and maybe later do evaluations

Dear Commissioner Floyd:
Ray Associates is pleased to have been selected by the Calhoun County Commissioners Court to provide
our services to Calhoun County. We have prepared this letter of agreement in response to our discussions
during your recent visit.
Scone of Services
Ray Associates will provide Calhoun County with the consulting services outlined in our Classification
and Compensation System Proposal, prepared in accordance with the County's RFP No. 01-11-07, and
dated January 24,2002. Each component of the project is listed below.
Initial Presentation and Preliminary Review. To begin the project, Ray Associates will make a
presentation before the Commissioners COllrt to explain and discuss the project and the process to be
followed, the products, and the time frame for the engagement. Elected officials and appointed
department heads will be invited to this meeting so that all of the key leaders of the county will be
have the same opportunity to participate in a discussion of the project simultaneously. Ray
Associates will use the information gained at this initial meeting to gather infDrmation about the
county's current organizational structure, organizational issues, and classification and pay issues. We
will gather additional information for this review through interviews with the members of the
Commissioners COllrt, other elected officials and department heads, and appointed department heads.
Those interviews will be scheduled in concert with the employee interviews discussed below.

Following the interviews, we will prepare an organizational chart showing county-wide reporting
relationships and identifying organizational issues that need to be addressed. We will submit the
reslllts of the preliminary review to the Commissioners Court for additional project directiDn and fDr
any initial decisions resulting from this first step.

Employee B~iefings~ Job Description Questionnaires, and Interviews. Within one to two weeks
after the Initial meetmg wIth county I.eaders, Ray Associates will conduct briefing sessions for all
county employees, dUring which we will explain the project, the process to be followed, the products
of th.. study, and th~ tllne f:ame. Employees will be asked to complete a job description
quesltonnaJre, whl.ch Will be reViewed by two levels of supervision. We will go through each part of
the quest!onnaJre In detail Wit!' employees at the briefing sessions, to ensure clear understanding of
the questions and the II1formatlOn requested. A designated central contact person with the county will
return the completed questIOnnaires to Ray Associates.
Once we have received and reviewed the completed questionnaires, Ray Associates will conduct
interviews of county officials and employees, including elected and appointed department heads, as
well as a representative sample of other employees. We will make a special effort to interview
employees who request an interview. The questionnaires and interviews will be used as the basis for
organizational charts, job descriptions. and classification and pay analysis for both internal equity and
market competitiveness.
Job Descriptions. Ray Associates will prepare a job description for each county job title, based on
the review of the job description questionnaires, the interviews with supervisors and managers, and
the employee interviews. Each job description will be consistent with the Americans with Disabilities
Act (ADA) and the Fair Labor Standards Act (FLSA) and will reflect the appropriate FLSA status, as
well as the Equal Employment Opportunity Commission (EEOC) designation for each job. In
addition, we will prepare inventories of job titles in three formats (alpha, by pay group, and by
department).
Ray Associates will submit draft job descriptions to the county for review and agreement prior to
drafting the salary survey instrument or scoring the jobs for internal equity. This ensures that the
county and consultants are in agreement as to job content. Following the county's review of the
drafts, estimated at approximately two weeks. Ray Associates will make any necessary revisions. and
will submit final job descriptions to the county.
Salary and' Bcnefits Survey (External Equity/Market Competitiveness). Ray Associates will
prepare a salary survey instrument containing job summaries for the county's selected benchmark job
titlesj using the job duty information contained in the job description questionnaires. We also will
prepare a benefits survey instrument cOlltaining detaiJed questions about the specific benefits
provided by the surveyed employers. We will submit drafts of both market survey instruments to the
county for review to ensure accuracy before we distribute the questionnaires to the market employers.
Ray Associates will assist the Commissioners Court in determining the list of 12 employers to be
included in the market survey. We will provide a suggested list of employers for the survey, showing
comparative information such as population, tax ratc, budget size, and number of employees for the
suggested county governments. We expect to recommend only Texas counties and industry
employers located in Calhoun County, such as possibly Formosa, Alcoa, DuPont, BP Amoco, and/or
Dow Chemical. We also will consult with the Commissioners Court regarding how competitive the
county wishes to be in the selected market.
Ray Associates will distribute the survey instruments to each selected employer for completion. We
will call each employer in advance of faxing, e-mailing, or mailing the survey instrument to secure an
agreement to participate. We will conduct follow-up telephone interviews with each employer
surveyed, if necessary, to ensure accuracy of comparisons and of data received.
Ray Associates will receive, analyze, and compile the resulting data for each portion of the market
survey. This will include generating charts that calculate and demonstrate how the county's salaries
compare with both the average and median of others in the market, and preparing benefit tables that
list and compare the specific provisions of the surveyed employers' benefits packages.
After analyzing the data, Ray Associates will prepare a Report on Salary and Benefits Survey that
details our methodology, findings, and recolllmendations.
Point Factor Job Analysis (Internal Equity). To ensure internal equity between and among jobs
within the same department and across departmentallincs, Ray Associates will score each county job
using our point factor job analysis system, according to the following 10 factors: required knowledge,
skills, and abilities; education and training; independence and judgment; initiative and ingenuity;

supervisory responsibility; financial responsibility; level and frequency of outside contacts; physical
demands; responsibility for equipment and property; and working conditions.
After internal equity point scores have been reviewed, we will review salary equity with similar jobs
outside the county using the market data that we collected in the salary survey. Points may be added
to or deducted from point scores in specific job families for market adjustments, allowing all jobs to
be tied either directly or indirectly to the market data.
Creation of an Updated Pay Plan. Ray Associates will discuss with the Commissioners Court their
desired degree of competitiveness with the market (i.e., leading, trailing, or maintaining a mid-market
position), as well as the advantages and disadvantages of various types of pay schedules. After
receiving input from the Commissioners COUl1, Ray Associates will prepare a new pay schedule for
the county, and will determine the proper placement of each job on the new pay schedule, taking into
consideration both internal and external equity, as well as the county's desired level of competi-
tiveness in the market.
Ray Associates will develop procedures for administration and maintenance of the new classification
and pay plan, ensuring consistency with current government and business practices. These procedures
will help to ensure that, following the implementation of the classification and pay plan, the county
can effectively administer and maintain the plan well into the future, and continue to attract and retain
qualified and competent employees.
Implementation of the New Compensation Plan. After each county job has been appropriately
placed on the new pay schedule, Ray Associates will prepare a transition cost schedule, showing the
following information for each county employee: employee's name; current job title; recommended
new job title, if appropriate; current salary; recommended pay group and step (if applicable); and
recommended salary on the pay schedule. The transition cost schedule also will reflect the resulting
cost to the county, if any. to implement the job placement recommendations (i.e., the difference
between the total recommended salaries and the total current salaries).

Ray Associates will submit preliminary recommendations to the Commissioners Court for review and
questions prior to finalizing our recommendations. This will allow for clarification of any
misunderstandings on either side before making the recommendations public. We also will discuss
with the Commissioners Court and department heads, if desired, various strategies for implementation
of the plan. Such strategies could include either phasing in the plan over time, or delaying
implementation for several months in order to make the cost of implementation consistent with the
county budget, while ensuring equitable treatment of all county employees.
Principal Katherine B. Ray, SPHR. will prcsent our final recommendations to the Commissioners
Court, and will recommend adoption of the new pay plan.
Review of the County's Personnel policies. Ray Associates understands that the county has
recently reviewed and updated its personnel policies, including review by legal counsel. Ray
Associates agrees to review the county's personnel policies and make any recommendations for
changes related to the county's classification and pay system, as well as to report to the county on any
suggested policy changes based on best local government practices.
Ongoing Sen'ices. For all of our clients we otTer telephone consultations regarding implementation a
and update of our work without charge. Some of our clients elect to retain us to provide ongoing ·
assistance to ensure that their human resources systems remain updated and current. These services
typically involve one or more of the following:

meeting of key county leaders, including both elected and appointed department heads, in which we
will work through a series of decisions about the type of performance evaluation or assessment
system that will work best in CalhDun CDunty. We will cover purposes Df perfDrmance assessment
systems, the types of systems in place elsewhere, legal considerations. as well as the importance of
the process versus the form.
Once the leaders come to consensus abDut what will work best in Calhoun County, Ray Associates
will design a customized performance assessment system for the county, including handbooks for
employees and supervisors. When the systelTI is complete, Ray Associates will train the cDunty's
elected officials, managers. and supervisors in how to conduct effective performance assessments.
The training scssiDn will be a highly participative, hands-on seminar including questions and answers,
videos. role plays. and a case study tD allDw county supervisors to use the new system immediately.

Each final written product will be submitted in eight copies, one "camera-ready" and seven bound, as well
as electronically in Microsoft Word or Excel, as appropriate. Katherine B. Ray, SPHR, a principal of the
firm, will make the final presentation and will be actively involved throughout the project.
Time Frame
Ray Associates is prepared to begin work on this engagement upon authorization by Calhoun County.
Work will be completed within 120 days (four months) of the start date. If there will be a substantial
budgetary impact, Ray Associates will provide estimJted cost impact data to the county before the end of
August 2002.
Cost
The total estimated cost for Ray Associates to conduct the basic components of this engagement is
$49,480 plus actual, reasonable, and documented expenses not to exceed 10 percent of this amount
($4,948). In addition, Calhoun County will reimburse Ray Associates for the cost of printing or other
reproduction of documents in excess of the number of copies included as a part of this agreement.

Should the county decide to pursue the optional Performance Evaluation and Training component, the
added cost would be $10,570, plus actual, reasonable, and documented expenses not to exceed 10 percent
of this amount ($1,057).
Invoices and Prol!ress Renorts
Ray Associates will submit monthly invoices to Calhoun County, including a short progress report on the
status of the project. The County agrees to promptly pay invoices. Invoices and progress reports will be
presented on the following schedule:

Non-discrimination. Ray Associale~ is an equal opportunity employer and will not discriminate

Compliance with Other Laws. Ra)' Associates will comply with applicable state and federal laws in
the conduct of this engagement.
Miscellaneous Ter-ms
Per:sonal Liability. An individual signing this letter agreement is not personally liable under it. and
parties agree to seck recourse solely against the county or Ray Associates, Inc., respectively.
Materials. Ray Associates assumes responsibility for furnishing normal items necessary to perform
these services, including, but not limited to, office space, furniture, equipment, software. supplies. and
local telephone services.
Assignment. Ray Associates agrees not to assign this contract_
Entire Agreement. This letter contains the entire agreement of the parties.
Location. This agreement is made in Texas and Texas laws govern its interpretation and
performance.
Cancellation. This agreement may be cancelled by either party upon 30 days' written notlce of
cancellation. If lhe agreement is cancelled by either party, Ray Associates agrees to provide the
counry with \vork papers, documents. and reports produced under the contract prior to the lime of
cancellation; and Calhoun Coullty agrees to pay Ray Associates, Inc. for all work performed under
tile agreement prior 10 receipt of notice of cancellation.

Commissioner Finster informed the court an old school building in Seadrift has been
offered to the Cou.nty as a library. It has been appraised at $35,000 and appears to be in
very good conditIon. He suggested the Friends of the Library determine if it is
desirable. The City of Seadrift owes the County $35,000 for the road going to the school.
