Flnster Commissioner, Precinct 4 Wendy Mahn Deputy County Clerk Thereupon the following proceedings were had:. - Commissioner Galvan gave the Invocation and Commissioner Finster led the Pledge of Allegiance. HEAR REQUEST FROM REPRESENTATIVE OF THE CALHOUN COUNTY ECONOMIC DEVELOPMENT COMMITTEE AND TAKE ANY ACTION NECESSARY• David Roberts representative of the Calhoun County Economic Development Committee spoke to the Court in regards to developing a Economic Development Corporation In Calhoun County. The Committee feels In order to be successful they need to be government and industry combined. Industry is very favorable they have divided up 187 businesses and they are ready to get on board but are waiting to see what the government Is going to do. The committee went to the Calhoun County Navigation DisMct and they agreed to 25,000 per year for three years to get this up and going. The committee Is asking the County to contract with the Economic Development Corporation for $25,000 per year. A Motion was made by Commissioner Balajka and seconded by Commissioner Galvan to enter Into a one-year contract with the Calhoun County Economic Development Corporattoti. Commissioners' Galvan, Balajka, Floyd, Flnster and Judge Pfeifer all voted in favor. CONSIDER AND TAKE ACTION ON BIDS FOR RECONSTRUCTION OF PORT O'CONNOR PIER - SAID BIDS WERE OPENED APRIL 20, 2004: A Motion was made by Commissioner Fnster and seconded by Commissioner Balajka to award the contract for reconstruction of the Port O'Connor Pier to Cary Construction In the amount of • $147,313.00. Commissioners' Galvan, Balajka, Floyd, Flnster and Judge Pfeifer all voted In favor. AGREEMENT BETWEEN OWNER AND CONTRACTOR THIS AGREEMENT is dated as of the 22nd day of April in the year 2004, by and between the COUNTY OF CALHOUN (hereinafter called OWNER) and CARY CONSTRUCTION . (hereinafter called CONTRACTOR). OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth, agree as follows: .01 THE WORK: CONTRACTOR shall complete all Work as specified of indicated in the Contract Documents. The Work is generally described as follows: RECONSTRUCTION OF PIER AT. BAYFRONT-PARK, PORT O'CONNOR, TEXAS FOR CALHOUN COUNTY PRECINCT NO.4. .. t. .02 ENGINEER: The Project has been designed by G & W Engineers, Inc., 205 West Live Oak, Port Lavaca, Texas, 77979, who is hereinafter called ENGINEER and who will assume all duties and responsibilities and will have the rights and authority assigned to ENGINEER in the Contract Documents in connection with completion of the Work in accordance with the Contract Documents. .03 CONTRACTTIMES: a. Calendar Days The Work shall be complete and really for final payment in accordance with - - • Paragraph 14.07 of the General Conditions within 45 Calendar Days arier the date when the Contract Times commence to con. b. Liquidated Damages OWNER and CONTRACTOR recognize that time is of the essence in this Agreement and that OWNER will suffer financial loss if the Work is not substantially complete within the time specified in paragraph 3.a above, plus any extensions thereof allowed in accordance with Article 12 of the General Conditions. They also recognize the delays, expense and difficulties involved in proving in a legal or arbitration proceeding the actual loss suffered by OWNER if the Work is not substantially complete on time. 00500.1 475 Accordingly, instead of requiring any such proof, OWNER and CONTRACTOR agree that as liquidated damages for delay (but not as a penalty) CONTRACTOR shall pay OWNER Three Hundred ($300.00) for each day that expires after the time specified in paragraph .03.a for completion and readiness for final payment. .04 CONTRACT PRICE: • OWNER shall pay CONTRACTOR for performance of the Work in accordance with the Contract Documents in current funds as per CONTRACTOR's proposal which forms a part of this contract. Contract Price shall be for the ALTERNATE BID AMOUNT $147,313.00. .05 PAYMENT PROCEDURE: CONTRACTOR shall submit Applications for Payment in accordance with Article 14 of the General Conditions unless otherwise amended by the Supplementary Conditions. Applica- tions for Payment will be processed by ENGINEER as provided in the General Conditions. a. Prowess Payments OWNER shall make progress payments on account of the Contract Price on the basis of CONTRACTOR's Applications for Payment as recommended by ENGINEER and as provided below. All progress payments will be on the basis of the progress of the Work measured by the schedule of values provided for in Article 2 of the General Conditions. 1. Progress payments will be in an amount equal to the percentage indicated below, but, in each case, less the aggregate of payments previously made and less such amounts as ENGINEER shall determine, or OWNER may withhold • in accordance with Paragraph 14.02.13.5 of the General Conditions. A. 90% of the Work completed (with the balance being retainage) B. 90% (with the balance being retainage) of materials and equipment not incorporated in the Work (but delivered, suitably stored and accompanied by documentation satisfactory to OWNER as provided in Paragraph 14.02.A.1 of the General Conditions). 2. Request for Payments All requests for payments shall be divided into materials costs and labor/equipment costs. Final Payment Upon final completion and acceptance of the Work in accordance with Paragraph 14.07 of the General Conditions, OWNER shall pay the remainder of the Contract Price as recommended by ENGINEER as provided in said paragraph. .06 INTEREST: 0 All moneys not paid when due hereunder shall bear interest at the maximum rate allowed by law at the place of the Project. .07 CONTRACTOR's REPRESENTATIONS: In order to induce OWNER to enter into this Agreement, CONTRACTOR makes the following representations: a. CONTRACTOR has examined and carefully studied the Contract Documents (including the Addenda listed in paragraph 8) and the other related data identified in the Bidding Documents including "technical data." b. CONTRACTOR has visited the site and become familiar with and is satisfied as to the general, local and site conditions that may affect cost, progress, performance or furnishing of the Work. C. CONTRACTOR is familiar with and is satisfied as to all federal, state and local Laws and Regulations that may affect cost, progress, performance and furnishing of the Work. d. CONTRACTOR has carefully studied all reports of explorations and tests of . subsurface conditions at or contiguous to the site and all drawings of physical conditions in or relating to existing surface or subsurface structures at or contiguous to the site (except Underground Facilities) which have been identified in the Supplementary Conditions as provided in Paragraph 4.02.A of the General Conditions. CONTRACTOR accepts the determination set forth in the Supplementary Conditions to the extent of the "technical data" contained in such reports and drawings upon which CONTRACTOR is entitled to rely as provided in Paragraph 4.02.A of the General Conditions. CONTRACTOR acknowledges that such reports and drawings are not Contract Documents and may not be complete for CONTRACTOR's purposes. CONTRACTOR acknowledges that OWNER and ENGINEER do not assume responsibility for the accuracy or completeness of information and data shown or indicated in the Contract Documents with respect to Under.ground Facilities at or contiguous to the site. CONTRACTOR does not consider that any additional examinations, investigations, explorations, tests, studies or data are necessary for the performance and furnishing of the Work at the Contract Price, within the Contract Times and in accordance with the other terms and conditions of the Contract Documents. e. CONTRACTOR is aware of the general nature of the Work to be performed by OWNER and others at the site that relates to the Work as indicated in the Contract Documents. CONTRACTOR has correlated the information known to CONTRACTOR, information and observations obtained from visits to the site, reports and drawings identified in the Contract Documents and all additional examinations, investigations, explorations, tests, studies and data with the Contract Documents. g. CONTRACTOR has given ENGINEER written notice of all conflicts, errors, ambiguities or discrepancies that CONTRACTOR has discovered in the Contract Documents and the written resolution thereof by ENGINEER is acceptable to CONTRACTOR, and the Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for furnishing and performing of the Work. .08 CONTRACT DOCUMENTS: The Contract Documents which comprise the entire Agreement between OWNER and CONTRACTOR are attached to this Agreement, made a part hereof and consists of the following: a. RESOLUTION IN SUPPORT OF THE BENEFICIAL USE PROJECT TEXAS GULF INTRACOASTAL WATERWAY AND THE ARANSAS WILDLIFE REFUGE WHEREAS, the United States Army Corps of Engineers has developed two beneficial use of dredged material projects along the Texas Gulf Intracoastal Waterway and within the Aransas National Wildlife Refuge; and WHEREAS, the purpose of the projects is to replace wetlands that have been lost over the years; and WHEREAS, the U.S. Army Corps of Engineers has asked the Texas Department of Transportation to fund the planting of marsh vegetation at the project locations over the next few years; creating desired habitat, stabilizing dredged material, providing erosion protection, and decreasing shoaling rates in the Gulf Intracoastal Waterway; and WHEREAS, one of the benefical use projects is within Calhoun County; and the • county's natural resources, marine industry, commercial and recreational fishing, and our ecotourism industries will benefit from such project; and WHEREAS, the proposed projects are for the good of the State of Texas and in no way intends to decrease the value of State land and coastal resources. STATE OF TEXAS )( COUNTY OF VICTORIA )( MEMORANDUM OF UNDERSTANDING THIS Memorandum of Understanding (MOU) is entered into between Gulf Bend MHMR Center, established and operated as a Community MHMR Center pursuant to Chapter 534 Subchapter A, TH&SC and designated as a local MH and/or MR authority pursuant to Subchapter B (hereinafter referred to as "Center"), and Calhoun County Jail (hereinafter referred to as "Jail"). I. BACKGROUND • The General Appropriations Act, 78th Texas Legislature, 2003 in reference to funding the Texas Department of Criminal Justice ("TDCJ") included a Rider 68 that states: "... Continuity of Care. Out of the funds appropriated above in Strategy B.1. L, Special Needs Projects, the Texas Council on Offenders with Mental Impairments (now Texas Correctional Office on Offenders with Medical or Mental Impairments "TCOOMI") shall coordinate with the Texas Department of Mental Health and Mental Retardation ("TDMHMR"), county and municipal jails, and community mental health and mental retardation centers on establishing methods for the continuity of care for pre -and post - release activities of defendants who are returned to the county of conviction after the defendant's competency has been restored. The Council shall coordinate in the same manner it performs continuity of care activities for offenders with special needs. As part of the Continuity of Care Plan and out of funds appropriated above in Strategy A1.1., Special Needs Projects, the Texas Council on Offenders with Mental Impairments shall provide a 90-day post -release supply of medication for a defendant who, after having been committed to a state mental health and mental retardation facility for restoration of competency under Chapter 46, Code of Criminal Procedure, is being returned to the committing court for trial. The 90-day supply of medication shall be the same as prescribed in the Continuity of Care Plan prepared by the state mental health and mental retardation facility... " II. STATEMENT OF UNDERSTANDING A. The Jail will provide new generation medications to defendants committed under Texas Code of Criminal Procedure, Chapter 46B and released from a state MHMR • facility ("state facility") to proceed with trial after a determination of competency ("defendants"). The new generation medications that are covered include the following: 1. Abilify 4. Seroquel 2. Zyprexa 5. Clozaril 3. Risperdal 6. Geodon B. TDMHMR will provide defendants with 14 days of medication upon release from the facility. TCOOMMI will reimburse the remaining 76 days and should only reimburse for the actual time the defendant is in custody pending a determination of guilt or innocence. At such time a finding is made, the reimbursement will be terminated. 526) IV. C. Center, expressly contingent upon approval of reimbursement for new generation medications by TDCJ/TCOOMI, may either: 1. reimburse the Jail for providing such medications; or 2. if circumstances allow, provide such medications to the defendant directly. D. Reimbursement made to the Jail shall: 1. not exceed the price paid by the Center for community defendants. (In the event the Jail or the medical provider for jail services can demonstrate to the Center a lower cost than that of the Center for a new generation medication, then the reimbursement rate will be the lower of the two rates.); and 2. be the same as that specified in the continuity of care plan developed for the defendant by the state facility. E. Center shall have the right to audit the Jail's expenditures specific to those defendants who were committed under Code of Criminal Procedure, Chapter 46B and who will receive medications under this MOU. Any exceptions will require the Jail to reimburse the Center for funds expended outside the parameters of this MOU. BASIS FOR CALCULATING REIMBURSABLE COSTS A. If the Center will reimburse the Jail such shall be: 1. for prices not to exceed the price paid by the Center for community consumers defendants, and 2. in an amount not to exceed $244.00 per defendant per month. If costs are anticipated to exceed this amount, the Jail shall be required to submit appropriate documentation and obtain prior written approval from the Center. B. Any reimbursement period shall not exceed 76 days and will only be reimbursed for the actual time the defendant is in custody pending a determination of guilt or innocence, but in no event shall said reimbursement period exceed 76 days. At such time a determination is made, the reimbursement for new generation medications will cease. C. Medications provided by the state facility to defendants will be considered as part of the allowable 90-day period, PAYMENT OF REIMBURSEMENTS A. If reimbursement is to be made, Jail shall submit invoices to the Center by the 10th day of each month for new generation medications provided during the preceding month. The invoice submitted by the Jail is required to provide a listing of the defendants' names, their identification numbers, and the date that new generation medications reimbursements began for the each defendant. C. The Center shall submit needed information to TDCJ/TCOOMMI for authorization to reimburse the Jail. Such reimbursement shall be made within 30 days of receipt of authorization by the Center. • V. RELATIONSHIP OF PARTIES A. The Center is associated with the Jail only for the purposes and to the extent set forth herein with respect to the performance of understanding hereunder. The Jail shall have the sole right to supervise, manage, operate, control, and direct the performance of the details incident to its duties hereunder. Nothing contained herein shall be deemed or construed to create a partnership or joint venture, to create the relationships of an employer -employee or principal -agent, or to otherwise create any liability for either party whatsoever with respect to the liabilities and obligations of the other party. B. The Center hereby designates Ernie Moss, Director, Provider Services, or his/her designee, to serve as the continuity of care worker and contact for the state facility and liaison to Jail for all defendants. The Jail hereby designates Tim Smith, Jail Administrator, or his/her designee, to serve as the liaison for implementation of this MOU. VI. MISCELLANEOUS A. Either party may terminate this MOU, without cause, upon thirty (30) days prior written notice to the other party. Within twenty (20) days after the effective date of termination, the Jail shall submit its final invoices for services rendered prior to the date of termination. • B. This MOU and any written modifications constitute the sole agreement of both parties. Any oral agreements or understandings outside the terms of this MOU shall be void. C.
