Commissioner Galvan gave the Invocation and Commissioner Finster led the Pledge to the US Flag and
Commissioner Fritsch led the Pledge to the Texas Flag.
PURCHASE OF REAL ESTATE FOR USE BY MEMORIAL MEDICAL CENTER FOR BUILDING OF A
RURAL HEALTH CLINIC, INCLUDING, BUT NOT LIMITED TO A PORTION OF PROPERTY
OWNED BY CALHOUN COUNTY INDEPENDENT SCHOOL DISTRICT THAT IS LOCATED IN LOTS
2-5, BLOCK 2 OF TILLEY SUBDIVISION, PORT LAVACA, CALHOUN COUNTY, TEXAS,
BORDERED BY VIRIGINIA STREET, VICTORIA COLLEGE CALHOUN COUNTY CAMPUS,
COMMERCE STREET AND NEWLIN STREET, PORT LAVACA, TEXAS, CONTAINING
APPROXIMATELY 6.5 ACRES OF LAND, MORE OR LESS:
Rolando Reyes, Memorial Medicai Center Board of Directors Chairman opened a special hospital board
meeting with a forum. Jason Anglin, Memorial Medical Center, CEO spoke regarding the purchase of real
estate for building the Memorial Medical Center Rural Health Clinic. He said they have been looking for
some time for property to build the rural clinic and he feels this is the best location. The property has the
needed space for what the clinic needs at this time and plenty of space to expand in the future. There
will be plenty of parking and it is located on a main road in Port Lavaca. It is also close to MMC for
specialized testing that might need to be done, and it is close enough for fast response in case of an
emergency. It is Mr. Anglin's recommendation to the Court that the property be purchased from the
Calhoun County Independent School District in order to build the Memorial Medical Center Rural Health
Clinic. Anne Marie Odefey, said she has prepared the contract and it is identical to the one that was
presented to the Court in February with the only one change being the closing date of August 2013 which
allows time for a survey to be done on the property.
A Motion was made by DJ. Williams and seconded by Michael Chavana Trustees of the Memorial Medical
Center Board of Directors to approve the request to purchase the property owned by Calhoun County
Independent School District, all were in favor.
A Motion was made by Commissioner Galvan and seconded by Commissioner Lyssy to approve the
purchase of Real Estate for use by Memorial Medical Center for building of a Rural Health Clinic, including
but not limited to a portion of property owned by Calhoun County Independent School District that is
located in Lots 2-5, Block 2 of Tilley Subdivision, Port Lavaca, Calhoun County, Texas, bordered by
Virginia Street, Victoria College Calhoun County Campus, Commerce Street and Newlin Street, Port
Lavaca, Texas containing approximately 6.5 acres of land, more or less. Commissioner Galvan, Lyssy,
Fritsch, Finster and Judge Pfeifer all voted in favor.
A Motion was made by Bob Bonar and seconded by Susan Foester to adjourn the Memorial Medical
Center Board of Directors Special Meeting at 10: 10 a.m., all were in favor.

2. PROPERTY:
A. "Property" means that real property situated in Calhoun
at corner of Newlin and Virainia Streets. Port Lavaca. Texas
and that is legally described on the attached Exhibit or as follows:
approximately 6.5 acres, more or less, in the Maxima-Sanchez Abstract located at the corner
of Newlin and Virginia Streets and Newlin and Commerce Street, Port Lavaca, Texas, said
final tract to be determined by a survey provided for below. A proposed map of said property
boundaries is attached hereto as Exhibit "A".

B. Seller will sell and convey the Property together with:
(1) all rights, privileges, and appurtenances pertaining to the Property, including Seller's right, title, and
interest in any minerals, utilities, adjacent streets, alleys, strips, gores, and rights-of-way;
(2) Seller's interest in all leases, rents, and security deposits for all or part of the Property; and
(3) Seller's interest in all licenses and permits related to the Property.

3. SALES PRICE:
A. At or before closing, Buyer will pay the fallowing sales price for the Property:

4. FINANCING: Buyer will finance the portion of the sales price under Paragraph 3A(2) as follows:

Seller's other remedies under Paragraph 15 by providing written notice to Buyer before Buyer deposits

B. Buyer will deposit an additional amount of $ with the escrow agent to be made
part of the earnest money on or before:
o (i) days after Buyer's right to terminate under Paragraph 7B expires; or

Buyer will be in default if Buyer fails to deposit the additional amount required by this Paragraph 5B

6. TITLE POLICY AND SURVEY:
A. Title Policy:
(1) Seller, at Seiler's expense, will furnish Buyer an Owner's Policy of Title Insurance (the title policy)
issued by Gulf Coast Title Comoany (title company)
in the amount of the sales price, dated at or after closing, insuring Buyer against loss under the title
policy, subject only to:
(a) those title exceptions permitted by this contract or as may be approved by Buyer in writing; and
(b) the standard printed exceptions contained in the promUlgated form of title policy unless this
contract provides otherwise.
(2) The standard printed exception as to discrepancies, conflicts, or shortages in area and boundary
lines, or any encroachments or protrusions, or any overlapping improvements:
o (a) will not be amended or deleted from the title policy.
It (b) will be amended to read "shortages in areas" at the expense of \If Buyer 0 Seller.
(3) Within 5 days after the effective date, Seller will furnish Buyer a commitment for title insurance
(the commitment) including legible copies of recorded documents evidencing title exceptions.
Seller authorizes the title company to deliver the commitment and related docurnents to Buyer at
Buyer's address.
B. Survey: Within

days after the effective date:
IiIf (1) Buyer will obtain a survey of the Property at Buyer's expense and deliver a copy of the survey to
Seiler. The survey must be made in accordance with the: (i) AL TA/ACSM Land Title Survey
standards, or (ii) Texas Society of Professional Surveyors' standards for a Category 1A survey
under the appropriate condition.
o (2) Seller, at Seller's expense, will furnish Buyer a survey of the Property dated after the effective date.
The survey must be made in accordance with the: (I) AL TAlACSM Land Title Survey standards, or
(ii) Texas Society of Professional Surveyors' standards for a Category 1A survey under the
appropriate condition.
o (3) Seller wiil deliver to Buyer and the title company a true and correct copy of Seller's most recent
survey of the Property along with an affidavit required by the title company for approval of the
existing survey. If the existing survey is not acceptable to the title company, Seller, at Seller's
expense, will obtain a new or updated survey acceptable to the title company and deliver the
acceptable survey to Buyer and the title company within 20 days after Seller receives notice that the
existing survey is not acceptable to the title company. The closing date will be extended daily up to
20 days if necessary for Seller to deliver an acceptable survey within the time required. Buyer wili
reimburse Seller (insert amount) of the cost of the new or updated survey
at closing, if closing occurs.
C. Buyer's Obiections to the Commitment and Survey:
(1) Within 5 days after Buyer receives the commitment, copies of the documents evidencing the
title exceptions, and any required survey, Buyer rnay object in writing to matters disciosed in the
items if: (a) the matters disclosed are a restriction upon the Property or constitute a defect or
encurnbrance to title other than those permitted by this contract or liens that Seller will satisfy at
closing or Buyer will assume at closing; or (b) the items show that any part of the Property lies in a
special flood hazard area (an "A" or "V" zone as defined by FEMA). If Paragraph 6B(1) applies,
Buyer is deemed to receive the survey on the earlier of: (i) the date of Buyer's actual receipt of the
survey; or (ii) of the deadline specified in Paragraph 6B.

(2) Seller may, but is not obligated to, cure Buyer's tirnely objections within 15 days after Seller
receives the objections. The closing date will be extended as necessary to provide such time to
cure the objections. If Seller fails to cure the objections by the time required, Buyer may terminate
this contract by providing written notice to Seiler within 5 days after the time by which Seller must
cure the objections. If Buyer terminates, the earnest money, less any independent consideration
under Paragraph 7B(1), will be refunded to Buyer.
(3) Buyer's failure to timely object or terminate under this Paragraph 6C is a waiver of Buyer's right to
object except that Buyer will not waive the requirements in Schedule C of the commitment.
7. PROPERTY CONDITION:
A. Present Condition: Buyer accepts the Property in its present condition except that Seller, at Seller's
expense, will complete the following before closing: None
B. Feasibility Period: Buyer may terminate this contract for any reason within days after the
effective date (feasibility period) by providing Seller written notice of termination. (Check only one box.)
o (1) If Buyer terminates under this Paragraph 7B, the earnest money will be refunded to Buyer less
$ that Seiler will retain as independent consideration for Buyer's unrestricted
right to terrninate. Buyer has tendered the independent consideration to Seiler upon payment of the
amount specified in Paragraph 5A to the escrow agent. The independent consideration is to be
credited to the sales price only upon closing of the sale. If no dollar amount is stated in this
ParaqraDh 7B(1) or if Buyer fails to deDosit the earnest money. Buyer will not have the riqht to
terminate under this ParaqraDh 7B.
o (2) Not later than 3 days after the effective date, Buyer must pay Seller $ as
independent consideration for Buyer's right to terminate by tendering such amount to Seller or
Seller's agent. If Buyer terminates under this Paragraph 7B, the earnest money will be refunded to
Buyer and Seller will retain the independent consideration. The independent consideration will be
credited to the sales price only upon closing of the sale. If no dollar amount is stated in this
ParaqraDh 7B(2) or if Buyer falis to Day the indeDendent consideration. Buyer wiil not have the riqht
to terminate under this ParaqraDh 7B.
C. InsDections. Studies. or Assessments:
(1) During the feasibility period, Buyer, at Buyer's expense, may complete or cause to be completed
any and all inspections, studies, or assessments of the Property (including ail improvements and
fixtures) desired by Buyer.
(2) Buyer must:
(a) employ only trained and qualified inspectors and assessors;
(b) notify Seller, in advance, of when the inspectors or assessors will be on the Property;
(c) abide by any reasonable entry rules or requirements of Seiler;
(d) not interfere with existing operations or occupants of the Property; and
(e) restore the Property to its original condition if altered due to inspections, studies, or
assessments that Buyer completes or causes to be completed.
(3) Except for those rnatters that arise from the negligence of Seiler or Seller's agents, Buyer is
responsible for any claim, liability, encurnbrance, cause of action, and expense resuiting from

Buyer's inspections, studies, or assessments, including any property damage or personal injury.
Buyer will indemnify, hold harmless, and defend Seller and Seller's agents against any ciaim
involving a matter for which Buyer is responsible under this paragraph. This paragraph survives
termination of this contract.
D. ProDerty Information:
(1) Delivery of ProDerty Information: Within days after the effective date, Seller will deliver to
Buyer:
o (a) copies of all current leases pertaining to the Property, including any rnodifications, supplements,
or amendments to the leases;
o (b) copies of all notes and deeds of trust against the Property that Buyer will assume or that Seller
will not pay in fuil on or before closing;
o (c) copies of all previous environmental assessments, geotechnicai reports, studies, or analyses
made on or relating to the Property;
o (d) copies property tax statements for the Property for the previous 2 calendar years;
o (e) plats of the Property;
o (f) copies of current utility capacity letters from the Property's water and sewer service provider;
and
o (gl
(2) Return of ProDerty Information: If this contract terminates for any reason, Buyer will, not later than
10 days after the termination date: (a) return to Seller all those items described in Paragraph 7D(1)
that Seiler delivered to Buyer and all copies that Buyer made of those items; and (b) deliver copies
of all inspection and assessment reports related to the Property that Buyer completed or caused to
be completed. This Paragraph 7D(2) survives termination of this contract.
E. Contracts Affeclinq ODerations: Until closing, Seller: (1) will operate the Property in the same manner
as on the effective date under reasonably prudent business standards; and (2) will not transfer or
dispose of any part of the Property, any interest or right in the Property, or any of the personal property
or other items described in Paragraph 2B or sold under this contract. After the feasibility period ends,
Seller may not enter into, amend, or terrninate any other contract that affects the operations of the
Property without Buyer's written approval.
8. LEASES:
A. Each written lease Seller is to assign to Buyer under this contract must be in full force and effect
according to its terms. Seller may not enter into any new lease, fail to comply with any existing lease,
or make any amendment or rnodification to any existing lease without Buyer's written consent. Seller
must disclose, in writing, if any of the following exist at the time Seller provides the leases to the Buyer
or subsequentiy occur before closing:
(1) any failure by Seller to comply with Seller's obligations under the leases;
(2) any circumstances under any lease that entitle the tenant to terminate the lease or seek any offsets
or damages;
(3) any advance sums paid by a tenant under any lease;
(4) any concessions, bonuses, free rents, rebates, brokerage commissions, or other matters that affect
any lease; and
(5) any amounts payable under the leases that have been assigned or encumbered, except as security
for loan(s) assumed or taken subject to under this contract.
B. EstoDDei Certificates: Within days after the effective date, Seller will deliver to Buyer estoppel
certificates signed not earlier than by each tenant that leases space
in the Property. The estoppel certificates rnust include the certifications contained in the current version

of TAR Form 1938 - Commercial Tenant Estoppel Certificate and any additional information requested
by a third party iender providing financing under Paragraph 4 if the third party lender requests such
additional information at least 10 days prior to the earliest date that Seller may deliver the signed
estoppel certificates.

C. The parties may not amend this Paragraph 9 without the written consent of the brokers affected by the
amendment.
10. CLOSING:
A. The date of the closing of the sale (closing date) will be on or before the later of:
(1) 0 days after the expiration of the feasibility period.

B. If either party fails to close by the closing date, the non-defaulting party may exercise the remedies in
Paragraph 15.

C. At closing, Seller will execute and deliver, at Seller's expense, a rsi general 0 special warranty
deed. The deed must include a vendor's lien if any part of the sales price is financed. The deed must
convey good and indefeasible titie to the Property and show no exceptions other than those permitted
under Paragraph 6 or other provisions of this contract. Seller must convey the Property:
(1) with no liens, assessments, or other security interests against the Property which will not be
satisfied out of the sales price, uniess securing loans Buyer assumes;
(2) without any assumed loans in defauit; and
(3) with no persons in possession of any part of the Property as lessees, tenants at sufferance, or
trespassers except tenants under the written leases assigned to Buyer under this contract.
D. At closing, Seller, at Seller's expense, will also deliver to Buyer:
(1) tax statements showing no delinquent taxes on the Property;
(2) an assignment of all ieases to or on the Property;
(3) to the extent assignable, an assignment to Buyer of any licenses and permits related to the
Property;
(4) evidence that the person executing this contract is legally capable and authorized to bind Seller;
(5) an affidavit acceptable to the escrow agent stating that Seller is not a foreign person or, if Seller is a
foreign person, a written authorization for the escrow agent to: (i) withhold from Seller's proceeds
an amount sufficient to comply applicable tax law; and (Ii) deliver the amount to the Internal
Revenue Service (IRS) together with appropriate tax forms; and
(6) any notices, statements, certificates, affidavits, releases, and other documents required by this
contract, the commitment, or law necessary for the closing of the sale and issuance of the title
policy, all of which must be completed by Seller as necessary.
E. At closing, Buyer will:
(1) pay the sales price in good funds acceptable to the escrow agent;
(2) deliver evidence that the person executing this contract is legally capabie and authorized to bind
Buyer;
(3) sign and send to each tenant in a lease for any part of the Property a written statement that:
(a) acknowledges Buyer has received and is responsible for the tenant's security deposit; and
(b) specifies the exact dollar amount of the security deposit;
(4) sign an assumption of all leases then in effect; and
(5) execute and deliver any notices, statements, certificates, or other documents required by this
contract or law necessary to close the sale.
F. Unless the parties agree otherwise, the ciosing documents will be as found in the basic forms in the
current edition of the State Bar of Texas Real Estate Forms Manual without any additional clauses.
11. POSSESSION: Seller wiil deliver possession of the Property to Buyer upon closing and funding of this
sale in its present condition with any repairs Seller is obligated to complete, ordinary wear and tear
excepted. Any possession by Buyer before closing or by Seller after closing that is not authorized by a
separate written lease agreement is a landlord-tenant at sufferance relationship between the parties.
12. SPECIAL PROVISIONS: (If special provisions are contained in an Addendum, identify the Addendum here
and reference the Addendum in Paragraph 22D.)
1. All mineral interests reserved unto Seller. if any.
2. Seller will retain a right of first refusal to repurchase the property in the event it is resold within a 30 year period
from date of sale.
3. Seller will retain the right to repurchase the property for the sales price in the event that the property is not
constructed on for a period of 3 years from the date of sale.
4. Seller shall have up to 180 days to remove any improvements from the baseball field portion of the tract.

13. SALES EXPENSES:
A. Seller's ExDenses: Seller will pay for the following at or before closing:
(1) releases of existing liens, other than those liens assumed by Buyer, including prepayment penalties
and recording fees;
(2) release of Seller's loan liability, if applicable;
(3) tax statements or certificates;
(4) preparation of the deed;
(5) one-half of any escrow fee;
(6) costs to record any documents to cure title objections that Seller must cure; and
(7) other expenses that Seller will pay under other provisions of this contract.
B. Buyer's ExDenses: Buyer will pay for the following at or before closing:
(1) all loan expenses and fees;
(2) preparation of any deed of trust;
(3) recording fees for the deed and any deed of trust;
(4) premiums for flood insurance as may be required by Buyer's lender;
(5) one-half of any escrow fee;
(6) other expenses that Buyer will pay under other provisions of this contract.
14. PRORATIONS:
A. Prorations:
(1) Interest on any assumed loan, taxes, rents, and any expense reimbursements from tenants will be
prorated through the closing date.
(2) If the amount of ad valorem taxes for the year in which the sale closes is not available on the
closing date, taxes wili be prorated on the basis of taxes assessed in the previous year. If the taxes
for the year in which the saie closes vary from the amount prorated at closing, the parties will adjust
the prorations when the tax statements for the year in which the saie closes become available. This
Paragraph 14A(2) survives closing.
(3) If Buyer assumes a loan or is taking the Property subject to an existing lien, Seller will transfer all
reserve deposits held by the lender for the payment of taxes, insurance premiums, and other
charges to Buyer at closing and Buyer will reimburse such amounts to Seller by an appropriate
adjustrnent at closing.
B. Rollback Taxes: If Seller changes the use of the Property before closing or if a denial of a special
valuation on the Property claimed by Seller results in the assessment of additional taxes, penalties, or
interest (assessments) for periods before closing, the assessments will be the obligation of the Seller.
If this sale or Buyer's use of the Property after closing results in additional assessments for periods
before closing, the assessments will be the obligation of Buyer. This Paragraph 14B survives closing.
C. Rent and Security DeDosits: At closing, Seller will tender to Buyer all security deposits and the
following advance payments received by Seller for periods after closing: prepaid expenses, advance
rental payments, and other advance payments paid by tenants. Rents prorated to one party but
received by the other party will be remitted by the recipient to the party to whom it was prorated within 5
days after the rent is received. This Paragraph 14C survives closing.
15. DEFAULT:
A. If Buyer fails to comply with this contract, Buyer is in default and Seller may:
(1) terminate this contract and receive the earnest money, as liquidated damages and as Seller's sole
remedy; or
(2) seek any other relief provided by law. Seller

B. If, without fauit, Seller is unabie within the time allowed to deliver the estoppel certificates, surveyor the
commitment, Buyer may:
(1) terminate this contract and receive the earnest money, less any independent consideration under
Paragraph 7B(1), as iiquidated damages and as Buyer's sole remedy; or
(2) extend the time for performance up to 15 days and the closing will be extended as necessary.
C. Except as provided in Paragraph 15B, if Seller falls to comply with this contract, Seller is in default and
Buyer may:
(1) terminate this contract and receive the earnest money, less any independent consideration under
Paragraph 7B(1), as iiquidated damages and as Buyer's soie remedy; or
(2) enforce specific performance, or seek such other relief as may be provided by law, or both.
16. CONDEMNATION: If before closing, condemnation proceedings are commenced against any part of the
Property, Buyer may:
A. terminate this contract by providing written notice to Seiler within 15 days after Buyer is advised of the
condemnation proceedings and the earnest money, less any independent consideration paid under
Paragraph 7B(1), will be refunded to Buyer; or
B. appear and defend in the condemnation proceedings and any award wili, at Buyer's election, beiong to:
(1) Seller and the sales price will be reduced by the same amount; or
(2) Buyer and the sales price will not be reduced.
17. ATTORNEY'S FEES: If Buyer, Seller, any broker, or any escrow agent is a prevailing party in any legal
proceeding brought under or with relation to this contract or this transaction, such party is entitled to
recover from the non-prevailing parties ail costs of such proceeding and reasonable attorney's fees. This
Paragraph 17 survives terrnination of this contract.
18. ESCROW:
A. At closing, the earnest money wiil be appiied first to any cash down payment, then to Buyer's closing
costs, and any excess will be refunded to Buyer. If no closing occurs, escrow agent may require
payment of unpaid expenses incurred on behalf of the parties and a written release of liability of escrow
agent from ail parties
B. If one party makes written demand for the earnest money, escrow agent will give notice of the demand
by providing to the other party a copy of the demand. If escrow agent does not receive written objection
to the demand from the other party within 15 days after the date escrow agent sent the demand to the
other party, escrow agent may disburse the earnest money to the party making demand, reduced by
the amount of unpaid expenses incurred on behalf of the party receiving the earnest money and escrow
agent may pay the same to the creditors.
C. Escrow agent wiil deduct any independent consideration under Paragraph 7B(1) before disbursing any
earnest money to Buyer and wili pay the independent consideration to Seller.
D. If escrow agent complies with this Paragraph 18, each party hereby releases escrow agent from all
claims related to the disbursal of the earnest money.
E. Notices under this Paragraph 18 must be sent by certified mail, return receipt requested. Notices to
escrow agent are effective upon receipt by escrow agent.
F. Any party who wrongfully fails or refuses to sign a release acceptable to escrow agent within 7 days
after receipt of the request wili be liable to the other party for liqUidated damages in an amount equal to
the sum of: (i) three times the amount of the earnest money; (ii) the earnest money; (iii) reasonable
attorney's fees; and (iv) all costs of suit.

pollutants or contaminants of any nature now exist or ever existed on the Property;
(6) any wetlands, as defined by federal or state law or regulation, on the Property;
(7) any threatened or endangered species or their habitat on the Property;
(8) any present or past infestation of wood-destroying insects in the Property's improvements;
(9) any contemplated material changes to the Property or surrounding area that would materially and
detrimentally affect the ordinary use of the Property;
(10) any condition on the Property that violates any law or ordinance.

20. NOTICES: All notices between the parties under this contract must be in writing and are effective when

Buyer should be furnished with or obtain a title policy.
B. If the Property is situated in a utility or other statutorily created district providing water, sewer, drainage,
or flood control facilities and services, Chapter 49, Texas Water Code, requires Seller to deliver and
Buyer to sign the statutory notice relating to the tax rate, bonded indebtedness, or standby fees of the
district before final execution of this contract.
C. Notice Required by 913.257, Water Code: "The real property, described below, that you are about to
purchase may be located in a certificated water or sewer service area, which is authorized by law to
provide water or sewer service to the properties in the certificated area. If your property is located in a
certificated area there may be special costs or charges that you will be required to pay before you can
receive water or sewer service. There may be a period required to construct lines or other facilities
necessary to provide water or sewer service to your property. You are advised to determine if the
property is in a certificated area and contact the utility service provider to determine the cost that you
will be required to pay and the period, if any, that is required to provide water or sewer service to your
property. The undersigned purchaser hereby acknowledges receipt of the foregoing notice at or before

DISCUSS PORT ALTO BEACH AND WETLAND RESTORATION AND CONSERVATION PROJECT:
Commissioner Fritsch discussed that he has been in touch with Lester Contracting and Adkins to discuss the
project and they have reduced cost in the project. The orginial bid was $746,000 and they are talking about
$186,000 in cost savings so that now makes the project now about $550,000. Commissioner Finster thinks he
may be able to bring some of his left over budget from the Seadrift Pier project to put towards the Port Alto
Beach and Wetland Restoration and Conservation Project. If Calhoun County assumes responsibility for disposal
of any soil or debris that cannot remain on site will save approximately $7,000.00. Also planning to shorten the
North Jetty from 264' long to 115' long ($73,567.00 less $27,160.00 discount only applies if both groins are
constructed per plan) will have a cost savings of $46,407.00. Being that the pier is going to be 115' it will be
able to be added on to in later years. Motions will be discussed and made at the next Commissioners Court
meeting on May 23, 2013 @ lOam.
PUBLIC DISCUSSION:
Peggy Hall with the Auditors office discussed road material bid information with the Commissioners and Judge
Pfeifer.

MEMORIAL MEDICAL CENTER REPORT:
Jason Anglin:
In April there was a net loss of $4,981 decreasing the net income to $138,910 for the year. The patient census was down
from an average of 16.03 to 11.5 in the month. Cost reports for 2012 have now been filed. For Medicaid the hospital owed
and have paid in May $83,082. For Medicare the hospitai has a receivable of $530,347. Active recruitment for an OBGYN
continues. MMC has talked to multipie prospective candidates and anticipate hosting one or more of those candidates in the
near future for a site visit. On May 16 the hospital held their annual heait fair. At an empioyee breakfast multiple employees
received awards for Most Professional, Most Dedicated, The Friendliest, RN of the Year and LVN of the year. The I.T.
Department is currently working on obtaining Security Carnera proposals.
Rick Hart:
April financiai operations resulted in a new monthly loss of ($4,981). Reductions of revenue were higher while gross revenue
and expenses were lower than in the prior month. Total cash showed an increase from the prior month of $242,677. MMC
has $2,133,856 in operating cash, $1,200,655 in the new Private Waiver 1115 Clearing Account and $500,000 in CD
investments with a total balance of $3,835,511. Gross paitent revenue showed a decrease of $175,029 from March.
Reductions of revenue were higher by $170,474 from the prior month. Total expenses were down in almost ail categories by
a total of $302,627 from March. Year-to-Date, Memorial Medical Center's net income is $138,910.

A Motion for Order Prohibiting Outdoor Burning was made by Commissioner Fritsch and seconded by
Commissioner Lyssy. This item is heard as an emergency item for the public health and welfare. This is needed
due to extremely dry conditions. Fireworks are still allowed but the person or persons shooting them off will be
liable if a fire does start. No outdoor burning is allowed. People may burn household trash as long as it is in a
closed or screened container.

Thereupon the following proceedings were had:
Commissioner Galvan gave the Invocation and Commissioner Finster led the Pledge to the US Flag and
Commissioner Fritsch led the Pledge to the Texas Flag.
PUBLIC DISCUSSION:
Terri Austin was the first to speak in regards to the 4th of July weekend at Magnolia Beach. She said that
the trash left behind from the popping of fireworks was unbelievable. There was a large crowd this year
with a lot of out of town people and at times 4 cars deep parked on the beach. Also the restrooms were
out of service because of sand being put down the toilets. Terri says she would like to find a solution to
the trash on the beach and suggested maybe the county could have dumpsters out there during the big
holidays.
Commissioner Galvan reported that he had crews out there picking up trash and hauling it off the
morning after the 4th of July. He says that before any holiday he has his crews out there grading the
beach and making sure it is all cleaned up and ready for the holiday. In references to the restroom
problems he said that the County is in the process of having new restrooms built on the beach.
Angel Stevens also spoke to the Court, she said herself, Terri Austin, her mother and her two small
children picked up 12 55-gallon trash bags full the day after the 4th.
REQUEST TO EXTEND VACATION TIME IN THE AMOUNT OF 40 HOURS FOR JAIL
ADMINISTRATOR RACHEL MARTINEZ, TO BE TAKEN NO LATER THAN JULY 31,2013.
RACHEL HAS BEEN UNABLE TO TAKE THE REMAINING TIME OF VACATION DUE TO
EMERGENCY SITUATIONS IN THE JAIL:
A Motion was made by Commissioner Lyssy and seconded by Commissioner Fritsch to approve the
request to extend vacation time in the amount of 40 hours for Jail Administrator Rachel Martinez, to be
taken no later than July 31, 2013. Commissioners Galvan, Lyssy, Fritsch, Finster and Judge Pfeifer all
voted in favor.
GRANT AWARD OF $4,942.00 FOR THE FY2014 EMS/TRAUMA CARE SYSTEM GRANT FROM
GOLDEN CRESCENT REGIONAL ADVISORY BOARD:
A Motion was made by Commissioner Galvan and seconded by Commissioner Fritsch to approve the
Grant Award of $4,942.00 for the FY2014 EMS/Trauma Care System Grant from Golden Crescent

The State of Texas, acting through the Texas Department of Transportation
Calhoun County, Texas, hereinafter referred to as the "Sponsor," and the Texas
Department of Transportation, hereinafter referred to as the "State," have entered into an Airport
Project Participation Agreement TxDOT CSJ Number 13I3PTLA V, executed by the Sponsor on
April II, 2013, and by the State on April 12, 2013, for the development of Calhoun County
Airport, hereinafter referred to as the "Airport".
The project is described as construction services to: install precision approach path
indicators-2 Runway 14-12; replace medium intensity runway lights, lighted wind cone and
segmented circle; and install lighted runway exit; install new equipment vault and regulators for
runway lights and taxiway lights at Calhoun County Airport.
It is in the mutual interest of the Sponsor and the State to increase the grant by $74.602
for additional construction costs.
Part II - Offer of Financial Assistance, estimates total project costs to be 8534.500: and
financial assistance is currently limited to $481,050 in federal funds and $53.450 in local sponsor
funds.
The following amendment to the Airport Project Participation Agreement shall become
effective upon execution of this Amendment by the Sponsor and the State.

The Airport Project Participation Agreement is amended as follows:
1. On Part II, ltem No.2 of the Agreement, change Amount A, estimated total construction
costs, and any furtherreferences in the Agreement to Amount A, to $609.1 02.
2. On Part II, Item No.2 of the Agreement, change Amount B, estimated construction costs
eligible for federal financial assistance, and any further references in the Agreement to Amount
B, to $609,102.
3. On Part II, Item 3 of the Agreement, change Amount C, the maximwn obligation of the
United States payable under this offer, and any further references in the Agreement to Amount C,
to $548,192.
4. On Part II, Item 4 of the Agreement, change Amount D, Sponsor's share of the estimated
construction costs, and any further references in the Agreement to Amount D, to $60,910.
All other terms and conditions of the agreement are unchanged and remain in full force
and effect.
This Amendment to the Airport Project Participation Agreement between Calhoun

Charles traveled with the Livestock and Beef QuizbowI Teams to College Station, TX to
compete in the State 4-H Roundup events at Texas A&M University. The Livestock Judging
Team placed 7th with many individual awards being racked up. One Calhoun County 4-H
member was also the High Point Individual, which is a significant achievement. The Beef
Quizbowl Team also placed 4th in the State.

Leadership Lab. The retreat was held at the State 4-H Center in Brownwood. The youth learned
networking, team building, qualities of effective leaders, and the responsibilities that come along
with their respective offices.
June :ul' - Broiler and Roaster Orders
Roaster and Broiler orders were due on June 20th. We had one more bird exhibitor than the
previous year. This project area has always been a popular one in the Calhoun County Fair due to
its ability to raise birds in town and the economic efficiency of the project.
June 21- District 11 Horse Show
The agent helped coordinate and plan the District 11 Horse Show in Edna, TX. Charles served as
a gateman and helped line up riders to compete. The event was well attended and the riders
received great practice while qualifying for the State Horse Show in AbiIene.
June 251" - Matagorda County Star Interviews
Charles helped Matagorda County judge their Star Award Applicants. Fifteen youth were
interviewed for the Gold and Silver Star Awards.
June 251" - Calhoun County Sheep, Goat, and Hog Tag In
The office facilitated the tag-in for the sheep, goats and hogs that will be exhibited at the 2013
Calhoun County Fair. Total there were 64 projects tagged in and are suitable for entry. The show
should be a great one for 2013. Also during this time the State Fair Validation was also going on
for those exhibitors wishing to exhibit their projects at the State Fair of Texas.
June 21" - Lavaca County Star A ward Interviews
Charles assisted Lavaca County with their Star Award Interviews. Eighteen youth interviewed
for the Bronze Star, I Dare You A ward, and Gold Star. The young people were extremely
professional and did an exceptional job.
June 21" - Calhoun County Star Award Interviews
We held our annual Star Award Interviews. We interviewed for the Bronze Star Award, Silver
Star Award, Danforth I Dare You A ward, and Gold Star A ward. The young people dressed and
acted very professionally. Agents from surrounding counties volunteered to serve as judges. The
award winners will be announced at the Achievement Night Banquet.

June 3: Meet with the Texas Extension Educators Association and we discussed upcoming meetings and
fund raisers.
June 4: Meet with First United Methodist Group. We had 7 participants and they are very excited about
learning about nutrition. I also had Lunch N Learn with the County Employees. We had 25 Participants Show
up and discussed food safety.
June 5: Went to Sea breeze Apartments to give a presentation on pay yourself first. We had 4 Participants
attend that program.
June 10-13; Went to Round Up for Texas 4-H where i served on the committee of food challenge.
June 18: Attended the 2013 Crop Tour that was put on by our Ag Agent Ryan Damborsky.
June 19: Assisted YMCA with their Healthy Snacks in the Afternoon which was held at the Bauer Exhibit
Building. They had 35 Participants.
June24-27: Held a Kids in the Kitchen cooking camp we had 12 Participants attend this camp. They learned
how to make smoothie pops, Popcorn, Banana Rice Pudding and Their version of Trail Mix.

Selected major activities for June 2013-
6/18 - The annual Calhoun County Crop Tour was attended by almost fifty local producers
and residents. The tour consisted of three site visits to the corn, milo, and cotton test plots, along
with guest speakers.
6/1-30 - The month of June has been busy with homeowner calls and site visits. Many
residents are experiencing insect damage on fruits, blight on ornamentals, and delayed drought
effects on trees.

Selected maior activities since last report
June 3: Cooking with Seafood focused on fish with the help of two Texas
Parks and Wildlife employees. Matagorda Bay Ecosystem Leader Leslie
Hartman was the guest chef delighting our palates with her "flakey flounder
with divine Dijon pecan sauce". Game Warden Philip Bird gave a wonderful
presentation on local SpOlt fish and the mles and regulations for the fish most
frequently caught in our bay system. Fifteen people attended the class.
June 5-6: Cummins partnered with Lari Jo Johnston of the Coastal Bend Bays and Estuaries Program to
provide 12 hours of continuing education credit for teachers at Our Lady of the Gulf Catholic School. Six
hours of instruction were provided for teaching about wetlands in the classroom. The other six hours were
instruction on the Leopold Education Project which is an interdisciplinary conservation and environmental
education curriculum.
June 12: Jay Tarkington from the Center of Coastal Studies took a group of teachers on a wetland tour out of
Rockport focusing on marsh vegetation. Cummins attended to receive professional development and
assistance for her wetland restoration efforts.
June 18: Cummins gave a presentation on hurricane preparedness to nearly 50 people that filled the Ag
auditorium for the Annual Crop Tour. Copies of the new "Texas Homeowners Handbook to Prepare for
Coastal Natural Hazards" were given to all participants.
June 25: As a presenter for the Calhoun County Public Library Summer
Reading Program, Cummins visited the library in POlt O'Connor and
taught the 10 youth about making spheres out of sand.
.Tune 27: The rainwater harvesting project that Cummins and Damborsky
will be assisting the Catholic School with was awarded a grant from Dow.
Cummins was invited to attend the award breakfast with the school
leaders to accept the award.
June 28: Cummins transplanted 22 black mangrove trees at
Alamo Beach for a private landowner that is willing to host a
test plot. The establishment of a living shoreline will lessen the
effects of erosion on their property. Pilot testing in selected
areas is critical to developing guidelines for future aspects of the
restoration program.

INDEPENDENT AUDIT REPORT FOR THE YEAR ENDED DECEMBER 31, 2012 BY RUTLEDGE
CRAIN & COMPANY, PC, CERTIFIED PUBLIC ACCOUNTANTS:
Chris Rutiedge presented the County's Annual Financial Report for the fiscal year ended December 31,
2012, after hearing presentation a Motion was made by Commissioner Galvan and seconded by
Commissioner Fritsch to approve the Calhoun County Independent Audit Report for the year ended
December 31, 2012 by Rutledge, Crain & Company, PC, Certified Public Accountants. Commissioners
Galvan, Lyssy, Fritsch, Finster and Judge Pfeifer all voted in favor.
Report can be seen in the County Clerk's Office.
GENERAL DISCUSSION:
Angel Stevens was present to speak about Magnolia Beach she is trying to form a committee that wili
work on getting the problems at the beach solved. She said she talked with 10 different people along the
beach asking them what they liked and disliked about Magnolia Beach, Trash was a big problem for most
of the peopie she asked they suggested more trash cans be put out and restrooms were a concern of
theirs also,
Terri Austin was also present she had pictures of the burn piles out behind the fairgrounds and passed
them around for the Judge and Commissioners to look at. She said she will continue taking pictures of
the burn piles and would like to see a different approach taken instead of burning. She suggested taking
the trash to the Landfill/Recycle Center, she also ask if recycle bins could be put out at the beach.
Sharon Enriquez said that there are trash cans that are missing from the beach and she would like to
know where they have been taken and when they would be put back out at the beach.
Daniel Lee Rafter who lives in the trailer park on County Road 101 said that the burning of trash out at
the fairgrounds has been done for several years now and at times it is so bad he has to leave his house.
He also wanted to thank the Sheriff's Office and Highway Patrol for patrolling the beach like they do.
