Finster Commissioner Precinct 4 Wendy Marvin Deputy County Clerk Thereupon the following proceedings were had: Commissioner Galvan gave the Invocation and Commissioner Finster led the Pledge of Allegiance. HEAR UPDATE FROM RON WEDDELL ON ALCOA LAVACA BAY SUPERFUND SITE: Ron Weddell with Alcoa reported that there has been a final settlement with Consent Decrees for both the Superfund Activities and the Natural Resource Damage Restoration Activities. They have both been signed by the EPA, by all State and Federal Trustees Agencies and by Alcoa and the documents have been returned to the Corporal Justice in Washington where they are waiting to be signed. Towards the end of this year the final Consent Decree should be complete and the finalizing of the engineering, planning, working with the City and County to obtain the necessary access agreements and getting the leases from the GLO and the Navigation District, etc. should begin. The money is budgeted for 2005 to complete all the projects and some of the projects that will be done are Six Mile Park Boat Ramp Improvements, Fishing Pier and dredging will be done. City of Port Lavaca will have a pier built off the bay front. Lighthouse Beach will have dredging done and courtesy dock construction. Point Comfort will have a fishing pier built at the boat ramp with paved parking and there will be improvements done to the jetty at Magnolia Beach to protect the boat ramp. ACCEPT AGREEMENT WITH ALCOA ON SUPERFUND PIER PROJECT AT SIX MILE PARK: A Motion was made by Commissioner Balajka and seconded by Judge Pfeifer to accept the Agreement with Alcoa on the Superfund Pier Project at Six Mile Park and authorize Judge Pfeifer to sign the contract. Commissioners' Galvan, Balajka, Floyd, Finster and Judge Pfeifer all voted in favor. 415 SITE DEVELOPMENT, INDEMNITY AND LIMITED EASEMENT AGREEMENT THIS SITE DEVELOPMENT, INDEMNITY AND LIMITED EASEMENT AGREEMENT ("Am ent"), effective as of October 28, 2004, is by and among Alcoa Inc., a Pennsylvania corporation ("Alcoa"), and the County of Calhoun, Texas, apolitical subdivision of the State of • Texas, acting by and through its authorized County Judge ; after motion and vote of its Commissioner's Court at a meeting where the requirements of public notice were met (the "Coun '). WITNESSETH: WHEREAS, Alcoa is requesting County approval for the Alcoa construction of a fishing pier, boat ramp and related improvements upon certain real property in Calhoun County, Texas owned or controlled in whole or in part by the County, which improvements will be constructed pursuant to a Consent Decree (the "Consent Decree') to be entered in the United States District Court for the Southern District of Texas (the "Court') between Alcoa and the "Natural Resource Trustees" (defined below) relating to the Alcoa Point Comfort/Lavaca Bay Superfimd Site; and WHEREAS, the County will receive substantial benefit from the Alcoa construction of such improvements, and is authorizing the construction of such improvements and related activities in accordance with this Agreement. NOW, THEREFORE, FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which are hereby acknowledged for all purposes, Alcoa and the County agree as follows: 1. Grant of Easement and Scone of Activities. The County hereby GRANTS, BARGAINS, SELLS AND CONVEYS to Alcoa and Alcoa's agents, representatives, employees, contractors, subcontractors, and invitees (which invitees shall include, without limitation, the Natural Resource Trustees, hereinafter defined) an irrevocable nonexclusive easement and right of access (the "Easement") to enter upon certain real property in Calhoun County, Texas owned or controlled in whole or in part by the County and particularly described upon Exhibit A attached hereto (the "Premises'), for the express purpose of conducting the following activities (the "ANivities �: (1) constructing a fishing pier and related improvements at the Premises consistent with the terms ofthe Consent Decree (collectively the "Imoravements"); (2) after completion ofthe Improvements, conducting certain recreational use surveys; and (3) conducting such other activities reasonably necessary or appropriate to complete the Improvements, perform the Activities, and fulfill Alcoa's obligations under this Agreement and the Consent Decree. Without limitation upon the foregoing, the rights granted under the Easement shall include the irrevocable nonexclusive right of agents, representatives, employees, contractors, and subcontractors of the National Oceanic and Atmospheric Administration, the United States Fish and Wildlife Service, acting on behalf of the United States Department of Interior, the Texas Natural Resource Conservation Commission, the Texas General Land Office, and the Texas Parks and Wildlife Department (collectively, "Natural Resource Trustees') to access the Premises at all reasonable times for the purpose of inspecting the Sa tk P-k SDn a Av.� 416 Activities or the areas in the Premises impacted by the Activities (the "Premises' Work Area'). 2. Consent Decree and Conduct of Activities. The execution and delivery of this Agreement by Alcoa and the County is one of the conditions to the entry by the court of an order approving the Consent Decree settling the natural resource damage claims alleged against Alcoa by the United States and the State of Texas. In the event the Court does not enter an order approving the Consent Decree, orthe Court does enter an order approving the Consent Decree but the Consent • Decree does not require Alcoa to perform any of the Activities at the Premises, then this Agreement shall be null and void ab initio, and neither party hereto shall have any further rights or obligations hereunder. All Activities shall be conducted pursuant to this Agreement and the Consent Decree, and in a manner complying with all Permits (defined in Section 4) relating to the Activities. Except as expressly provided in this Agreement or the Consent Decree, Alcoa is under no obligation to the County to commence, complete or conduct any of the Activities. 3. General Administration of ConstructionofL*irmvements. Alcoa shall administerthe construction of the Improvements, subject to the requirements of this Agreement and the Consent Decree. Alcoa may, in its sole discretion and without the approval of the County, but subject to the terns ofthe Consent Decree and the other terms of this Agreement. (i) engage architects, engineers, contractors and other professionals with respect to the construction of the Improvements and other Activities, and enter into agreements with the same for such work; (ii) make changes to the design and construction of the Improvements to the extent permitted by the ConsentDecree, (iii) determine the commencement date and work schedule for the construction of the Improvements; and (iv) take such other actions that Alcoa deems necessary or appropriate with respect to the construction ofthe Improvements and the conduct and administration of the Activities. Improvements that are constructed by Alcoa shall be constructed in a good and workmanlike fashion and in accordance with the Consent Decree. 4. Permits. At its own expense, Alcoa shall secure in the name of and on behalf of Alcoa and/or the County (as appropriate) any and all permits, registrations, leases, agreements, or licenses (collectively, "Permits') that may be required for any of the Activities that are conducted. The County shall cooperate fully in securing the Permits but shall bear no expense or cost to initially secure the permits that may be required for the Activities. 5. Insurance. At its own expense, Alcoa shall carry and maintain until the Improvements are conveyed to the County, and shall cause its contractors performing any of the Activities to carry and maintain, insurance policies in the following types and in no less than the following amounts relating to the performance of the Activities: (a) Worker's or Workman's Compensation -Statutory; (b) Commercial General Liability (Bodily Injury) - $500,000.00 each occurrence; (c) Commercial General Liability (Property Damage) - $100,000.00 each occurrence/ $100,000.00 aggregate; and (d) Comprehensive Automotive Liability -$600,000.00Combined SftWeLimit s.asd.r & snn,e AS�� C 41 The County shall be named as an additional insured on the policies described in Sections 5(b), (c) and (d) above. Alcoa shall furnish the County with satisfactory evidence that it has complied with this provision prior to carrying out any of the Activities. 6. Indemnity. Alcoa agrees to protect, indemnify, defend and hold the County and its employees, agents, representatives, successors, heirs, and assigns harmless from and again; and to reimburse the County and its employees, agents, insurers, representatives, successors, heirs, and is with respect to any and all claims, demands, causes of action, losses, damages, liabilities, judgments, penalties, costs, and expenses (including attorneys' and experts' fees and court costs) of any and every kind or character, known or unknown, fixed or contingent, asserted against or incurred by the County arising from Alcoa's carrying out the Activities, but not in circumstances where the County has been or may be negligent or has breached its obligations under this Agreement. 7. Safety Precautions. Alcoa, during the construction of the Improvements, shall be fully and solely responsible for securing the Premises' Work Area and shall maintain such security, reasonable barricades and warning signs and devices as may be necessary to protect the public and the Premises' Work Area 8. Payment and Liens. The County is notresponsible for payments to Alcoa or any third party for carrying out the Activities. Alcoa shall not file alien against the Premises, nor shall Alcoa act in such a manner as to cause a lien to be filed against the Premises by any agent, contractor, or subcontractor that it hires to carry out the Activities. 9. Completion of Improvements. The construction of the Improvements shall be deemed complete for all purposes under this Agreement when the Natural Resource Trustees issue certification to Alcoa in accordance with the terns ofthe Consent Decree that the Improvements are complete. 10. Transfer of Improvements to the County. When the Improvements are deemed complete, title to all Improvements shall be conveyed by Alcoa to the County AS IS, WHERE IS, AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND ALCOA HEREBY EXPRESSLY DISCLAIMS ANY SUCH WARRANTIES, provided, however, that, Alcoa will assign to the County at the completion of the Improvements all warranties (if any) running in favor of Alcoa from the contractor or subcontractors constructing the Improvements or in favor of Alcoa from any supplier or manufacturer with respect to the Improvements. The Improvements and related warranties (if any) shall be transferred by instruments prepared by Alcoa and reasonably satisfactory to the County. Subject to the teams and provisions of this paragraph, the County shall accept title to the Improvements when completed. 11. Maintenance and Operation of Improvements- Public Access., ccess For at least 15 years after the conveyance of the Improvements to the County, the County shall: (i) maintain the Improvements in good repair and condition, reasonable wear and tear excepted, and (ii) obtain casualty insurance protecting the Improvements from storm, hurricane and other casualty loss in an amount equal to the fiill replacement value of the Improvements, and shall be responsible for all costs and expenses associated with the same (collectively "O & M and Insurance Costs"). The County agrees that it shall utilize the money in the Insurance and Maintenance Fund only for O & M su Mae Pxk spn a AV�mc HE and Insurance Costs. Within thirty (30) calendar days of the date upon which the Improvements are conveyed to the County in accordance with Section 10 above, Alcoa shall pay to the County $64,976.00. This initial deposit and all interest accrued thereon shall constitute the "Insurance and Maintenance Fund". Alcoa's obligation to pay the County the Insurance and Maintenance Fund shall be Alcoa's only obligation to pay any ofthe costs ofmaintaining or insuring the Improvements after they are conveyed to the County. The County shall allow public access to the Improvements free of charge for at least fifteen (15) years fromthe date the Improvements are conveyed under this • Agreement, subject only to restrictions imposed in the reasonable exercise of police power for the public's health, safety, and welfare. The County shall not allow commercial uses that would restrict public access to the Improvements for at least 15 years from the date the Improvements are conveyed under this Agreement. 12. Restoration of Premises. Upon completion of the Improvements, Alcoa, at its sole and exclusive cost and expense and without any cost or expense to the County, shall repair any and all damage to the Premises (or, if repair is not possible, replace any damaged property) caused by Alcoa's carrying out the Activities, and leave the Premises in the approximate same or better condition than it was prior to commencement of the Improvements, reasonable wear and tear excepted. Repairs and replacements, if any, shall be made and completed by Alcoa within ninety (90) calendar days of the date upon which the Improvements have been deemed complete. 13. County Representations and Warranties. Asa material inducement to Alcoa to enter into this Agreement, the County represents and warrants to Alcoa that as of the date hereof. (a) The County has approved the execution and delivery ofthis Agreement by its authorized County Judge in accordance with the Texas Local Government Code and all other applicable laws after motion and vote of its Commissioner's Court at a meeting where the requirements of public notice were met. The County has full right, power, and authority to execute and deliver this Agreement and grant the Easement and rights herein conveyed, all without obtaining any further consents or approvals from, or the taking of any other actions with respect to, any third parties. This Agreement, when executed and delivered by the County and Alcoa, will constitute the valid and binding agreement of the County, enforceable against the County in accordance with its terms_ • (b) There are no actions, scuts, claims, assessments, orproceedings pending and the County has not received written notice of any actions, suits, claims, assessments, or Proceedings that are threatened, that could materially adversely affect the conduct of the Activities or future access to and/or use of the Improvements by Alcoa, its agents and representatives, the Natural Resource Trustees and the public, as contemplated by this Agreement; and (c) The Premises comply in all material respects with all applicable Legal Requirements, and the County has not received written notice of any violation of, or pending or contemplated change in, any Legal Requdrements applicable to the Premises or abutting streets and alleys. There are no Legal Requirements that prohibit or materially restrict the ability of Alcoa to conduct the Activities at the Premises. For the purposes hereof, "Governmental Authority" means any and all courts, boards, agencies, commissions, offices or authorities of any nature whatsoever of any governmental unit (federal, state, county, Six Nfh Aar spore Agee d • WE district, municipal, city, or otherwise); and "Legal Requirements" means (i) any and all judicial decisions, orders, injunctions, judgments, decrees and writs, and any and all laws, statutes, rules, regulations, permits, entitlements, certificates or ordinances of any Governmental Authority that are applicable to the Premises, as the case may be, including, without limitation, any ofthe aforesaid dealing with the design, construction, ownership, use, leasing, maintenance, service, operation or condition of real property, or zoning or environmental matters, restrictive covenants or parking requirements, and (ii) the terms of any restrictive covenants or other written or oral agreements, and any and all insurance requirements, documents or instruments, relating to the Premises or to or by which the Premises or its respective owners may be bound or encumbered If any ofthe County's representations and warranties set forth in this Section 13 are untrue in any material respect, then the County shall give Alcoa prompt written notice thereof. Anything in this Agreement to the contrary notwithstanding and without limitation upon any other rights or remedies of Alcoa, in the event there is a breach of the County's representations and warranties hereunder, the County, at the County's sole cost and expense, shall use its best efforts to promptly cure such breach, 14. Assignment, Successors and Assigns. This Agreement may not be assigned by Alcoa The duties, obligations, and benefits to the County under this Agreement shall run with the Premises and be binding upon the County and its successors and assigns. Without limitation upon the foregoing, the County agrees that it will cause any and all successors or assigns to any property rights in the Premises or the Improvements to be paid all remaining monies from the Insurance and Maintenance Fund and to use such monies solely for the purposes described in this Agreement; and will further pause any and all successors or assigns to any property rights in the Premises or the Improvements to provide access to the Natural Resource Trustees and to the general public as provided in this Agreement. 15. Governing Law. This Agreement is governed by the laws of the State ofTexas. The Consent Decree referenced in this Agreement shall be governed by federal law in the federal tour. 16. Venue. Alcoa and the County agree that all disputes arising between them under the terms and conditions of this Agreement shall be determined in Calhoun County, Texas. 17. Interpretation. This Agreement represents the entire agreement between Alcoa and the County and fully supersedes all prior agreements and understandings between Alcoa and the County and may not be contradicted by evidence of prior, contemporaneous, or subsequent oral agreements between Alcoa and the County. To the extent the terms and provisions of this Agreement conflict with any of the terms and provisions of the Consent Decree, the terms and provisions of the Consent Decree shall control. This Agreement cannot under any circumstances be modified orally, and no agreement will be effective to waive, change, modify, or discharge this Agreement in whole or part unless such agreement is in writing and is signed by both Alcoa and the County. The captions in this Agreement are for convenience of Alcoa and the County in identification of the several provisions and shall not constitute a part of the Agreement nor be considered interpretive thereof. In the event arty provision of this Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, the remainder ofthis Agreement shall nonetheless remain in full force and effect. su We Park son P Aff�wr 420 0 18. Further Assurances. The County and Alcoa agree to execute such other documents and take such other actions as may be necessary to effect the terms of this Agreement. 19. Recordation. This Agreement or a memorandum of this Agreement shall be recorded in the Real Property Records of Calhoun County, Texas. 20. Termination. Sections 1 (other than the right of Alcoa to construct the • Improvements), 6, 8, 11 and 14 of this Agreement shall survive the conveyance of the Improvements to the County. All of the other terms of this Agreement shall terminate upon the conveyance of the Improvements to the County. In acceptance of the foregoing, the parties have executed this Agreement in three (3) multiple originals on the dates set forth below. The single-family resident (SFR) market is in a shortage with the large number of first time homebuyers segment on the rise. This is evident in the current development of new subdivisions. With the move to SFR, the demand for multi -family residences is in decline, therefore a balanced to oversupply amount of multifamily units in existence. The office, retail and industrial segments of the market are in under -supply due to the increase inflow of business and recent development. Neighborhood Boundaries: The subject neighborhood is located within the central section of the city limits of Port Lavaca, Texas, in what is considered to be an older neighborhood. The subject neighborhood is bound by North Virginia Street to the north, Highway 35 to the west, Interstate 87 to the south and by Main Street to the east. 452 0 i i Neighborhood Market Description Currently the subject neighborhood is 95% built-up because of being an older neighborhood with established dwellings and commercial sites. The single-family dwellings make up 75% of the area while commercial sites make up 20% of the area with 5% remaining of vacant land. There is a balance of residential and commercial supply in this area that has stable demand as well. The subject neighborhood is located within the • central business district and is within one mile of the main governmental buildings. Access to Interstate 87 is located on the southern and eastern boundary of the neighborhood. Public transportation is provided by "Ship to Shore" taxi service and "Greyhound" bus services. The location of the subject neighborhood is urban since it is located within the city limits of Port Lavaca. The development trends are increasing due to the need for SFR and commercial sites. Value trends are increasing in the area. Vacancy rates for residential and commercial properties are stable and estimated to be 10%. The rental demand, as indicated by the rental market, seems to be stable with no shortage or surplus of properties. There is no noticeable change in the land use of the subject neighborhood. The interior section of the subject neighborhood is residential while the perimeter is mainly commercial. Rental rates for the area range from $0.50 to $1.10. Given the subject area is an older section of the city, the age ranges from 10 to 60 years of age. • W 40 453 SITE DESCRIPTION Legal Description: The legal description is 7.104-Acres out of the Maximo Sanchez Survey, Abstract 35, • Port Lavaca, Calhoun County, Texas Site Physical Characteristics: The site size is 7.104 acres or 309,450 SF of 100% usable land and 0% unusable land. The dimensions are irregular. Street frontage consists of 375' of frontage along North Virginia Street and 375' of frontage along Highway 35. Because of the superior access, there are multiple areas for entering the property from both North Virginia Street and highway 35. The Street frontage is superior because of being along North Virginia Street, which is corridor to the central business district, and Highway 35, which is a main transportation route in and out of Port Lavaca. Most of the areas current development is along Highway 35, such as the Super Wal-Mart. The shape of the property is typical for the area There are large 5-10 acre tracts that are currently being developed and there are current listings of 10-60 acre tracts located along Highway 35. Due to its size, the functional utility of the property is good since it can support different types of uses. The visibility of the property is high. The landscaping of the subject is good due to recent renovations and updating that incorporates local vegetation. The drainage is said to be adequate with the property sloping to the southwest. The utilities are adequate and will be discussed below. Traffic patterns are good due to Highway 35 being a divided two lane, asphalt street. The traffic volume is high for this area due to the traffic proceeding in and out of the city as well as within the city. Utilities: AEP, formerly Central Power and Light Company, provides electricity to customers in • this area South Western Bell provides telephone service. Both utilities are overhead. The City of Calhoun provides for water and sewer. Street Improvements: Highway 35 is a divided, two-lane asphalt street with new street lights and highway signs. Virginia Street is a four -lane asphalt street with average street lights and signs. Topography. - The site is moderately sloping toward the southwest at grade. Emergency Issues: The site is not located in a flood plane area, as indicated by the FEMA management office of Calhoun County. 10 454 s Soil Conditions: The soil condition of the subject is typical for the area with no known environmental issues. The soil is considered part of the Livia series of soils and is described in the USDA Soil Survey of Calhoun County Book as: "...deep, nearly level to gently sloping, noncalcareous and saline loamy • soils on low coastal uplands. These soils formed under salt tolerant grasses in saline clayey sediments of marine terraces. They are within 5 miles of the inland bays and less than 15 feet above sea level. Livia soils are poorly drained and have a medium available water capacity. " Easements: The appraiser noticed typical utility easements along the property. From recent surveys the appraiser noticed 3 pipeline easements with the County of Calhoun, recorded in Volume 26, 45, 45 Pages 441, 260, 439 and an electrical transmission easement in Volume 45, Page 278 of Calhoun County records. Encroachments: There were no visible or indicated encroachments on the property. Zoning: There is no zoning in the city of Port Lavaca. The subject is attached to the existing O'Reilly Auto Parts building. The • subject was originally built in 1961 and was called "Viking Mall." The name was changed during the early 1980 to Port City Mall. After the recent renovation of the building in 1997, the name was changed to Memorial Medical Plaza. Market Value Estimate of Non -Realty Items There will be no non -realty items evaluated in this report. 0 • 15 • 459 COMPARATIVE SITE ANALYSIS Land value is best estimated by comparison of the subject site with recent sales of similar sites in the same or similar neighborhoods, which are in the same market area. The difference in prices paid for vacant land tracts is generally caused by differences in time (market conditions), location, and utility (size, shape, zoning, topography, flood plain, street frontage, etc.). The sale of vacant development sites in the Port Lavaca area has, within the last several years reached a more active level of activity than the area had seen in the 1990's. The appraiser has a sufficient number of sales over the past three years to reflect current retail market prices. In estimating the value of land, sales of comparable properties in the area are investigated and analyzed. Sometimes, there are no sales in the immediate subject area or not enough and a wider search has to be made in order to find similar properties in other areas. However, sales are available in the immediate area of the subject property. The appraiser believes it is important to use sales in the immediate vicinity of the subject property to indicate the market for vacant commercial tracts. By using the sales located in the same general area, the same external market conditions are reflected in the values as well as, the physical characteristics of the properties. This analysis is based on the sales that were considered most pertinent and possessing the highest degree of similarity. Similar land sales are adjusted in order to compare the sold property to the subject. The major adjustments generally fall into one of the following categories: 1. The financing was unknown for the properties as well as the condition of the sales. The dates were estimated by the sources listed. The location of the comparables is relatively the same as the subject because of its position on a main access point in port Lavaca. The only necessary adjustment for the comparables was the size adjustment. The standard rule in most land sales in this area is as follows: as the subject doubles in size, the price per square foot decreases by 10%. For example, if tract "A" is two times as large as tract `B", then the price per acre of tract "A" is 10% less than the price per acre of tract "B". Therefore, tract 1 was adjusted -40%, tract 2 was adjusted —105/o and tract 3 was adjusted —30%. The access and frontage of the sites were not adjusted because a considerable difference in quality of both was not present. The utilities are the same since being located along the same area within the city limits. The site characteristics were not noticeably different. The previous adjustment(s) results in an estimated market value per acre of $42,000 per acre. The site of 7.104 acres times the $42,000 per acre equals a value that is rounded off to equal a total site value of $300,000. COST APPROACH Since the improvements are not relatively new construction, the replacement cost method will be employed, which estimates the cost to build an equally suitable replica of improvements. The Marshall and Swift Cost Evaluation Guide was used in the estimating • of the improvements value while comparing to local contractors estimates. The local contractor consulted for this task was Royce Krueger with Krueger Construction in Victoria, Texas. His company completed construction on the Memorial Medical Center in Port Lavaca, Texas, in 1997 and the Hospital located in Yoakum, Texas, in 2000. Local rates per square foot for medical office buildings range from $90 - $100 per square foot given the purpose and use of the facilities. Typical Commercial construction costs range in the area from $80 — $95 per square foot. These figures are accurate for buildings ranging in size from 50,000—150,000 square feet. For this method of evaluation, $95 per square foot was applied for the medical office space and $82.50 per square foot was used for non -medical office space. Entrepreneurial profit is the amount the developer or contractor estimates to earn above the total construction cost. An amount of 17.50% was used for this aspect of construction costs. There are three different types of depreciation: physical - which refers to typical "wear and tear" that comes from the passing of time, functional - which refers to the design layout of an improvement, external — which refers to the surrounding environmental factors. Age life method was used to evaluate incurable physical depreciation. The effective age was established at 20 years with a total economic life of 65 years, resulting in 30°/n physical depreciation. No other depreciation was recognized at the time of inspection. The site value included the asphalt for the parking area and concrete walk ways, as well as all other site improvements. Area Market Description: The subject market area is located in Calhoun County, specifically in the city of Port Lavaca. The major employment categories are Industrial, Medical, and Retail. Industrial companies such as DOW Chemical, BP Chemical and Alcoa are well -established industries in the Port Lavaca area. The Memorial Medical Center as well as Memorial Medical Plaza provides numerous employment positions in the medical sector as well as the individual physicians and doctors in the area. Retail stores provide a consistent source of area employment. These sources of employment are a part of a well -established economic base that shows no sign of changing in the near future by economic indicators. This economic base has a positive influence on property values as compared to negative or none. Population trends have increased steadily as indicated by census information. From 1990 to 2000, the population increased an estimated 8% in the City of Port Lavaca. Employment stability has increased with a number of new positions available while unemployment has held at 5% for the past few years. Personal income levels are higher for the Calhoun County region than state figures by 10-12%. The total household income median for the region for the year 2000 was $62,073 with the per capita income for the same year being $22,388. Individual incomes are increasing 0.5-3.0% annually. Property value trends have remained stable with tax rates remaining stable as well. Construction development is increasing in both the residential and commercial market. Two new subdivisions are currently being developed, one 22 bay -front unit development and another development by Hogan Homes called La Salle's Landing. Commercially there is a Super Wal-Mart Center and shopping centers currently being developed. Second quarter retail sales for 2000 were over $220,000,000 and have continued to increase since that time. The demand and supply for property types vary in the area. The single-family resident (SIR) market is in a shortage with the large number of first time homebuyers segment on the rise. This is evident in the current development of new subdivisions. With the move to SFF, the demand for multi -family residences is in decline. The office, retail and industrial segments of the market are in under -supply due to the increase inflow of businesses and recent developments. Neighborhood Boundaries: The subject neighborhood is located within the central section of the city limits of Port Lavaca, Texas, in what is considered to be an older neighborhood. The subject neighborhood is bound by North Virginia Street to the north, Highway 35 to the west, Interstate 87 to the south and by Main Street to the east. '01 • Neighborhood Market Description Currently the subject neighborhood is 95% built-up because of being an older neighborhood with established dwellings and commercial sites. The single-family dwellings make up 75% of the area while commercial sites make up 20% of the area with 5% remaining of vacant land. There is a balance of residential and commercial supply in this area that has stable demand as well. The subject neighborhood is located within the central business district and is within one mile of the main governmental buildings. • Freeway access from Highway 87 is located on the southern and eastern boundary of the neighborhood. Public transportation is provided by "Ship to Shore" taxi service and "Greyhound" bus services. The location of the subject neighborhood is urban since it is located within the city limits of Port Lavaca. The development trends are increasing due to the need for SFR and commercial sites. Vacancy rates are stable and estimated to be less than 10%. The rental demand, as indicated by the rental market, seems to be stable with no shortage or surplus of properties. There is no noticeable change in the land use of the subject neighborhood. The interior section of the subject neighborhood is residential while the perimeter is mainly commercial. Rental rates for the area range from $0.50 to $1.10. Given the subject area is an older section of the city, the age ranges from 10 to 60 years of age. • 0 r �i 491 SITE DESCRIPTION Legal Descriplion: Tilley, Port Lavaca, Block B, Lot 3, Part of 3, Calhoun County, TX Site Physical Characteristics: • The site has 160,408 square feet on 3.6825 acres. The entire portion of the site is considered usable and there are no excess land areas. The property fronts Virginia Street to the north with 307' of frontage; Ash Street to the west with 522' of frontage; Benavides Street to the south with 307' of frontage; Hospital Avenue to the east with 522' of frontage. The access is considered good because of being located along Virginia Street, which is a main transportation route in Port Lavaca. The site has frontage on all four sides of the property. The shape is a rectangular in nature and is common in the area for commercial sites. The functional utility is good because the property is large for the area and sustain numerous types of commercial activities. The three-story complex is highly noticeable in the general vicinity. Drainage appears to be adequate, as well as the utilities offered to this area. The traffic pattern is good because of the multiple -lane streets fronting the subject The traffic volume is moderate with average amounts of traffic for the area. Utilities: AEP, formerly Central Power and Light Company, provides electricity to customers in this area. South Western Bell provides telephone service. Both utilities are exposed. The City of Port Lavaca provides for water and sewer. The soil is considered part of the Livia series of soils and is described USDA Soil is Survey of Calhoun County Booklet as: "deep, nearly level to gently sloping, noncalcareous and saline loamy soils on low coastal uplands. These soils formed under salt tolerant grasses in saline clayey sediments of marine terraces. They are within 5 miles of the inland bays and less than 15 feet above sea level. Building Description: The foundations of the main buildings are monolithic concrete slabs. The frame of the building is metal. The roof is a tar composite roof with a dropped tile ceiling. Exterior walls are metal, with interior walls and partitions being drywall. Floor coverings are tiles for the most part. The plumbing and electrical are all adequate and meet construction code standards. The heating and cooling consists of the following: two 181 ton coolers; 12 rooftop units; 2 cooling towers; 36 AC units for patient rooms; 4 in-house air handlers. There are three elevators, two in the old section and one in the new section. Insulation is said to be adequate and the facilities has a wet sprinkler system for 100% of the facilities. Improvements Rating: The appeal and appearance of the improvements are good with a superior floor plan and design. The overall construction quality of the improvements is good with high quality exterior and interior products. Site Improvements: There is an estimated 65,000 square feet of asphalt, concrete or other surfaces covering the subject site. Personal Property: There were no personal property and/or other non realty items included in the estimate of market value in this appraisal. 14 496 • HIGHEST AND BEST USE Highest and Best Use as Vacant: Legally permissible uses: Since there is no zoning in Port Lavaca, there are many commercial possibilities with the subject property as vacant. Physically possible uses: The superior access, frontage, visibility, shape and size would allow this property to have a variety of commercial uses. Financially feasible uses: The vacant property could offer a variety of commercial opportunities with out a sizable financial outlay. Maximally productive use: The highest and best use for the property as vacant is as a commercial site. Highest and Best Use as Improved. Legally permissible uses: Since there is no zoning in Port Lavaca, there are a wide variety of commercial possibilities that are possible with the subject property as improved. Only a further study of possible restrictions would be needed to support this conclusion. Physically possible uses: Due to the current building's size, shape, construction and design, the subject would Physically be best suited to continue in the same use and function as a medical center. The size and shape of the building would not be suited for mass retail since the buildings are designed with numerous partitions, the functional utility for being a hospital is good but the utility for a commercial center would be poor. The construction and design also lends itself to being a medical center as well. Financially feasible uses: In order to change the use of the improvements, a sizable investment would be required and would not be financially feasible to change from being a medical center. Maximally prodactive use: The highest and best use for the property as improved is as a medical center. 15 497 Highest and Best Use Analysis: The highest and best use of the subject property as vacant and as improved is as a medical center. VALUATION METHODS SELECTED The cost approach will be used to estimate the market value of the property. Since the client wanted the replacement value of the improvement, the site value as well as the site improvement value was not calculated. • 17 I] ME Us COST APPROACH Since the improvements are not relatively new construction, the replacement cost method will be employed, which estimates the cost to build an equally suitable replica of improvements. The Marshall and Swift Cost Evaluation Guide was used in the estimating of the improvements value while comparing to local contractors estimates. Entrepreneurial profit is the amount the developer of contractor estimates to earn above the total construction cost. There are three different types of depreciation: physical - which refers to typical "wear and tear" that comes from the passing of time, functional - which refers to the design layout of an improvement, external — which refers to the surrounding environmental factors. Age life method was used to evaluate curable physical depreciation. Since the property was not new and the income figures were estimated from the local rental market, both approached were given equal weight, the final value being $22,000,000. , • The "As Is" market value of the subject property as of September 28, 2004 is, TWENTY TWO MILLION DOLLARS ($22,000,000) Local hospital financial officers indicated that hospitals were valued by the number of beds operated by the hospital. This Grant Agreement is entered into between the State and Sponsor shown above, under the authority granted and in compliance with the provisions of the Transportation Code, Chapter 21, The project is for airport maintenance at the Calhoun County Airport. Part II - Offer of Financial Assistance 1. For the purposes of this Grant, the annual routine maintenance project cost, Amount A, is estimated as found on Attachment A, Scope of Services, attached hereto and made a part of this grant agreement. State financial assistance granted will be used solely and exclusively for airport maintenance and other. incidental items as approved by the State. Actual work to be performed under this agreement is found on Attachment A, Scope of Services. State financial assistance, Amount B, will be for fifty percent (50°/") of the eligible project costs for this project or $30,000.00, which ever is less, per fiscal year and subject to availability of state appropriations. The Sponsor may request the State to provide mowing services, services to be provided at the discretion of the State. However, mowing services will not be eligible for state financial assistance. The landing area consists of runways or landing strips, taxiways, parking aprons, roads, airport lighting and navigational aids; and e. it shall not enter into any agreement nor permit any aircraft to gain direct ground access to the sponsor's airport from private property adjacent to or in the immediate area of the airport. Further, Sponsor shall not allow aircraft direct ground access to private property. Sponsor shall be subject to this prohibition, commonly known as a "through -the -fence operation," unless an exception is granted in writing by the State due to extreme circumstances; and it shall not permit non -aeronautical use of airport facilities without prior approval Page 3 of 12 AVN4301.DOC (9/2005) 512 • 0 • of the State; and g. the Sponsor shall submit to the State annual statements of airport revenues and expenses when requested; and h. all fees collected for the use of the airport shall be reasonable and nondiscriminatory. The proceeds from such fees shall be used solely for the • development, operation and maintenance of the airport or navigational facility; and an Airport Fund shall be established by resolution, order or ordinance in the treasury of the Sponsor, or evidence of the prior creation of an existing airport fund or a properly executed copy of the resolution, order, or ordinance creating such a fund, shall be submitted to the State. The fund may be an account as part of another fund, but must be accounted for in such a manner that all revenues, expenses, retained earnings, and balances in the account are discernible from other types of moneys identified in the fund as a whole. All fees, charges, rents, and money from any source derived from airport operations must be deposited in the Airport Fund and shall not be diverted to the general revenue fund or any other revenue fund of the Sponsor. All expenditures from the Airport Fund shall be solely for airport purposes. Sponsor shall be ineligible for a subsequent grant or loan by the State unless, prior to such subsequent approval of a grant or loan, Sponsor has complied with the requirements of this subparagraph; and the Sponsor shall operate runway lighting at least at low intensity from sunset to sunrise; and k. insofar as it is reasonable and within its power, Sponsor shall adopt and enforce zoning regulations to restrict the height of structures and use of land adjacent to or in the immediate vicinity of the airport to heights and activities compatible with • normal airport operations as provided in Tex. Loc. Govt. Code Ann. Sections 241.001 et seq. (Vernon and Vernon Supp.). Sponsor shall also acquire and retain avigation easements or other property interests in or rights to use of land or airspace, unless sponsor can show that acquisition and retention of such interest will be impractical or will result in undue hardship to Sponsor. Sponsor shall be ineligible for a subsequent grant or loan by the State unless Sponsor has, prior to subsequent approval of a grant or loan, adopted and passed an airport hazard zoning ordinance or order approved by the State. 2. The Sponsor, to the extent of its legal authority to do so, shall save harmless the State, the State's agents, employees or contractors from all claims and liability due to activities of the Sponsor, the Sponsor's agents or employees performed under this agreement. The Sponsor, to the extent of its legal authority to do so, shall also save harmless the State, the State's agents, employees or contractors from any and all expenses, including attorney Page 4 of 12 AVN4301.DOC (9/2005) 513 fees which might be incurred by the State in litigation or otherwise resisting claim or liabilities which might be imposed on the State as the result of those activities by the Sponsor, the Sponsor's agents or employees. The Sponsor's acceptance of this Offer and ratification and adoption of this Grant shall be evidenced by execution of this Grant by the Sponsor. The Grant shall comprise a contract, constituting the obligations and rights of the State of Texas and the Sponsor • with respect to the accomplishment of the project and the operation and maintenance of the airport. If it becomes unreasonable or impractical to complete the project, the State may void this agreement and release the Sponsor from any further obligation of project costs. 4. Upon entering into this Grant, Sponsor agrees to name an individual, as the Sponsor's Authorized Representative, who shall be the State's contact with regard to this project. The Representative shall receive all correspondence and documents associated with this grant and shall make or shall acquire approvals and disapprovals for this grant as required on behalf of the Sponsor, and coordinate schedule for work items as required. By the acceptance of grant funds for the maintenance of eligible airport buildings, the Sponsor certifies that the buildings are owned by the City and/or County. The buildings may be leased but if the lease agreement specifies that the lessee is responsible for the upkeep and repairs of the building no state funds shall be used for that purpose. 6. Sponsor shall request reimbursement of eligible project costs on forms provided by the State. All reimbursement requests are required to include a copy of the invoices for the materials or services. The reimbursement request will be submitted no more than once a month. The Sponsor's acceptance of this Agreement shall comprise a Grant Agreement, as provided by the Transportation Code, Chapter 21, constituting the contractual obligations and rights of the State of Texas and the Sponsor with respect to the accomplishment of the airport maintenance and compliance with the assurances and conditions as provided. Such Grant Agreement shall become effective upon the State's written Notice to Proceed issued following execution of this agreement. The Sponsor designates the State as the party to receive and disburse all funds used, or to be used, in payment of the costs of the project, or in reimbursement to either of the parties for costs incurred. • 2. The State shall, for all purposes in connection with the project identified above, be the Agent of the Sponsor. The Sponsor grants the State a power of attorney to act as its agent to perform the following services: a. accept, receive, and deposit with the State any and all project funds granted, allowed, and paid or made available by the Sponsor, the State of Texas, or any other entity; b. enter into contracts as necessary for execution of scope of services; C. if State enters into a contract as Agent: exercise supervision and direction of the project work as the State reasonably finds appropriate. Where there is an irreconcilable conflict or difference of opinion, judgment, order or direction between the State and the Sponsor or any service provider, the State shall issue a written order which shall prevail and be controlling; d. receive, review, approve and pay invoices and payment requests for services and materials supplied in accordance with the State approved contracts; e. obtain an audit as may be required by state regulations; the state auditor may conduct an audit or investigation of any entity receiving funds from the state directly under the contract or indirectly through a subcontract under the contract. Acceptance of funds directly under the contract or indirectly through a subcontract under this contract acts as acceptance of the authority of the state auditor, under the direction of the legislative audit committee, to conduct an audit or investigation in connection with those funds. f. reimburse sponsor for approved contract maintenance costs no more than once a month. PART V - Recitals This Grant is executed for the sole benefit of the contracting parties and is not intended or executed for the direct or incidental benefit of any third party. 2. (Vernon and Vernon Supp.). Failure to comply with the terms of this Grant or with the rules and statutes shall be considered a breach of this contract and will allow the State to pursue the remedies for breach as stated below. a. Of primary importance to the State is compliance with the terms and conditions of this Grant. If, however, after all reasonable attempts to require compliance have failed, the State finds that the Sponsor is unwilling and/or unable to comply with any of the terms of this Grant, the State, may pursue any of the following remedies: (1) require a refund of any financial assistance money expended pursuant to this Grant, (2) deny Sponsor's future requests for aid, (3) request the Attorney General to bring suit seeking reimbursement of any financial assistance money expended on the project pursuant to this Grant, provided however, these remedies shall not limit the State's authority to enforce its rules, regulations or orders as otherwise provided by law, (4) declare this Grant null and void, or (5) any other remedy available at law or in equity. b. Venue for resolution by a court of competent jurisdiction of any dispute arising under the terms of this Grant, or for enforcement of any of the provisions of this Grant, is specifically set by Grant of the parties in Travis County, Texas. 4. The State reserves the right to amend or withdraw this Grant at any time prior to acceptance by the Sponsor. The acceptance period cannot be greater than 30 days after issuance unless extended by the State. 5. The Concrete riprap that came out as construction started from the houses that were purchased and the sidewalks from around the Courthouse, this was all hauled off in order to save the County money. Several landowners along the bay asked that the riprap be pushed over the edge for them. Commissioner BalaJka contacted the General Land Office and they said it was not a problem with the riprap being hauled to the land owners property as long as they were not trying to reclaim land. Shannon Sayler, Assistant District Attorney also feels there Is not a problem with disposal of riprap and use of County equipment on private property because this is benefiting the County with protecting the land. Mark Crippen gave a report stating that time wise for the contractor it looks like October is a bad month for them. The pour that was going to be done at the beginning of the month was totally lost, and from now on the concrete pours will be done in smaller pours. The completion date shows as of now end of August 2005. ISSUES RELATING TO THE CALHOUN COUNTY COURTHOUSE RENOVATIONS PROJECT: Mark Crippen reported that the preliminary construction document submittal was completed and • submitted and is ahead of schedule by a month. The Memorial Medical Plaza Design is about 50% complete. The District Court and District Judge have been incorporated Into the plan and they are also looking into hiring a telecom consultant. HEAR REPORT FROM BAILEY ARCHITECTS ON CALHOUN COUNTY COURTHOUSE RENOVATION PROJECT UPDATE: 0 Jamie with Bailey Architects reported that the schedule is going well. On October 11"' & 12f° the layout plan and layout of furnishings were confirmed with the department heads and in a few weeks there will be another review with the department heads to show the updated layout. A design package could be finished and ready for bid by the end of February.
