APPLICATION BY THIRD COAST CONCEPTS, INC. TO HAVE UNNAMED STREETS ABANDONED AND VACATED IN PORT O'CONNOR, TEXAS: A Motion was made by Commissioner Finster and seconded by Commissioner Fritsch to accept the application by Third Coast Concepts, Inc. to have unnamed streets abandoned and vacated in Port O'Connor, Texas. Commissioners Galvan, Lyssy, Fritsch, Finster and Judge Pfeifer all voted in favor. PUBLIC HEARING TO VACATE A 40.34 ACRE TRACT OF LAND COMPRISED OF A PORTION OF OUTBLOCK 29, A PORTION OF OUTBLOCK 37, AND A PORTION OF OUTBLOCK 47 OF THE PORT O' CONNOR TOWNSITE OUTLOTS AS RECORDED IN VOLUME 2, PAGE 1 OF THE DEED RECORDS OF CALHOUN COUNTY, TEXAS: Judge Pfeifer opened the Public Hearing regarding vacating a 40.34 acre tract of land comprised of a portion of Outblock 29, a portion of Outblock 37, and a portion of Outblock 47 of the Port O'Connor Townsite Outlots as recorded in Volume 2, Page 1 of the Deed Records of Calhoun County, Texas at 10:04 a.m. There were no public comments. Judge Pfeifer closed the Public Hearing at 10:05 a.m. APPLICATION TO HAVE UNNAMED STREETS ABANDONED AND VACATED TO THE HONORABLE COMMISSIONER'S COURT OF CALHOUN COUNTY: I, Shelley Gasch, as President of Third Coast Concepts, Inc., being a property owner in Precinct 4 of Calhoun County, Texas do hereby request under Section 251.052 of the Texas Transportation Code, that the Court abandon and vacate the unnamed streets as shown on the attached plat of the Port O'Connor Townsite Outlots filed for record at Volume 2, Page 01 of the Deed Records of Calhoun County, Texas. This request for the unnamed streets to be abandoned and vacated is to aid in the development of a new subdivision in Port O'Connor, Texas. The unnamed streets to be abandoned and vacated are located in Precinct 4 of Calhoun County, Texas. Additionally, the hereinabove described new subdivision shall be located entirely within Precinct 4 of Calhoun County, Texas. These Roadways were never constructed, and are not necessary as a means of ingress and egress for any property owner, as all affected by this road closure are in agreement regarding the closing of the road as requested. Additionally, the roadways have been fenced in for more than twenty years. Having give proper notice as specified by Section 251.052 of the Texas Transportation Code, I ask the Commissioner's Court, under the powers granted to it under Section 251.051 and Section 251.057 of the Texas Transportation Code, to consider this application for abandonment and for vacating the unnamed streets, as more fully set forth above and that the Commissioner's Court of Calhoun County, Texas issue an order granting said request to abandon and vacate the heretofore described unnamed streets. Notices were posted at the door of the Calhoun County Courthouse, at the Port O'Connor Post Office and at the site of the unnamed streets. Said notices were posted on the 15th day of March, 2007. All requirements imposed by The Texas Transportation Code have been complied with. Section 251.052 of the Texas Transportation Code requires the signature of one property owner in the precinct if the application is for any change in a roadway, other than discontinuing the road. Accordingly, I, Shelley Gasch, in the capacity described below, hereby sign this application as a property owner in Precinct 4 of Calhoun County, Texas. ORDER DECLARING CLOSURE OF THE UNNAMED STREETS IN PRECINCT 4 IN PORT O'CONNOR, CALHOUN COUNTY, TEXAS WHEREAS, on the 261h day of April, 2007 the Commissioner's Court of Calhoun County, Texas considered the request of Third Coast Concepts, Inc., the said Third Coast Concepts, Inc. being a property owner in Precinct 4 of Calhoun County, Texas, to abandon and vacate the unnamed streets located in Port O'Connor, Calhoun County, Texas, more fully hereinafter described and as shown on Exhibit "A" which is attached to this order and incorporated by reference. WHEREAS, Texas Transportation Code §251.051 and §251.057 vests in the Commissioner's Court the authority to abandon or vacate the unnamed streets; and WHEREAS, the Commissioners have not previously classified the subject unnamed streets as either a first class or second class road; and WHEREAS, the Commissioner's actions to abandon or vacate the unnamed streets have not been enjoined or sought to be enjoined by any party; and WHEREAS, proper notice of the petition to abandon and vacate the unnamed streets has been posted at the Courthouse door of Calhoun County, Texas and at other places in the vicinity of the affected route, being the Post Office in Port O'Connor, Texas and at a location near the roadways to be abandoned and vacated, for at least twenty (20) days before the date the application was made to the Court; and WHEREAS, the Commissioners have voted unanimously to abandon and vacate the unnamed streets described on the attached Exhibit "A"; and WHEREAS, all requirements of Texas Transportation Code §251.051, 251.052 and 251.057 have been complied with in declaring said roadways to be abandoned and vacated. NOW, THEREFORE, ON MOTION DULY MADE BY Commissioner Kenneth Finster and SECONDED by Commissioner Neil Ftitsch ; and upon said Motion having been approved by the Commissioner's Court in a properly posted public meeting; IT IS ORDERED AND DECREED, that Calhoun County does hereby CLOSE, ABANDON and VACATE those unnamed streets described on the attached Exhibit "A". IT IS FURTHER ORDERED AND DECREED that on the date this Order is signed, title to the unnamed streets closed by this Order is vested in Third Coast Concepts, Inc. the owner of the property that abuts both sides of the closed roads, pursuant to Texas Transportation Code §251.058(b). IT IS FURTHER ORDERED AND DECREED that a copy of this Order be filed in the Official Records of Calhoun County, Texas and duly filed copy of this Order shall serve as the official instrument of conveyance of the unnamed streets described above, Port O'Connor, Calhoun County, Texas from CALHOUN COUNTY to the respective owners of the abutting property as set forth hereinabove, pursuant to Texas Transportation Code §251.058(b). (hereinafter "Calhoun"), LNG has entered into negotiations with the Calhoun County Navigation District (hereinafter "District") to build a Liquefied Natural Gas terminal and Re -gasification Facility (hereinafter "Facility") on the District's property; and WHEREAS, if Calhoun opts to build the Facility on District's property it may be able to finance the construction of the Facility through conduit financing with the Calhoun County Navigation Industrial Development Authority; and WHEREAS, if the Facility is financed through the Calhoun County Navigation Industrial Development Authority, the Facility could be owned by the District and leased back to Calhoun under terms and conditions to be determined at a later date; and WHEREAS, it is not the intent of Calhoun to avoid property taxes should Calhoun finance construction of the Facility with the conduit financing; and WHEREAS, it is the intent of Calhoun LNG to "make whole" the Calhoun County Independent School District (hereinafter "CCISD"), Calhoun County (hereinafter "County") and the District for any tax revenue they would be entitled to receive from Calhoun if the Facility was constructed using the conduit financing and was instead owned directly by Calhoun. NOW, THEREFORE BE IT RESOLVED if the'District leases the Facility and the land the Facility is situated on to Calhoun, Calhoun shall under the terms and conditions of a Lease Agreement agree to "make whole" County and District for any\tax revenue that said entities would otherwise be entitled to receive for the benefit of County and/or District if the Facility was constructed using the conduit financing and was instead owned directly by Calhoun. BE IT FURTHER RESOLVED if the District leases the Facility and the land the Facility is situated on to Calhoun, Calhoun shall make payments to CCISD, under the terms and conditions of a Lease Agreement, equal to Fifty Percent (50%) of any taxes which would have been owed by Calhoun, had the Facility been constructed on privately owned property. The Fifty Percent (50%) shall be calculated for each of year of Calhoun's lease by determining the amount of property taxes which Calhoun would have paid to CCISD had it owned the facility. All payments to the County, the District, and or CCISD shall be referred to as Payments In Lieu of Taxation (or "PILOT" payments) All Parties acknowledge that nothing in this Resolution shall prevent Calhoun from taking advantage of the tax savings available from the District, from any Tax Abatement granted by the County, or from any school value limitation agreement granted by CCISD and other tax incentives granted by the State of Texas to other private qualifying industries. In determining the amount of the PILOT payment for any year, the actual tax rate set by the taxing entities shall be used. The projected taxable value placed on the Facility shall be determined by the Certified Appraiser (herinafter "Appraisal") used by the Calhoun County Appraisal District to appraise other industrial properties located within the County. The taxing entities shall notify the Calhoun of the Certified Appraiser's Appraisal of the fair market value of the Real Estate. Upon receipt of the Appraisal, Calhoun has ten (10) days thereafter to notify the taxing entities that it does not accept the Appraisal. Thereafter, the parties agree to negotiate in good faith to determine the fair market value. If the parties are unable to agree upon the fair market value within thirty (30) days after the foregoing notice of non- acceptance from Calhoun, then Calhoun shall, within ten (10) days of the expiration of such thirty (30) day period, select an appraiser of its choice and give the taxing entities written notice of such appraiser's name, address and telephone number. If the Certified Appraiser utilized by the Calhoun County Appraisal District and the appraiser selected by Calhoun cannot agree on the fair market value within thirty (30) days after their selection, such two (2) appraisers shall select a third appraiser and shall furnish the parties written notice of such appraiser's name, address and telephone number. The appraiser selected by Calhoun and the third -party appraiser selected under this procedure shall be M.A.I. appraisers having at least ten (10) years experience with similar commercial property. Each of the appraisers shall then determine the fair market value for the real estate and the fair market value shall be the average of the three (3) appraisals (provided that if any appraisal differs from the next closest appraisal by more than twenty-five percent (25%), then the fair market value will be the average of the two (2) closest appraisals). All fees, costs, and expenses incurred in connection with obtaining the third -party appraisal shall be shared equally by the taxing entities and Calhoun, but each party shall each bear their own attorney's fees and the fees of their own independent appraiser incurred with respect to this procedure. This Memorandum of Understanding relating to the payment of said Gifts and/or payment in lieu of taxes shall be binding on Calhoun, its assignees and successors. Calhoun, by execution of this Agreement agrees that this Agreement must be disclosed by Calhoun to any prospective investors or owners in the project.
