As per State of Texas, Secretary of State Election Advisory, the Democratic Party of the
County of Calhoun submits the following persons for consideration by Commissioners
Court for appointment and as Election Judges for the term September 1, 2010 through
August 31, 2012, in those precincts where the candidate for the Democratic governor had
the highest number of votes in the November 2006 General Election or Alternate Election
Judge in those precincts where the Democratic Party candidate for governor did not carry
the highest number of votes in the November 2006 General Election. Also, I am
submitting herewith for your consideration and approval a list of members to be included

SETTLEMENT AGREEMENT WITH KBM AIR CONDITIONING AND DON KRUEGER
CONSTRUCTION COMPANY AND AUTHORIZE COUNTY JUDGE TO SIGN DOCUMENTS:
A Motion was made by Commissioner Galvan and seconded by Commissioner Lyssy to approve the
Settlement Agreement with KBM Air Conditioning and Don Krueger Construction Company and authorize
Judge Pfeifer to sign the documents. Commissioners Galvan, Lyssy, Fritsch, Finster and Judge Pfeifer all
voted in favor.
COMPROMISE AND SETTLEMENT AGREEMENT
THIS COMPROMISE AND SETTLEMENT AGREEMENT ("Agreement") is being
made and entered into by and between KBM AIR CONDITIONING, INC. ("KBM"), DON
KRUEGER CONSTRUCTION, INC. ("DKC") and CALHOUN COUNTY, TEXAS (the
"County"), and is being made for the purposes and consideration stated herein.
WITNESSETH:
WHEREAS, DKC and the County are parties to that one certain Standard Form of
Agreement Between Owner and Contractor (the "General Contract") dated March 24, 2004,
wherein DKC agreed to construct the Calhoun County Law Enforcement Facility located at 211
South Ann Street, Port Lavaca, Texas (the "Project"); and
WHEREAS, DKC and KBM are parties to a Subcontract Agreement ("Subcontract")
wherein KBM agreed to furnish and install the heating, ventilation and. air conditioning system
on the Project; and
WHEREAS, KBM filed suit against DKC under Cause No. 08-2-66844-B in the 135th
Judicial District Court of Victoria County, Texas (the "KBM Lawsuit"), wherein KBM asserted
various claims and causes of action against DKC related to the construction of the Project (the
"KBM Claims"), all of which allegations and claims have been denied by DKC; and
WHEREAS, in the KBM Lawsuit, KBM asserted that it had sustained certain damages
based upon the KBM Claims (the "KBM Damages"), all of which assertions and allegations
have been denied by DKC; and
WHEREAS, in response to the Plaintiff's Original Petition filed by KBM in the KBM
Lawsuit, DKC filed a Motion to Stay and Application to Compel Arbitration; and
WHEREAS, KBM and DKC agreed to abate the KBM Lawsuit pending the completion
of an arbitration of the KBM Claims; and
(
WHEREAS, KBM, DKC and the County entered into a Private Arbitration Agreement
(the "Arbitration Agreement") in which KBM, DKC and the County agreed to arbitrate the KBM
Claims in a Private Arbitration ("Arbitration Proceeding"); and '
WHEREAS, KBM, DKC and the County have agreed to compromise, settle and fully
resolve the KBM Claims, the KBM Lawsuit and any and all disputes that have been asserted or
could have been asserted as part of the KBMi,Lawsuit and the Arbitration Proceeding; and
WHEREAS, KBM, DKC and the County have agreed to execute this Agreement setting
forth the terms and provisions of their agreement to settle said ~isputes.
NOW THEREFORE, for and in consideration of the payments described herein and the
agreements and releases set forth herein, KBJ\1, DKC and the County hereby agree as follows:
1. Payments to KBM. Simultaneous with the execution of this Agreement, the
following payments will be made by DKC and the County to KBM:
a. DKC shall pay to KBM the amount of Thirty Thousand and
Noll 00 Dollars ($30,000.00); and
b. The County shall pay to KBM the amount of Ten Thousand and
Noll 00 Dollars ($10,000.00).
2. Release By KBM. KBM hereby releases and discharges DKC and the County
and their respective officers, directors, shareholders, judges, commissioners, employees, parents,
subsidiaries, affiliates, agents, attorneys, insurers, representatives and assigns, and all of those
acting in concert therewith, from and together'lwith, any and all claims, actions, causes of action,
appeals, demands, liabilities, promises, acts, agreements, costs, attorneys' fees, expenses,
damages, responsibilities and/or obligations of any kind, at common law, equity, statutory or
otherwise, that KBM had in the past, currently has or may have in the future, whether known or
unknown, fixed or contingent, claimed or unclaimed, suspected or unsuspected, liquidated or
unliquidated, based upon or arising from or related to (a) the KBM Lawsuit, (b) the KBM
Claims, (c) the KBM Damages, (d) the Arbitration Proceeding, and any other claims that KBM
have against DKC, the County or the bonding company under the Payment Bond provided by
DKC related to the Project for any damages, costs, expenses or other compensation or
consideration that KBM claims is due and owing to it related to the Project.

3. Release By DKC. DKC hereby releases and discharges KBM and the County
and their respective officers, directors, shareholders, commissioners, employees, parents,
subsidiaries, affiliates, agents, attorneys, insurers, representatives and assigns, and all of those
acting in concert therewith, from and together with, any and all claims, actions, causes of action,
appeals, demands, liabilities,' promises, acts, agreements, costs, attorneys' fees, expenses,
damages, responsibilities and/or obligations of any kind, at common law, equity, statutory or
otherwise, that DKC had in the past, currently has or may have in the future, whether known or
unknown, fixed or contingent, claimed or unclaimed, suspected or unsuspected, liquidated or
unliquidated, based upon or arising from or related to any costs, expenses and attorneys' fees
incurred by DKC as a result of the claims asserteq by KBM in the KBM Lawsuit and as part of
the Arbitration Proceeding.
4. Release By the County. The County hereby releases and discharges KBM and
DKC and their respective officers, directors, shareholders, commissioners, employees, parents,
subsidiaries, affiliates, agents, attorneys, insurers, representatives and assigns, and all of those
acting in concert therewith, from and together with, any and all claims, actions, causes of action,
appeals, demands, liabilities, promises, acts, agreements, costs, attorneys' fees, expenses,
damages, responsibilities and/or obligations of any kind, at common law, equity, statutory or

otherwise, that the County had in the past, currently has or may have in the future, whether
known or unknown, fixed or contingent, claimed or unclaimed, suspected or unsuspected,
liquidated or unliquidated, based upon or arising from or related to any costs, expenses and
attorneys' fees incurred by the County as a result of the claims asserted by KBM in the KBM
Lawsuit and as part of the Arbitration Proceeding.
5. Dismissal of the KBM Lawsuit. Upon receipt by KBM of the payments
described in this Agreement, KBM will dismiss, with prejudice, the KBM Lawsuit.
6. Dismissal of the Arbitration Proceedine:. KBM, DKC and the County hereby
agree that upon the execution of this Agreement" the Arbitration Proceeding shall be considered
dismissed with prejudice, and each of said parties shall be responsible for their proportionate
share of any costs incurred by Dean Kilgore, the Arbitrator selected by the parties under the
Arbitration Agreement to serve as the Arbitrator in the Arbitration Proceeding.
7. Attornevs' Fees. Each ofthe parties agrees that each party shall be responsible
for its own attorneys' fees and expenses incurred as a result of the disputes that have arisen
between the parties. The parties further agree that if it becomes necessary for either party to take
or pursue any action to enforce this Agreement or any of the terms or provisions of this
Agreement, the prevailing party in such action shall be entitled to recover the prevailing party's
reasonable and necessary attorneys' fees, costs and expenses from the non-prevailing party.
8. Non-Assie:nment. The parties to this Agreement hereby represent and warrant
that they have not transferred, conveyed, pledged, assigned or made any other disposition of the.
claims released hereby, and that they are the sole owners of the claims which each of said parties
is releasing.
9. Bindine: Effect. The terms and provisions of this Agreement shall be binding
upon and inureto the benefit of the parties hereto.
10. Authority to Sie:n and Bind. Each of the individuals who is signing this
Agreement on behalf of a party hereby represents and warrants that said individual has the
authority to enter into this Agreement on behalf of said party, and the authority to bind said party
to the terms and provisions of this Agreement.
11. Amendment. This Agreement shall not be amended or modified except by a
written instrument duly executed and approved by the parties hereto.
12. Multiple Counterparts. This Amendment can be executed in two (2) or more
counterparts, each of which shall be deemed an original, all of which together shall constitute
one and the same instrument.
13.
Controlline: Law.
This Agreem.ent shall be controlled by and construed in
COMPROMISE AND SETTLEMENT AGREEMENT

accordance with the laws of the State of Texas, and venue for any action under this Agreement or
to enforce this Agreement shall be in Victoria County, Texas.
14. Interpretation. This Agreement has been and shall be construed to have been
drafted by all the parties to it so that the rule concerning construing ambiguities in an agreement
against its drafter shall have no force or effect.
15. No Admission. The parties 'hereto agree that by entering into this Agreement,
each party intends only to reach an amicable resolution of its differences with the other party,
and neither party admits liability to any person or entity.
16. Complete Settlement. The parties expressly warrant to one another that no
promise or inducement was offered by the other except as herein set forth; that this Agreement is
executed without reliance upon any representation of any person or party released or their
representatives, concerning the nature and extent of the damage and/or legal liability; that
acceptance of the consideration set forth herein is in full accord and satisfaction of all disputed
claims, for which liability is expressly denied.
17. Consultation With Attornevs. In executing this Agreement, each party has
consulted with its own attorneys or other advisors in connection with the effect of this
Agreement, and each assumes the risk arising from not seeking further or additional consultation,
and each shall be responsible for paying any and all fees and expenses incurred by said party,
including attorneys' fees.
18. Severability. If any proVISIOn in this Agreement is held by a court of
competent jurisdiction to be invalid, void or unenforceable, the remaining provisions shall
remain in full force and effect, as if this Agreement had been executed with any such invalid
provisions having been included.
19. Captions. The captions in this Agreement are for convenience purposes only
and shall not be used for the purpose of interpreting this Agreement.
20.
Effective Date. The Effective Date of this Agreement shall be the

indicated hereon by Victoria Electric Cooperative Co. (hereinafter
called the "Cooperative") pursuant t~ the following ter~8 and conditions
applicable to each fixture:
1. The Cooperative will, at the request of 1ts Member, furnish,
install and maintain a photo electrically controlled mercury type
security light to be erected on the Member's premises, including extra
poleCs) and service facilities, and make all necessary connections to
the fixture for a monthly flat charge depending upon the size of the
f:bljture and the number of poles required for' the installation, which is
hereinafte~ set forth. The monthly flat charge includes the cost of
e.lect~t~ energy used by the fixture. Wholellale Power Cost adju,stment
on ~ KWH will be added to the monthly charges for the lights as
outlined in security light schedule. ,

2. If the Member wishes the fixture at a location other than on
an existing pole with service facilities, an added monthly charge of
$.75 per pole will be made for each addition~l pole required to serve
the fixture.

3. It is agreed that the charge for Se~urlty tight service shall
be itemized seperately and billed simultaneously with Member's billing
for normal llervice. Security light service does not constitute normal
service customarily furnished member and the rules relating to service
terminating at the option of the Member shall not apply to this agree-
ment wh1ch shall cont1nue in force and effect for the term hereinafter
provided regardless of the Member's discontinuance of normal service
on the same premises.
4. The member agrees to notify the Cooperative when the security
light fails to operate properly and the Cooperative shall make every
reasonable effort to service the fixture during regular daytime working
hours within two regular work days following notification by the Member.
Further, the Member agrees to protect the' fixture from damage insofar
as possible.
s. The facilities installed to provide the security light service
remains the property of the Cooperative.
6. The approval of this contract by the Cooperative shall constitute
an agreement between the Member and the Cooperative, and the contract
for security light se~vice ehall continue in force for the contract
period beginning with the date service is rendered by the Cooperative
to the Member and thereinafter until by propar notice given by either

Sheriff's Excursion. I called and questioned the amounts, and Frankie's secretary stated once the vehide was tom down,
there were additional repairs required. The Sheriff was not ever notified the initial quote would be modified nor did he
